SECTION SF 30 BLOCK 14 CONTINUATION PAGE

SUMMARY OF CHANGES

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

PHASE I INSTRUCTIONS

Contract Structure Overview The Government will utilize a two-phase acquisition approach (i.e. Phase I and Phase II) under this single full and open solicitation. Up to two (2) contracts will be awarded under Phase I for the development of the XLUUV System to the Offeror(s) whose proposal(s) indicate the best value to the Government. Design of the XLUUV System includes the XLUUV Element, XLUUV Support Element, XLUUV Ashore Element, and XLUUV Mobile C2 Element. The Phase I contract(s) will include CPIF base award(s) for XLUUV system design, with Option not-to-exceed FPIF ceiling prices for fabrication for an XLUUV prototype system and additional XLUUV element(s). Phase I will also include the award of CPFF level of effort engineering services, long lead time material for the XLUUV System and the second XLUUV element associated data rights.

Competition for continuation into Phase II will be held between the successful Offeror(s) under Phase I. Under Phase II, one award will be made to the Offeror whose proposal indicates the best value to the Government. Upon completion of CDR exit criteria for the Phase I XLUUV Design, the contractor will be instructed by the contracting officer to submit a Phase II proposal no later than 14 months, 2 weeks after award of design (CLIN 0001). Offeror(s) will provide updated proposals, to include CDR results, and will submit FPI Firm Target Pricing (Target Cost and Target Profit) with a ceiling less than or equal to the FPIF Ceiling Price established under Phase I.

Any data previously submitted in a Phase I proposal will not be considered during the subsequent Phase II evaluation. Any Phase I proposal information that is pertinent to the Phase II proposal must be resubmitted by the Offeror in the Phase II proposal. See Section L, Section 1.0 for Phase I instructions and Section L, Section 2.0 for Phase II instructions.

Each Offeror shall submit only one proposal for Phase I and Phase II, respectively, which represents its best approach to meeting the requirements of the solicitation. No alternative proposals will be accepted by the Government.

Failure to meet timely CDR exit criteria resulting in a significant slip in schedule or failure to maintain cost control in which an Offeror significantly exceeds its proposed target cost may render the contractor ineligible for Phase II award.Offeror The Government will not consider Offerors' proposals that involve nuclear power.

The Government will not consider Offerors’ proposals a major component of the hull or superstructure will be constructed in a foreign shipyard, in accordance with 10 U.S.C. 7309.

1.0 PHASE I Instructions, Conditions and Notices to Bidders

The Offeror shall submit all information required by this solicitation. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being disqualified from consideration for award. The Offeror’s proposal shall be based on the requirements contained in this RFP (including those documents, exhibits, and other attachments to the RFP identified in Section J). Offerors are required to submit a proposal encompassing all items listed in Section B of this solicitation.

The solicitation will be made available only through the internet at:

http://www.fbo.gov Offerors are hereby notified that from time to time, the Government may post additional information to the web site relating to this solicitation (e.g. responses to questions, amendments, etc.). It is the Offeror’s responsibility to check the web site for any such information.

****Section L, Phase I**** Applicable to Line Item 0001

Pennsylvania State University (PSU) Applied Research Laboratory (ARL) is available to all potential XLUUV (Orca) Offerors for consultation prior to government receipt of offeror’s Phase I proposals. Following award, PSU ARL will specifically be serving as a Government trusted agent under a separate Government contract in the following task areas, including, but not limited to: advanced propulsor design support; hydrodynamic, hydroacoustic and structural acoustic analysis, performance prediction, noise prediction, evaluation of critical item testing and evaluation, and specification of advanced propulsors. PSU ARL will NOT be available as a subcontractor and will NOT perform as the propulsor design agent, nor production or fabrication efforts. Awardees will be given equal access to PSU ARL's capabilities during Phase I performance.

The Offeror's Technical Proposal (Volume I) shall provide a description of the efforts, if any, that the Offeror requests be provided by PSU ARL as a Government trusted agent under a separate Government contract for line item 0001.

The Offeror’s Cost Volume (Volume III) shall state whether PSU ARL, as the Government trusted agent, will be utilized by the successful Offeror(s) in support of the Government under line item 0001 at an amount not to exceed $1,000,000.

1.2 Submission of Questions and Comments (Applicable to Phase I)

Offerors shall submit written questions and comments (unclassified only) related to this solicitation in accordance with the Bidder’s Question Submittal Form (Attachment L-1) attached to Section L.

No comments, questions or inquiries shall be made of any Government person other than the points of contact listed below. Should there be a comment or question submitted that the potential Offeror believes addresses a subject that is specific to the company (and/or addresses anything that is believed to be proprietary in nature) then the inquiry shall be marked accordingly. If the Government concurs with this identification, the Government will respond only to that potential Offeror. If the Government does not concur with that identification, it shall inform the submitter and not provide any further response.

It is the Government’s intention that all publication of questions and answers in response to the solicitation will be sent directly to offerors who have an approved DD-254 and a signed “Terms of Use” letter. This is to comply with the Arms Export Control Act (Title, U.S.C. Section 2751 et seq. or Executive Order 12470) as many of the answers contain technical data restricted by the Act.

The Government will not entertain any proposed revisions to the terms and conditions contained in this solicitation submitted as part of the Offeror’s proposal, including any attachment/exhibit referenced therein. Therefore, any offer that includes “redlines,” condition(s) of offer, or any other deviation from the requirements of the solicitation may be rejected by the Government as non-compliant. As such, any questions or suggestions related to the terms and conditions of this solicitation shall be made known by the Offeror in accordance with this section and the deadline for questions below.

It is the Government’s intention that questions and responses will be distributed electronically to all Offerors. Information provided with each question should include the document name, document date, specific page, paragraph, clause or other definitive citation requiring clarification.

No information contained in the answers to bidder’s question shall supersede any information contained in the solicitation (including amendments).

The deadline for receipt of questions is close of business (COB), 7 April 2017. Any questions received after this may not be answered prior to receipt of proposals. This will also be the final day to request the controlled documents.

UNCLASSIFIED QUESTIONS
