About this file

This document provides a draft statement of work for a multiple-award indefinite-delivery/indefinite-quantity contract supporting the Program Manager for Strike Planning and Execution Systems (PMA-281). The scope includes development, integration, test and evaluation, deployment, modification, and sustainment of hardware and software products to support PMA-281's domestic and Foreign Military Sales programs. Deliverables may include studies, designs, documentation, development, deployment, engineering changes, training materials, help desk support, deficiency corrections, and sustainment products. The Naval Air Systems Command intends to competitively solicit the effort under one request for proposal, resulting in multiple awards. Delivery orders will then be competed among awardees for specific program requirements within the scope.

PREAMBLE:

NOTE 1: The Government expects to award six (6) Small Businesses and six (6) Large Businesses Indefinite

Delivery, Indefinite Quantity (IDIQ) Contracts under a Multiple Award Contract (MAC) as a result of this solicitation to support the PMA-281, Strike Planning and Execution Systems portfolio.

NOTE 2: The ceiling value of $497,500,000.00 set forth herein represents the maximum total value that will be awarded under this MAC. The $497,500,000.00 maximum total value is the cumulative ceiling amount that will be the ceiling on each awardee’s IDIQ Contract. The pricing contained within Section B is to establish the shared ceiling per Contract Line Item Number (CLIN) at the basic MAC level.

NOTE 3: The ordering period of the PMA-281, Strike Planning and Execution Systems MAC shall commence at date of award of contract and shall continue for a period of 60 months.

NOTE 4: The guaranteed minimum dollar value for each awardee is $1,000.00. The Government will award a

Delivery Order (DO) for $1,000 for the submittal of the Operations Security (OPSEC) Plan (CLIN 0013), which will satisfy the minimum guarantee price, to each Offeror selected for an IDIQ award under the PMA-281 MAC.

NOTE 5: Unless otherwise specified in a specific order issued under this IDIQ MAC, the terms and conditions of this contract shall apply to each delivery order issued under this IDIQ MAC. The CLIN types utilized in this contract are Cost-Plus-Fixed-Fee (CPFF), Firm-Fixed-Price (FFP), and COST.

With regard to CPFF CLINs, the maximum fee to be proposed is 10%, although offerors may propose less than

10%. Each order thereafter will be capped at the basic MAC fee or less, if proposed. Subcontractor fee is capped at the same rate as the prime. A proposed fee that is higher than the maximum fee rate shall render the Contractor’s proposal unacceptable.

Subcontractor maximum pass-through rate is 10%. Pass-through Rate is defined as the cumulative amount of the two elements listed below divided by the price paid to the subcontractor or the vendor:

1. Any and all indirect costs including, but not limited to, program management, subcontract management, invoice processing, quality assurance, overhead, material handling charges, General

Administrative (G&A), burdens and mark-ups; and

2. Any and all prime contract profit or fee.

mailto:christin.simpson@navy.mil

The Prime Contractor shall not apply any additional fees or burdens on the elements of pass-through. Other than the elements of pass-through, no addition costs, charges, indirect rates or fees shall be proposed or applied to subcontract costs.

For purposes of the maximum pass-through, any effort provided by a division, subsidiary or any other entity of the prime Contractor shall not be considered subcontracted effort and all fee/profit must be provided at the prime level subject to the limitations specified in this contract.

Other Direct Cost (ODCs): Unless otherwise authorized at the order level, no fee is allowed on ODCs, which includes material, equipment and travel. Indirect cost elements such as G&A and material handling may be applied but shall not include fee.

NOTE 6: Performance of orders issued hereunder shall be in accordance with individual delivery orders.

NOTE 7: The Government reserves the right to on-ramp prime Contractors as deemed necessary in order to sustain the competitive environment for awarding delivery orders. The Government may make a determination to on-ramp prime Contractors in response to client needs, competition levels, or other factors. Should the Government determine that it is necessary to add prime Contractors, the re-compete will be solicited on a set-aside basis as necessary to sustain the competitive base.

Implementation of this form of on-ramping would be subject to the following conditions, in no particular order:

Any on-ramping notice will be published in Federal Business Opportunities in accordance with FAR

Part 5, Publicizing Contract Actions.

Any future solicitation will identify the total anticipated number of new contracts that the Government intends to award.

The award decision under any future solicitation will be based upon the same evaluation factors/sub-factors as the original solicitation.

The terms and conditions of any resulting award are materially identical to the existing version of the

MAC.

The period of performance term for any new award is coterminous with the existing term for all other

MAC holders.

NOTE 8: It is anticipated that there may be requirements for access to classified information by Contractors under the IDIQ MAC. The highest security levels that may be required by the Contractor to perform on individual delivery orders under this contract are up to a TOP SECRET (TS) / SENSITIVE COMPARTMENTED INFORMATION

(SCI) with a SECRET safeguarding capability. These security requirements will be a condition for basic contract award.

All classified delivery orders will require a facility security clearance issued by the Defense Security Service (DSS) at delivery order award. Contractor personnel shall be required to have a security clearance at the level required for each specific delivery order. The security classification and guidance of classified delivery orders will be specified in the Contract Security Classification Specification DD Form 254, to be provided when required at the delivery order level.

Unclassified delivery orders do not require a facility clearance issued by DSS, or a DD Form 254. Any planned utilization of non-U.S. Citizens for performance under the delivery order requires identification of each such individual by name and country of citizenship in the delivery order proposal.

Foreign Nationals shall not be allowed access to Classified or Critical Program Information unless approved on a case-by-case basis by DSS.

NOTE 9: The Contractor will not be permitted access to classified information until a final DD254 is incorporated as an attachment at the Delivery Order level.

1.0 Introduction

The purpose of this Statement of Work (SOW) is to describe the work to be performed on the PMA-281

Software/Hardware (SW/HW) Indefinite-Delivery / Indefinite-Quantity Multiple-Award Contract (IDIQ/MAC).

This SOW describes the work to be performed on the IDIQ/MAC in general terms and serves as a guide for SOWs developed for subsequent delivery orders.

1.1 Program Objectives

The overall objective of this Contract is to deliver capabilities to the joint service warfighters. Under the

IDIQ/MAC, the Contractors shall provide capabilities necessary to meet both domestic and Foreign Military Sales

(FMS) user requirements.
