a) The Interstate 80 Route – United States Department of the Treasury (Treasury)– Capital Project Fund. The approval to use $76.6 million of the State of Nevada’s Coronavirus Capital Projects Fund (CPF) funding to design, build, operate and maintain a buried, multi-duct route that spans the entirety of Interstate 80 in Nevada between mile-marker 0 at the Utah/Nevada border to mile marker 410.67 at the California/Nevada Border. This build is entirely in the Interstate 80 Nevada Department of Transportation (NDOT) Right of Way.
b) The Eastern Nevada Middle Mile (Eastern Route) – National Telecommunications and Information Agency (NTIA) Middle Mile Grant Program. The State of Nevada has applied for and received an NTIA Middle Mile grant to design, build, operate and maintain a buried, multi-innerduct route from a major Internet Exchange in Las Vegas (7135 S. Decatur Blvd, Las Vegas, NV, United States) to an interconnect point at Interstate 80 in Wells, NV (577 Wells Ave, Wells, NV 89835). This route follows Interstate 15 to the US Route 93 interchange in eastern Clark County, and then along US 93 Route from Interstate 15 North to Wells, NV. The route is expected to be placed entirely within the NDOT Right of Way.

| 3.0.2 | Costs: The Provider shall be solely responsible for managing and controlling all costs associated with the project within the agreed upon Award Amount. The Provider shall exercise due diligence, employ efficient construction practices, not bill for unallowable costs or non bona fide goods or services, and will make every reasonable effort to complete the project within the budget. Provider may either seek reimbursement based on completion of milestones identified in Exhibit F or, alternatively, Provider may seek reimbursement after accruing a minimum of $1,000,000.00 in costs. The engineering and design effort at the beginning of a project can be considered one of the Construction Phases for purposes of Provider compliance and payment. Exhibit G may be divided into tasks that do not necessarily require completion of all pre-construction activities and construction activities but divide these overall milestones into specific tasks. Prior to issuance of Milestone Payments or Payments for Reimbursement of $1,000,000.00, Provider will allow Customer’s Director of Fiber Network or Project Manager to review, inspect and/or test the completed work to ensure compliance with project requirements, stated deliverables, and any technical specifications. Milestone payment will be issued only after approval and acceptance of work and deliverables by the OSIT Project Manager. |

All billings for dates of services prior to July 1 must be submitted to the Customer no later than the first Friday in August of the same calendar year. A billing submitted after the first Friday in August, which forces the State to process the billing as a stale claim pursuant to NRS 353.097, will subject the Provider to an administrative fee not to exceed one hundred dollars ($100.00). The parties hereby agree this is a reasonable estimate of the additional costs to the state of processing the billing as a stale claim and that this amount will be deducted from the stale claim payment due to Provider. |
| 3.4 | Pre-Construction Invoicing: Pre-construction charges shall be reimbursed only once invoices are received from the Provider and the required milestone payment forms (see Exhibit G) have been submitted and approved by OSIT. Reimbursements will only be made for costs incurred and paid in full by the Provider that are aligned with the approved construction budget contained in Exhibit G. The Provider invoices must be accompanied by acceptable proof of payment for work performed, including invoices from subcontractors billing for the work (if applicable), suitable evidence that the invoiced work has been completed, that the Provider has made payment for the work, and for final invoice, that the pre-construction work of Outside Plant Materials and other activities. Pre-Order of Outside Plant Materials cannot occur until the project has completed successful environmental review and been issued a proper Finding of No Significant Impact (FONSI). |
| 3.5 | Construction Invoicing: Construction charges shall be reimbursed only once accurate invoices and supporting documentation are received from the Provider totaling a minimum of $1,000,000.00, and/or the required milestone payment forms have been submitted, and the work and deliverables have been inspected, approved, and accepted by the OSIT Director of Fiber Networks or Project Manager as outlined in Article 2.8, and 2.9. Reimbursements will only be made for costs incurred and paid in full by the Provider that are aligned with the approved construction budget contained in Exhibit G. The Provider invoices must be accompanied by acceptable proof of payment, accurate invoices for work performed, including invoices from subcontractors billing (if subcontractors are involved in the work), and suitable evidence that the work has commenced or was completed. |
| 3.6 | Invoice Payments: Payments are due 30 days after the State receives reimbursement from the applicable source of funding (U.S. Treasury or NTIA). After receiving an invoice for special construction charges or monthly recurring charges, Customer may dispute any charge at its sole discretion and ask for additional documentation from the Provider that the Customer believes necessary to clarify the charges. |
