About this file

This document is a Memo to File providing justification for a Below Slat (Sole Source) lease renewal for the VA Office of Information Technology (OIT) in Shepherdstown, WV. The General Services Administration (GSA) seeks to renew Lease #LWV12204 for 18,797 rentable square feet (17,677 ABOA SF) located at 239 Lowe Drive, with a five-year renewal option exercised without full and open competition. The lease currently expires on 05/30/2027, and the annual renewal rent is $357,329.81, broken down as $208,588.60 for shell rent and $148,741.21 for operating rent. Market research conducted by the GSA Lease Contracting Officer using websites like Google, CoStar, and SAM.gov confirmed this location as the best option within the designated area to meet the government's requirements.

The justification is based on 41 U.S.C. 3304(a)(1), which allows sole source procurement when only one responsible source can satisfy agency requirements. The GSA Lease Contracting Officer certified that the renewal is in the government's best interest, with the sole source authority implemented through GSAR 570.402 to avoid substantial duplication of costs. An advertisement was placed on SAM.gov on 05/29/2025 to support the market research and sole source determination, with the Contracting Officer concluding that no other offeror could provide a more cost-effective solution for the VA OIT's space needs in Shepherdstown, WV.

MEMO TO FILE

BELOW SLAT JUSTIFICATION

VA OIT SHEPHERDSTOWN, WV

PROJECT #5WV0188

RENEWAL TO LEASE #LWV12204

DESCRIPTION:

This Memo to the file shall serve as documentation for the lack of competition with regards to the Renewal of Lease #LWV12204 for VA OIT in Shepherdstown, WV.

BACKGROUND:

GSA currently leases 18,797 RSF (17,677 ABOA SF) at 239 Lowe Drive, Shepherdstown, WV under Lease Number LWV12204. The current lease expires 05/30/2027. Approval is requested to exercise a five (5) year renewal with the incumbent Lessor without full and open competition for continued occupancy at this leased location. The right to pursue a renewal is detailed in GSAR 570.401: Renewal Options (https://www.acquisition.gov/content/570.401-renewal-options.?&searchTerms=570.401).

STATUTORY AUTHORITY:

41 U.S.C. 3304(a)(1): Only one responsible source and no other supplies or services will satisfy agency requirements. This statutory authority is implemented through GSAR 570.402. In accordance with GSAR 570.402, use of the sole source authority is appropriate where it is determined that award to any other offeror would result in substantial duplication of costs to the Government that are not expected to be recovered through competition.

MARKET RESEARCH:

The current GSA LCO conducted market research using websites including www.google.com and www.COSTAR.com for comparable market data. In addition, the GSA LCO placed an advertisement conforming to GSAM 570.404 on the SAM Web site (www.SAM.gov) on 05/29/2025. The advertisement and research concluded with the current location being the best option within the delineated area capable of meeting the Government’s minimum requirements.

CONTRACTING OFFICER CERTIFICATION:

By signature on this Memo to File, the GSA Lease Contracting Officer certifies that the award of the 5-year Renewal Option currently contained in the Lease is in the Government’s best interest and that this Memo is accurate and complete to the best of the GSA Lease Contracting Officer’s knowledge and belief.

In addition, the Renewal Annual rent is broken down as follows and considered to be fair and reasonable:

Shell Rent $208,588.60 Operating Rent $148,741.21

TOTAL $357,329.81
