SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

GENERAL INSTRUCTIONS

L.1 General Instructions

1. MARCORSYSCOM, MCTSSA intends to have multiple award task order contracts (MATOCs) from which it will compete individual task orders as requirements arise throughout the contract’s period of performance. This source selection for the MATOCs is conducted using FAR Subpart 15.3, DFARS Subpart 215.3, and 10 U.S.C. §2305, as referenced in the Office of the Under Secretary of Defense (OUSD) Deviation 2018-O0006.

2. The Government intends to award contracts to all “qualified offerors” (see Definition in the Evaluation

Criteria of Section M) pursuant to 10 U.S.C. §2305 and OUSD Deviation 2018-O0006 (Evaluation Factors for Certain Multiple-Award Task- or Delivery-Order Contracts), using the evaluation criteria delineated in Section M of this solicitation.

3. Offerors shall completely follow the instructions contained herein to ensure timely and equitable evaluation, and to avoid exclusion from further consideration. Please be advised that any exception, deviation, condition, “understanding,” or request for waiver from the instructions provided in Section L, or any other section, of this solicitation may render your proposal unacceptable and ineligible for award.

4. Offerors shall ensure written proposals provide a straightforward and concise explanation of their capability to perform the contract. Organization, clarity, accuracy of information, and relevance are of prime importance. The proposals shall be complete and clear in all respects without the need for additional explanation or information. The proposals shall provide sufficient detail and scope to permit the Government to evaluate them in accordance with the evaluation factors specified in Section M of this solicitation.

5. Offerors should confine their written proposals to essential matters sufficient to define their offer and provide an adequate basis for evaluation. Likewise, offerors are cautioned against using general, vague, or unsubstantiated statements which prevent or render difficult the Government’s evaluation of the proposal.

Statements such as "will comply," or "noted and understood" without supporting discussion are generally not acceptable. Further, proposals that merely “parrot back” (e.g., copying and pasting verbatim or identically stating) the requirements of the solicitation rarely adequately describe an offeror’s approach to meeting the solicitation’s requirements and may render the offeror ineligible for award. The Government will not assume that an offeror possesses any capability, understanding, or commitment that is not specifically delineated and supported in its proposal.

6. The offeror shall not include any classified material in its proposal.

7. Offerors shall not submit more than one proposal in response to this solicitation.

8. Questions about the solicitation are due by 0900 local, Camp Pendleton, CA on 20 May 2020 with the information below identified clearly. Questions shall be submitted via email to katrina.wimmer@usmc.mil. Telephone inquiries will not be accepted. Please be advised that the Government has the absolute discretion whether to answer any question that it receives, to modify or combine questions for efficiency or clarity, and to ask and answer its own questions in order to provide information, but the Government is not obligated to answer any question submitted. Moreover, because the Government may choose to publicly publish both questions and answers, no proprietary information should be included in the questions submitted.

Offerors shall submit not more than ten questions. Please do not bundle multiple questions into one.

Questions that are bundled will be separated and counted individually. Only the first ten questions per offeror will be addressed. Any Government responses to questions will be posted electronically, via Amendment to Beta.SAM.

9. The due date for the submission of proposals is 0900 local, Camp Pendleton, CA on 22 June 2020. The Government does not intend to extend this due date. Offerors should plan accordingly. Proposals shall be submitted via email to both Beverly Hobbs and Kate Wimmer at Beverly.hobbs@usmc.mil and Katrina.wimmer@usmc.mil.

L.2 Proposal Content: Documents including signatures may be submitted in PDF format. All other documents shall be submitted in Word Document format.

A. The offeror shall submit File I consisting of the items identified in the following subparagraphs.

1. Offerors are required to identify any actual or potential organizational conflicts of interest (OCIs) related to the services described in its proposal for itself, as well as for employees, consultants, and subcontractors proposed. This includes, but is not limited to:

‐ The existence of conflicting roles that might bias judgment; and

‐ Access to nonpublic information that will give the offeror an unfair competitive advantage.

If an actual or potential OCI is identified by the offeror, the offeror shall submit a mitigation plan as part of its proposal. In addition, offerors shall submit with their proposal an OCI affirmation, using the following language:

“I, (Name and Title), certify that: 1) I am an official authorized to bind the (company); and 2) I further certify that to the best of my knowledge and belief, the following actual or potential organizational conflicts of interest have been identified and disclosed to the Contracting Officer (identify section of proposal) as of (date).”

If no actual or potential OCI is identified by the offeror for itself, its proposed employees, consultants, or subcontractors, the offeror shall submit with its proposal the certification using the following language:

“I, (Name and Title), certify that: 1) I am an official authorized to bind the (company); and 2) I further certify that to the best of my knowledge and belief, that neither (the company) nor its proposed employees, consultants nor subcontractors have any actual or potential organizational conflicts of interest as of the date of the submission of our proposal submitted in response to this solicitation.”

Offerors are advised that notwithstanding any certification provided by the respective offerors, the Contracting Officer reserves the right, and has the obligation, pursuant to FAR Subpart 9.5 to identify, analyze, avoid, neutralize, mitigate or waive any actual or significant potential OCI or the appearance of an OCI. The Contracting Officer may request additional information at any time from offerors to facilitate her meeting this obligation. Such Contracting Officer requests shall not be considered discussions. Moreover, the Contracting Officer reserves the right, and has the obligation, pursuant to FAR Subpart 9.5 to determine whether an offeror should be excluded from the competition based on the existence of a significant potential OCI, or the appearance of an OCI that cannot be avoided, neutralized, mitigated or waived to her satisfaction, as determined in her sole discretion.

2. Each offeror shall submit:

a. Documentation which identifies the accounting process utilized to account for direct and indirect costs (e.g., Quicken). Include any information which may have a bearing on your ability to handle the financial management of the contract. If you are proposing a joint venture, describe how you will handle financial matters and submit documentation identifying the formal formation of that relationship, including how liability is to be addressed between the constituent parties.

b. Company/Division Address,

c. Facility Code;

d. Commercial Activity and Government Entity (CAGE) code;

e. Data Universal Numbering System (DUNS) code;

f. Tax Identification Number (TIN); and

g. A list of Show Cause Notices, Cure Notices and Terminations for Default received on any and all contracts, task orders, or delivery orders within the past 5 years for all CAGE codes associated with the organization. If the offeror has not received any Show Cause Notices, Cure Notices or Terminations for Default in the past 5 years, the offeror shall insert a clear statement to that effect.

This information will be utilized to help establish offeror responsibility in accordance with FAR 9.104.

Offerors are advised that matters of responsibility are not discussions, as defined in FAR 15.306. As such, the Contracting Officer reserves the right at her sole discretion to address any responsibility issue with any offeror at any time.

3. The Offeror shall submit an SF33 signed by an agent who has the authority to sign on behalf of the offeror, acknowledging any/all amendments.

4. Offerors shall identify whether its proposal includes any exception, deviation, condition, “understanding,” or requesting a waiver from any of the terms or conditions of this solicitation. Please be advised that any exception, deviation, condition, understanding, or waiver request from the instructions provided in Section L, or any requirement of this solicitation may render your proposal unacceptable and ineligible for award.

5. Offerors may rely upon completed Representations and Certifications in SAM or submit a completed set of Representations and Certifications with its SF 33.

6. Provide the name, title and telephone number of the company/division point of contact(s) regarding decisions made with respect to your proposal and who can obligate your company contractually.

7. VETS 4212: As legislatively mandated under 38 U.S. Code, Section 4212, codified at 41 CFR Section 61-

300, respectively, contractors and subcontractors who enter into, or modify a contract or subcontract with the federal government, and whose contract meets the criteria set forth in the above laws or regulations, are required to report annually on their affirmative action efforts in employing veterans.

As such, offerors shall submit a copy of the confirmation of receipt notification (e-mail) for verification of successful submission of VETS 4212 report. If a Contractor, for any reason, cannot produce a confirmation notification, they may contact the VETS-4212 Service Center to request a verification search to be performed.

8. Submit evidence of a valid Top-Secret Facility Clearance as determined by the U.S. Government in the form of a valid, executed DDS FL 381-R, Letter of Notification of Facility Security Clearance, which is current as of the date of the submission of the offeror’s proposal.

B. The offeror shall submit File II, which shall include the items listed in the following paragraphs.

1. Technical Approach

(a) Offerors shall submit no more than a 25 page description of their company’s ability to meet the entire scope of one or more of the technical requirements in the PWS. The technical requirements are: 1.3.1 Engineering, 1.3.2 Testing, 1.3.3 Lab Management 1.3.4 Configuration Management, 1.3.5.1, Advanced Network Engineering, 1.3.5.2 Data Science, Artificial Intelligence (AI), Machine Learning (ML), and Software Development Services, 1.3.5.3 Command, Control, Communication, Computer, and Intelligence (C4I) System Services and 1.3.5.4 Cybersecurity . This technical approach for each technical requirement should include a description of the company’s expertise in these areas as well as the company’s overall management and staffing approach to support their ability to meet the technical requirement(s). In describing capabilities, do not list the names of any personnel proposed to perform on this contract.

(b) The offeror shall prepare and submit their technical approach using letter-sized (8-1/2” X 11”) pages, single-spaced, with one inch margins. One page equals one side of a sheet of paper. Any pages in excess of the page limitations will not be considered. Offerors shall use Times New Roman 12-point font with single spacing. Tables, graphics, and illustrations are not required and, if necessary, shall be kept to a minimum and may be prepared with Times New Roman 10-point font and single spacing. The use of tables, graphics, or illustrations to circumvent the font restrictions, or any other feature that appears to be an attempt to circumvent restrictions, or which renders it more difficult for the Government to evaluate proposals on a consistent basis, may result in elimination of the offeror from consideration. Do not include a cover letter, table of contents, definitions, or acronyms listings. If acronyms are used, spell them out the first time used.

C. The offeror shall submit File III, which shall include the items listed in the following paragraphs.

1. Past Performance

(a) Offerors shall provide no more than a total of five recent and relevant past performance references, limited to one page (single sided) each, for only the prime. Recent is defined as efforts with at least 12 months of performance occurring during the 36 months prior to the proposal submission date. Relevance is measured in terms of the similarity between the past performance effort and the requirements of the solicited effort, in terms of scope, complexity and magnitude. A relevant effort should demonstrate the offeror’s capability to successfully accomplish the performance requirements of this contract. The offeror shall provide the information using the worksheet provided in Section J – Past Performance Worksheet.

(b) For each contract referenced, a Past Performance Questionnaire contained in Section J must be completed and submitted. The offeror shall complete Part I and II of the Past Performance Questionnaire and e-mail the questionnaire to the applicable customer Point of Contact (POC). Each POC shall be instructed to complete the questionnaire and e-mail the entire questionnaire to the contract specialist, Kate Wimmer, at katrina.wimmer@usmc.mil, to arrive no later than the closing date and time specified in Block 9 on page 1 of the solicitation. If an offeror already has an evaluation completed within the Contractor Performance Assessment Report (CPAR) website for a referenced contract, a Past Performance Questionnaire does not need to be submitted for it, but the entire CPAR should be submitted as part of File III.

(c) In addition to providing the maximum of five contract efforts submitted, the offeror shall identify and provide all CPARS received within the past 3 years of this proposal submission date, as specified in Block 9 of Standard Form 33 of the RFP, that received a Marginal or lower rating for any evaluation area.

Moreover, the offeror shall identify any corrective or other actions it has taken to address, resolve, mitigate, and/or otherwise correct the issues that were the cause of the CPARS rating. The Government reserves the right to use contract performance data obtained from other sources including, for example, the CPARS database. In the event that an offeror fails to disclose any CPARS rated Marginal or lower within the last 3 years for the same CAGE code as the entity submitting the proposal, the offeror will neither be eligible for, nor otherwise considered for, award nor evaluated any further.

The offeror has the burden of providing thorough and complete past performance information. It is incumbent upon the offeror to explain the relevance of the cited past performance contracts. The Government has no duty to search for additional data to cure deficits the Government finds in the information provided by the offeror.
