B.1 GENERAL INFORMATION
This Indefinite Delivery/Indefinite Quantity (ID/IQ) Multiple Award Task Order Contract
(MATOC) is for Marine Corps Systems Command (MARCORSYSCOM) Program Management
Training Systems (PM TRASYS) for the Ground Training Systems Support (GTSS).
B.2 MINIMUM AND MAXIMUMS
Total Amount of Contract
The total amount of the MATOC with shared capacity among all Contractors awarded contracts under the Ground Training Systems Support (GTSS) solicitation will not exceed $48.9 million.
There is no limit to the number of Task Orders that may be executed against this contract. The cumulative total of all Task Orders issued under the MATOC will not exceed the total contract amount of $48.9 million. No single Task Order may be written for more than $10 million.
This GTSS MATOC IDIQ contract will have a basic ordering period of 40 Months or until the
$48.9 million shared contract limit is reached, whichever comes first.
Guaranteed Contract Amount
The minimum guarantee for the MATOC IDIQ is $1,000. All contractors who, as a result of this solicitation, are awarded task order eligibility under the GTSS MATOC IDIQ will be issued, at a minimum, a single task order for $1,000 over the life of this contract. This initial task order will satisfy the minimum guarantee (i.e. $1,000) of the contract terms and conditions of each
MATOC awardee.
In addition, the Government anticipates a first service task order (Task Order 0001) to be awarded [in addition to the minimum task orders ($1,000) for each MATOC awardee] as a result of the initial competition for this GTSS MATOC IDIQ. It is anticipated that this first service
Task Order 0001 will meet the minimum guarantee, and is valued at approximately $7,900,000.
If this aforementioned Task Order 0001 is awarded, no additional task order or amount will be issued to the respective Task Order 0001 MATOC awardee in terms of meeting the GTSS contract minimum guarantee.
Furthermore, aforementioned Task Order 0001 will have a period of performance of 12 Months
(1 month for mobilization plus 11 months of range services). For those offerors who receive
MATOC awardee eligibility resulting from the solicitation / competition phase of this MATOC
IDIQ contract but are NOT awarded Task Order 0001: if additional task orders (subsequent to
Task Order 0001) are awarded that meet the contract minimum of $1,000 within 12 months OR combine to meet the contract minimum of $1,000 within 12 months, previously awarded contract minimum task orders of $1,000 will be de-obligated and closed at no additional cost or liability to either the contractor or the Government.

1. Contract Definition
This Indefinite Delivery/Indefinite Quantity (ID/IQ) Multiple Award Task Order Contract
(MATOC) is for Marine Corps Systems Command (MARCORSYSCOM) Program Management
Training Systems (PM TRASYS) for the Ground Training Systems Support (GTSS).
This ID/IQ, MATOC for GTSS services will be for a consolidated sustainment support contract which provides systems operations, maintenance, inventory management, services for supplies, training and instruction, and web-based GTSS portal equipment request capabilities.
Furthermore, this ID/IQ MATOC will be 100% set aside for small businesses and fall under
NAICS CODE 811219. Firm fixed price Task Orders will be issued as a result of this MATOC.
ONLY US COMPANIES ARE ELIGIBLE FOR AWARD. United States companies are the only eligible companies for award on this MATOC IDIQ due to the on-going requirement for base access in execution of GTSS tasks dovetailed with the requirement for security compliance with the correlating policies of United States Marine Corps Bases and Installations regarding base access by contractors. “US Company” is defined in Federal Acquisition Regulation (FAR) 2.101.
All Task Orders to be awarded under this MATOC will be competed in accordance with (IAW)

FAR 16.505(b)(1) and DFARS 216.505-70, Task Order selection will be tailored to specific project requirements and awarded IAW established evaluation criteria. It is anticipated that the majority of orders will be evaluated as Lowest Price Technically Acceptable (LPTA), while other orders will be evaluated using a tradeoff approach between price and non-price factors.
The Government’s target is to award five (5) contracts under this solicitation; however, if the
Contracting Officer determines during the source selection process that fewer or more than five
(5) contracts should be awarded, based upon the selection criteria, the Contracting Officer has the discretion of adjusting that number, or awarding none at all.
Offerors must ensure that NAICS code 811219 is incorporated in their current Contract
Registration at the System for Award Management (SAM) https://www.sam.gov/portal/public/SAM/. Failure to have this NAICS code current in SAM may result in not being considered for the award.

These include but are not limited to: medical examinations, immunizations, passports/visas/etc., and security clearances.
(b) Travel Policy. The Government will reimburse the contractor for allowable travel costs incurred by the contractor in performance of the contract in accordance with FAR Subpart 31.2.
Travel required for tasks assigned under this contract will be governed in accordance with:
Federal Travel Regulations, prescribed by the General Services Administration for travel in the conterminous 48 United States, (hereinafter the FTR); Joint Travel Regulation, Volume 2, DoD
Civilian Personnel, Appendix A, prescribed by the Department of Defense, for travel in Alaska, Hawaii, The Commonwealth of Puerto Rico, and territories and possessions of the United States
(hereinafter JTR); and Standardized Regulations (Government Civilians, Foreign Areas), Section
925, "Maximum Travel Per Diem Allowances for Foreign Areas," prescribed by the Department of State, for travel in areas not covered in the FTR or JTR (hereinafter the SR).
(c) Travel. Travel and subsistence are authorized for travel beyond a fifty-mile radius of the contractor’s office whenever a task assignment requires work to be accomplished at a temporary alternate worksite. No travel or subsistence will be charged for work performed within a fifty-mile radius of the contractor’s office. The contractor will not be paid for travel or subsistence for contractor personnel who reside in the metropolitan area in which the tasks are being performed.
Travel performed for personal convenience, in conjunction with personal recreation, or daily travel to and from work at the contractor’s facility will not be reimbursed.
(1) For travel costs other than described in paragraph (c) above, the contractor will be paid on the basis of actual amount paid to the extent that such travel is necessary for the performance of services under the contract and is authorized by the COR in writing.
(2) When transportation by privately owned conveyance is authorized, the contractor will be paid on a mileage basis not to exceed the applicable Government transportation rate as contained in the FTR, JTR or SR. Authorization for the use of privately owned conveyance will be indicated in the basic contract. Distances traveled between points will be shown on invoices as listed in standard highway mileage guides. Reimbursement will not exceed the mileage shown in the standard highway mileage guides.
(3) The contractor agrees, in the performance of necessary travel, to use the lowest cost mode commensurate with the requirements of the mission as set forth in the basic contract and in accordance with good traffic management principles. When it is necessary to use air or rail travel, the contractor agrees to use coach, tourist class, or similar accommodations to the extent consistent with the successful and economical accomplishment of the mission for which the travel is being performed.
(4) The contractor’s invoices shall include receipts or other evidence substantiating actual costs incurred for authorized travel. In no event will such payments exceed the rates of common carriers.
(d) Car Rental. The contractor will be reimbursed for car rental, exclusive of mileage charges, as authorized in the basic contract or upon approval by the COR, when the services are required to be performed beyond the normal commuting distance from the contractor’s facilities. Car rental for a team on TDY at one site will be allowed for a minimum of four (4) persons per car, provided that such number or greater comprise the TDY team.
(e) Per Diem. The contractor will not be paid for per diem for contractor personnel who reside in the metropolitan areas in which the tasks are being performed. Per Diem will not be paid on services performed within a fifty-mile radius of the contractor’s home office or the contractor’s local office. Per Diem is authorized for contractor personnel beyond a fifty-mile radius of the contractor’s home or local offices whenever a task assigned requires work to be done at a temporary alternate worksite. Per Diem will be paid to the contractor only to the extent that overnight stay is necessary and authorized under this contract. The authorized per diem rate will be the same as the prevailing per diem in the worksite locality. These rates will be based on rates contained in the FTR, JTR or SR. The applicable rate is authorized at a flat seventy-five (75%) percent on the day of departure from contractor’s home or local office, and on the day of return.
Reimbursement to the contractor for per diem will be limited to actual payments to per diem defined herein. The contractor shall provide actual payments of per diem defined herein. The contractor shall provide supporting documentation for per diem expenses as evidence of actual payment.
(f) The Government will not reimburse the Contractor for costs incurred beyond the Not to
Exceed price for travel. The COR will approve ALL travel prior to occurring.
7. Task Orders
Orders for services or work described herein may be issued by the Contracting Officer in accordance with requirements determined by the applicable Contracting Officer’s
Representative, at any time during the effective term of this contract. The Contracting Officer will be responsible for assuring that the requirements of DFARS 215.404 are met. Except as otherwise provided in a specific Task Order, the Contractor shall furnish all materials and services necessary to accomplish the work specified within each Task Order. The provisions of this agreement apply to all Task Orders issued and to the extent that any inconsistency between
Task Orders and this contract might take place, the contract shall take precedence.
Funding of Orders - each order will be individually funded. The appropriation and accounting data required to obligate funds will be included in each order. Orders may be funded with one or more Lines of Accounting.
Surge Support may be required for services to support activities listed in a task order’s PWS as deemed necessary by the Government over the order period of performance. Surge Support will be negotiated and approved by the Contracting Officer prior to the Contractor’s performance of the Surge Task services.
8. Formal Source Selection Procedures Do Not Apply to Task Order Competitions
Conducted under the Awarded MATOC Contract
Upon the Request for Proposal for any task order among MATOC awardees, Contractors will have No Later Than 10 calendar days to respond. This deadline may be extended at the discretion of the Government. Extension of deadline, if applicable, will be provided within the
RFP for individual Task Orders.
PM TRASYS does not want to waste its industry partners’ bid and proposal dollars or PM
TRASYS’s resources. As a result, regardless of whether PM TRASYS uses LPTA or a tradeoff approach, the task order solicitations and evaluations will be streamlined solicitations and evaluations conducted pursuant to FAR § 16.505. The streamlined evaluations and solicitations will contain fewer proposal submission requirements, a reduced page limitation, and are not being conducted using the formal source selection procedures of FAR Subpart 15.3.
Because the task order streamlined evaluations are not using the formal source selection procedures of FAR Subpart 15.3, procedures such as a competitive range determination, pre-award notifications to offerors excluded from a competitive range, pre-award debriefings, oral or written discussions with all offerors within a competitive range, and requesting final proposal revisions from all offerors included within a competitive range are not required for task order competitions under the MATOC multiple-award contract. The identification of deficiencies and weaknesses, the government’s questions and comments, and the offeror’s answers and responses do not and will not constitute discussions, clarifications, communications, or exchanges as used in FAR Subpart 15.3.
Under FAR § 16.505 for a task order competition, the government is required to afford all contractors under the awarded MATOC multiple-award contract a fair opportunity to submit an offer and have that offer fairly considered. Accordingly, the government will evaluate each
MATOC offeror’s proposal fairly, similarly, and in accordance with the solicitation’s evaluation criteria. If the government does not award on initial proposals, however, the government will not establish a competitive range comprised of all of the most highly rated proposals. Accordingly, the offeror’s initial proposal must contain the offeror’s best terms, conditions, and prices. Pre-award debriefings and pre-award notifications of exclusion prior to award are not required under
FAR Subpart 16.5, and the government will not provide them.
For tradeoff evaluations only, after the government has afforded all offerors under the MATOC multiple-award contract a fair opportunity to submit an offer and have that offer fairly considered for a task order competition, the government’s selection official may take or direct one or more of the following actions:
(1) award to the offeror whose proposal conforms to the solicitation’s requirements and is the most advantageous to the government based upon an integrated assessment of Section M’s evaluation Factors;
(2) obtain written resolutions or proposal revisions from the offeror whose initial proposal is the most advantageous to the government based upon an integrated assessment of the Section M evaluation Factors and would be awardable under the solicitation’s evaluation criteria but for one or two easily-resolvable deficiencies, weaknesses, or clarifications — the resolution of which do not remove evaluated strengths or increase the offeror’s proposed total evaluated price set forth in Section B of the task order;
(3) obtain price supporting information, without obtaining a revised proposal or increase in proposed price, from the offeror whose initial proposal conforms to the solicitation’s requirements and is the most advantageous to the government based upon an integrated assessment of the Section M evaluation Factors;
(4) further consider only the two offerors who are most likely to provide the most advantageous revised proposal to participate in one-on-one negotiations and submit proposed fixes and/or revised proposals;
(5) further consider only the offeror who provided the most advantageous proposal to the government based upon an integrated assessment of the Section M evaluation Factors, despite any weaknesses or deficiencies that may exist with that proposal, where it would be an unequivocal waste of the other offerors’ bid and proposal dollars to consider them further; or
(6) not award to any offeror.
As required by FAR § 16.505, the task order selection official will document his or her basis for award. Upon written request to the Contracting Officer, unsuccessful MATOC offerors will receive a copy of the selection official’s decision document, redacted to remove other MATOC offerors’ confidential commercial information.
Because a successful offeror’s evaluated strengths and weaknesses are generally exempt from release under the Freedom of Information Act, 5 U.S.C. § 552 — but so that unsuccessful offerors might have some idea of where they stood in the evaluation compared to the successful offeror — the government will assign one of the Technical Factor ratings below to a MATOC task order competition. The selection official, however, will not base his or her decision on the ratings because ratings are merely guides to intelligent decision making. The selection official will perform a tradeoff between offerors’ evaluated prices and their evaluated Technical Factor strengths, weaknesses, and deficiencies -- and their relevant positive and negative assessments under the Past Performance Factor if past performance is evaluated.
TECHNICAL FACTOR RATINGS
For MATOC task order competitions based upon LPTA, the government will assign one of the
Technical Factor ratings below to the offeror’s Technical Factor based upon the government’s evaluation.
Technical Acceptable / Unacceptable Ratiing Method
Adjectival Rating Description
Acceptable Proposal meets the requirements of the solicitation
Unacceptable Proposal does not meet the requirements of the solicitation
For MATOC task order competitions based upon a tradeoff, the government will assign one of the Technical Factor ratings below to the offeror’s Technical Factor based upon the government’s subjective assessment of each offeror’s evaluated strengths, weaknesses, and deficiencies.
Technical Factor Ratings
Rating
Outstanding Proposal meets requirements and provides significant benefit to the government, even with any evaluated weaknesses that may exist.
Good Proposal meets requirements and provides benefit to the government, even with any evaluated weaknesses that may exist.
Acceptable Proposal meets requirements and may even provide some benefit to the government, even with any evaluated weaknesses that may exist.
Marginal Proposal may meet solicitation requirements, but does not present a complete approach, a completely adequate approach, or the offeror will likely have difficulty overcoming evaluated weaknesses.
Unacceptable Proposal does not meet requirements.
9. Post Award Conference
Upon award of the MATOC, all awardees will be required to participate in the MATOC PAC kickoff meeting. The details of the Post Award conference will be finalized at time of award, but
Contractors can expect it to most likely occur in Orlando, Florida no-later-than 10 days after
MATOC award. Participation via teleconference or VTC is allowed; therefore, any travel incurred for the PAC is not an authorized cost, and is solely the responsibility of the Contractor and will not reimbursed or paid by the Government under any circumstance. Any invoice submitted will be rejected.
10. Construction
This is not a construction contract, no construction services shall occur under this contract.
11. Cooperation
While it is not planned, there may be instances, based on awards of Task Orders, in which more than one MATOC awardee is contracted to work on the same base/location. In such instances, it is the expectation of the Government for each Contractor to extend basic professional courtesy and peaceable interaction. Should an issue arise, the Government expects agreement to be reached without the assistance of the Government. Should the Government get involved, it reserves the right to terminate one or both task orders for convenience, consolidate the remaining work, and compete it among other MATOC awardees.
12. NMCARS 5237.102-90 Enterprise-wide Contractor Manpower Reporting Application
(ECMRA)
The contractor shall report contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for the Manpower and Reserve Affairs
(M&RA) Information Technology (IT) Execution Roadmap via a secure data collection site.
Contracted services excluded from reporting are based on Product Service Codes (PSCs). The excluded PSCs are:
(1) W, Lease/Rental of Equipment;
(2) X, Lease/Rental of Facilities;
(3) Y, Construction of Structures and Facilities;
(4) S, Utilities ONLY;
(5) V, Freight and Shipping ONLY.
The contractor is required to completely fill in all required data fields using the following web address https://doncmra.nmci.navy.mil.
Reporting inputs will be for the labor executed during the period of performance during each Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than
October 31 of each calendar year. Contractors may direct questions to the help desk, linked at https://doncmra.nmci.navy.mil.
13. Constructive Changes No modification, statement, or conduct of Government personnel who might visit the
Contractor’s facility or in any other manner communicate with Contractor personnel during the performance of this contract will constitute a change under the “Changes” clause of this contract.
No understanding or agreement, contract modification, change order, or other matter deviating from or constituting an alteration or change of the terms of the contract will be effective or binding upon the Government unless formalized by contractual documents executed by the
Contracting Officer.
The Contracting Officer is the only person authorized to approve changes in any of the requirements of this contract and, notwithstanding provisions contained elsewhere in the contract, the said authority remains solely with the Contracting Officer. In the event that the
Contractor effects any change(s) at the direction of any person other than the Contracting
Officer, these change(s) will be at the Contractor’s expense. No adjustment will be made in the contract price or other contract terms and conditions, as the Contracting Officer did not approve consideration for the aforementioned unauthorized change. Further, should the unauthorized change be to the Government’s detriment, the Contractor may be held financially responsible for its correction.
Responsibility in Subcontracting- The Contractor shall provide the technology processes, test procedures, data, drawings, and/or other information required to facilitate competition to the fullest extent feasible, and ensure performance by selected subcontractors. The Contractor will be fully responsible for ensuring that all appropriate contractual provisions and clauses are passed down to its subcontractors, and that those provisions are enforced.
14. Organizational Conflict of Interest (OCI) https://doncmra.nmci.navy.mil/ https://doncmra.nmci.navy.mil/
(a) “Organizational Conflict of Interest” means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the government, or the person’s objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage. “Person” as used herein includes corporations, partnerships, joint ventures, and other business enterprises.
(b) The contractor warrants that to the best of its knowledge and belief, and except as otherwise set forth in the contract, the contractor does not have any organizational conflict of interest(s) as defined in paragraph (a).
(c) It is recognized that the effort to be performed by the Contractor under this contract may create a potential organizational conflict of interest on the instant contract or on a future acquisition. In order to avoid potential conflict of interest, and at the same time to avoid prejudicing the best interest of the government, the right of the contractor to participate in future procurement of equipment and/or services that are the subject of any work under this contract will be limited as described below in accordance with the requirements of FAR 9.5.
(d)(1) The contractor agrees that it shall not release, disclose, or use in any way that would permit or result in disclosure to any party outside the government any information provided to the contract by the government during or as a result of performance of this contract. Such information includes, but is not limited to, information submitted to the government on confidential basis by other persons. Further, the prohibition against release of government provided information extends to cover such information whether or not in its original form, e.g., where the information has been included in contractor generated work or where it is discernible from materials incorporating or based upon such information. This prohibition will not expire after a given period of time.
(2) The contractor agrees that it shall not release, disclose, or use in any way that would permit or result in disclosure or any party outside the government any information generated or derived during or as a result of performance of this contract. This prohibition will expire after a period of three years after completion of performance of this contract.
(3) The prohibitions contained in subparagraphs (d)(1) and (d)(2) will apply with equal force to any affiliate of the contractor, any subcontractor, consultant, or employee of the contractor, any joint venture involving the contractor, any entity into or with which it may merge or affiliate, or any successor or assign of the contractor. The terms of paragraph (f) of the Special Contractor
Requirement relating to notification will apply to any release of information in contravention of this paragraph (d).
(e) The contractor further agrees that during the performance of this contract and for a period of three years after completion of performance of this contract, the contractor, any affiliate of the contractor, any subcontractor, consultant, or employee of the contractor, any joint venture involving the contractor, any entity into or with which it may subsequently merge or affiliate or any other successor or assign of the contractor, shall not furnish to the United States
Government, either as a prime contractor or as a subcontractor, or as a consultant to a prime contractor or as a subcontractor, any system, component or services which is the subject of the work to be performed under this contract. This exclusion does not apply to any re-competition for those systems, components, or services on the basis of work statements growing out of the effort performed under this contract, from a source other than the contractor, subcontractor affiliate, or assign of either, during the course of performance of this contract or before the three year period following completion of this contract has lapsed, the contractor may, with the authorization of the cognizant contracting officer, participate in a subsequent procurement for the same system, component, or service.
In other words, the contractor may be authorized to compete for procurement(s) for systems, components or services subsequent to an intervening procurement.
(f) The contractor agrees that, if after award, it discovers an actual or potential organizational conflict of interest, it shall make immediate and full disclosure in writing to the contracting officer. The notification shall include a description of the actual or potential organizational conflict of interest, a description of the action which the contractor has taken or proposes to take to avoid, mitigate, or neutralize the conflict, and any other relevant information that would assist the contracting officer in making a determination on this matter. Notwithstanding this notification, the government may terminate the contract for the convenience of the government if determined to be in the best interest of the government.
(g) Notwithstanding paragraph (f) above, if the contractor was aware, or should have been aware, of an organizational conflict of interest prior to the award of this contract or becomes, or should become aware of an organizational conflict of interest after award of this contract and does not make an immediate and full disclosure in writing to the contracting officer, the government may terminate this contract for default.
(h) If the contractor takes any action prohibited by this requirement or fails to take action required by this requirement, the government may terminate this contract by default.
(i) The contracting officer's decision as to the existence or nonexistence of the actual or potential organization conflict of interest will be considered final.
(j) Nothing in this requirement is intended to prohibit or preclude the contractor from marketing or selling to the United States Government its product lines in existence on the effective date of this contract; nor will this requirement preclude the contractor from participating in any research and development. Additionally, sale of catalog or standard commercial items are exempt from this requirement.
(k) The contractor shall promptly notify the contracting officer, in writing, if it has been tasked to evaluate or advise the government concerning its own products or activities or those of a competitor in order to ensure proper safeguards exist to guarantee objectivity and to protect the government's interest.
(l) The contractor shall include this requirement in subcontracts of any tier which involve access to information or situations/conditions covered by the preceding paragraphs, substituting
"subcontractor" for "contactor" where appropriate.
(m) The rights and remedies described herein will not be exclusive and are in addition to other rights and remedies provided by law or elsewhere included in this contract.
(n) Compliance with this requirement is a material requirement of this contract.
15. Performance Based Requirements
A task order awardee is required to meet all contract performance requirements, and if the requirements take more staffing than proposed, the task order awardee is required to provide additional staffing, at no increase in price, until all contract performance requirements are satisfactorily met.
