SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

INSTRUCTIONS TO OFFERORS

Section L – Instructions, Conditions and Notices to Offerors

L-1 General

L-1.1.The purpose of this procurement is to obtain creative design services required for the final phase of the National Museum of the Marine Corps (NMMC).

L-1.2 The Government intends to issue a single contract award containing Firm Fixed Price (FFP) and Cost Reimbursable Travel and ODC’s CLINS for one (1) twelve (12) month base period, plus two (2) twelve (12) month option periods, as a result of this solicitation

L-1.3 Each Offeror shall submit a proposal that clearly and concisely describes its response to the requirements of the solicitation. Use of general or vague statements such as “standard procedures will be used” will not satisfy this requirement. Unnecessary elaboration or presentations beyond what is sufficient to present a complete and effective solution are not desired and may be construed as a lack of understanding of the requirement.

L-1.4 Each Offeror’s submission will be screened by the Contracting Officer upon receipt to ensure completeness and compliance with the instructions contained in the Request for Proposal (RFP). Elimination of an Offeror is at the sole discretion of the Contracting Officer.

L-1.5 The Government may evaluate proposals and award a contract without discussions.

Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a non-price and price standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary.

L-2 Instructions for Submission of Questions

L 2.1 All electronic submittals/receipt of questions are received by the Contracting Office in the timeframe given below.

L 2.2 - Offerors may submit questions requesting clarification of solicitation requirements on the bid event. All questions must be received by June 4, 2013. A proposal that fails to conform to the requirements of the paragraph L-3.1.4 may be subject to interception or delay. This interception or delay may result in the proposal being lost, destroyed, or forwarded in such a manner that the proposal arrives at the target destination past the time and date of the deadline for submission established in the solicitation. In the event that a proposal is lost, or destroyed due to the offeror's failure to conform to the requirements of paragraph L-3.1.4, such proposal will be considered to have never been delivered to the Government. In the event that a proposal is delayed due to the offeror's failure to conform to the requirements of paragraph L-3.1.4, the proposal will be treated as late in accordance with the provision of FAR 52.212-1(f), entitled Late Submissions, Modifications, and Withdrawals of Proposals.

L-5.2.5 - Offerors should note that the Option to Extend Services clause at FAR 52.217-8 is included in the solicitation. The Government will evaluate this potential option to extend services by adding six (6) months of the offeror’s final option period price to the offeror’s total evaluated price. Offerors are notified that the government may choose to use the Option to Extend Services clause at the completion of any performance period. The price for the exercise of any portion of the available six months will be derived from the prices in effect at the end of the current performance period. Evaluation of option pricing will not obligate the government to exercise any optional performance period. Offeror’s pricing should reflect the potential exercise of the Extension of Services option at FAR 52.217-8, keeping mind that this solicitation is competitive and should reflect the offeror’s most competitive price and terms.

L-6 Evaluation Factors

L-6.1 Factor 1. Technical Capability.

L-6.1.1 The proposal should clearly ADDRESS the Offeror’s understanding of the technical and programmatic requirements outlined in the Performance Work Statement (PWS); ensuring their discussion articulates their capability so as to provide continuous quality support. The discussion must demonstrate the Offeror’s capacity to support the identified demonstrated mission areas, understands the priorities and emerging issues within those areas, and can execute a comprehensive approach that ensures quality performance and use of staff resources to meet objectives. The proposal should clearly demonstrate the Offeror’s ability to adequately identify a suitable level of technical understanding of the issues. This includes, at a minimum, describing contract level performance objectives that can be accomplished by their technical approach; describe the benefits and advantages of that approach; and effectively illustrate the roles of staff and team resources to execute the intended strategy.

L-6.1.2 In addition, the Offeror shall provide the following:

• Examples of no less than five (5) separate projects, that the Offeror has produced that are equal in size and scope of the final phase projects. The examples will include photographs with notations of what work shown was performed by the Offeror, videos, web sites and any other materials that will demonstrate the Offeror’s ability to meet the solicitation requirements;

• A full color sample (scanned image acceptable) of a rendering from the artist who will be working on the project. This rendering will need to satisfy all requirements listed in the solicitation. Contract award will be partially based on this person’s creative renderings; post award substitutions are not permitted;

• A sample video media storyboard panel equal in complexity to what will be produced for the final phase project;

• A sample conceptual scaled floor plan equal in complexity to what will be produced for the final phase project;

• A list of innovational systems, processes or designs developed by the Offeror.

L-6.1.3 The Offeror should also provide any additional materials that will demonstrate an understanding of the level of quality required for the final phase project and/or demonstrate to NMMC the ability to carry out the project scope.

L-6.2 Factor 2. Performance Execution and Management

L-6.2.1 The proposal shall clearly demonstrate the Offeror’s management approach suitable to respond to the types of requirements delineated in the PWS, consistent with their technical approach. The discussion must provide a comprehensive approach to managing task order performance-based work requirements; assurance of consistent quality of performance;

capacity for handling matters of staffing and resource balancing; and ensuring complementary roles between the contractor’s managers and government staff. The evaluation will be based on the Offeror’s understanding of the critical support areas, emerging issues, and risks associated with the support goals set forth in the PWS, and has the management techniques, controls, subcontractor management processes, and quality provisions necessary to execute their approach.

L-6.2.2 The offeror shall demonstrate their ability to adequately define an effective management approach complementary to the proposed technical solution set forth in response to the criteria in the PWS. At a minimum, this includes identifying responsibilities and roles of team members in attaining performance objectives; describing the processes and quality measures associated with executing the strategy; and illustrating the roles of staff and team resources relevant to the approach so as to ensure suitable oversight and control of performance execution. Collectively, the integrated approach must demonstrate to the evaluator that the Offeror possesses the capabilities and resources to establish and operate an efficient organization that is both responsive and flexible to meet the requirements. Roles of management and other key staff are annotated and provisions for independent, objective quality assurance (e.g., customer surveys, etc.) are incorporated. Measures for immediate action and remediation are noted in the discussion so as to ensure the quality of contract deliverables and timeliness of service delivery.

Key considerations include process maturity, roles of responsible staff, degree of WBS integration, and controls at both the corporate and contract level under performance-based operating parameters.

L-6.2.3 In addition, the Offeror shall provide the following:

• A well-documented record of designing and producing designs for museum and/or themed entertainment venues valued no less than $25 million;

• A discussion of risk factors that the offeror anticipates with this project and ways the offeror will be mitigated from the project management perspective;

• Resumes of key personnel, to include, at a minimum: president; vice president; project officer; and rendering artist;

• Documentation of membership in the National Association of Museum Exhibition (NAME); the American Alliance of Museums (AAM); and/or the Themed Entertainment Association (TEA).

L-6.3 Factor 3. Past Performance

L-6.3.1 The proposal shall address the quality of an Offeror’s relevant and recent (within previous three (3) years past performance based on the input received from the Offeror, its references (via Past Performance Questionnaire), and other reliable sources contacted by the Government. Offeror’s that have no record of past performance (i.e. new businesses) must submit a signed and dated statement to that effect. If an Offeror submits a certification statement and the Government has no information available regarding the Offeror’s past performance, that Offeror will receive an Unknown Confidence (Neutral) rating (i.e. the Offeror is evaluated neither favorably nor unfavorably) for past performance. Offerors are advised that any contract reference submission that is not relevant will receive a neutral rating for that contract reference in Past Performance.

The Offeror will provide at least three (3) references demonstrating relevant past performance involving the quality of performing the same or similar services within the last five (5) years.

L-6.3.2 For each reference, iinclude the following fields:

• Customer;

• Contract/Task Order number;

• Program name;

• Period of Performance

• Contract type;

• Total contract value;

• Brief synopsis of work performed for each contract referenced;

• List of issues encountered, to include information regarding the Contractor’s role in resolving challenges and problems;

• Provide an example of a project where the contractor could not meet scheduled deadlines and/or exceeded budget. Include a discussion of events that led to the overrun(s) and the ultimate resolution reached with the client;

• Identification of any Key Staff involved who will be assigned to this contract;

• Names / telephone numbers / e-mail for the PCO and COR

L-6.3.3 In addition, Offerors should provide the enclosed Past Performance Questionnaire to the same three (3) previous references. The Past Performance Questionnaire will be structured to gather past performance information in the following areas:

1. Technical Performance

2. Schedule Performance

3. Management Performance

4. Cost Control

L-6.3.3 The Government may request additional past performance information from others using the Past Performance Questionnaire. The Government may also use other information such as CPARS/PPIRS/FAPIIS data available from Government sources to evaluate an Offeror’s past performance. The Government reserves the right to limit or expand the number of references it decides to contact and to contact references other than those provided by the Offeror.

L-6.3.4 The Offerors shall provide a Formal Offer letter, to include the total contract dollar value. Provide prices corresponding to the CLIN’s in Section B of the solicitation, to include Labor categories, fully loaded rates, and number of hours (to include supporting material documentation) for your firm fixed pricing. There is a 25 page limit for Business volume II.

Offerors are required only to price the one (1)-year base and all of the one (1)-year option periods. Offerors shall not submit a price for the potential six month extension of services period.

L-6.4 Factor 4. Price

L-6.4.1 The fully developed total price for each function established in the CLIN structure of Section B of the solicitation should be clearly annotated in the proposal and include the information requested in paragraph L-5.2.

The Offeror shall identify any burden rate(s) that will be applied to the cost reimbursement

CLINS.

The Offeror shall provide extended totals, per period of performance, as well as the total extended pricing for the overall contract. No ambiguities of inclusion, exclusion, or content shall be extended and lack of content or clarity with regard to pricing shall be considered as representing a “non-responsive” offer.

The Government intends to evaluate the base and all option years including the six (6) month option should FAR 52.217.8, Option to Extend Services, be invoked.

L-10 Completeness The Offeror must sign the SF1449, acknowledge all amendments, and include a compliance matrix and Table of Contents corresponding to its proposal submission.

At a minimum, the following areas must be addressed:

-Offer is valid for 90 days from (Date of Submission);

-No exception to any Terms and Conditions has been taken;

-No assumptions or constraints included in Offeror’s proposal;

-Acknowledge any amendments to the RFP;

-CCR validated / NAICS 541430 compliant;

-Signed Offer of $XXXXXXX for BY/ 2-Options provided;

-CLIN pricing and supporting documentation is provided;

-Staff positions based upon contingency hires must include a signed letter of offer/acceptance in the Business Volume;
