About this file

This addendum document supplements the Master Contract Request for Proposal (MCRFP) for Light Rail & Metro Facilities Ancillary - Repairs, Maintenance, & Minor Construction issued by the Maryland Transit Administration (MTA), a division of MDOT. The contract encompasses miscellaneous minor construction, repairs, and maintenance work at light rail and metro facilities located in Baltimore City, Baltimore County, and Anne Arundel County. Services include electrical repairs and upgrades, concrete and asphalt paving repairs, masonry construction, mechanical and HVAC work, plumbing repairs, door and gate repairs, painting, drywall work, roofing repairs, structural modifications, and related facility preservation services. The pre-proposal conference was held on July 24, 2026, at 11:00 AM, with a site visit to Shot Tower Metro Station scheduled for July 27, 2026, at 1:00 PM. The deadline for submitting written questions is August 6, 2026, at 3:00 PM ET, with proposals due November 30, 2026, at 10:00 AM ET via the eMaryland Marketplace Advantage (eMMA) portal. The MTA intends to award up to seven master contracts to qualified offerors who will then compete for task-specific secondary competition solicitations issued as Task Order Requests for Proposals (TORFPs).

Proposals must be submitted in two separate envelopes containing technical and financial components, with financial proposals opened only after technical proposals are deemed acceptable. Minimum qualifications include maintaining a Worker's Compensation Experience Modification Rating below 1.0 and demonstrating at least three years of experience in at least eight specified industries with credible references. M/DBE participation goals will be established on a per-task-order basis rather than at the contract-wide level, with MBE-certified contractors permitted to self-perform up to 50 percent and DBE-certified contractors up to 100 percent of work. Master contractors must execute at least 25 percent of each task order with their own organization and forces. The sample task order for Shot Tower Metro Station enhancements includes lighting fixture and signage replacement, surveillance camera protection, power washing, glass panel replacement, painting, tree pit removal, pavement brick leveling, fence repair, and drainage grate replacement. Monthly payment reports are required to track M/DBE compliance and participation credits. All questions and addenda will be posted on eMMA, and unsuccessful offerors may request debriefing from the procurement officer.

REMARKS FROM EOCP

REPRESENTATIVE

Contract-Wide M/DBE Goal: N/A – M/DBE participation percentages will be established per Task Order.

Reminders: The following forms are part of the M/DBE requirements for this project.

Use only the forms provided in the solicitation.

• M/DBE Form A is the Certified Utilization and Fair Solicitation Affidavit, which is your commitment and understanding of the overall participation percentage. Form A is typically completed in response to a contract-wide M/DBE participation percentage.

However, as participation percentages for this Master Contract will be set for each individual Task Order, based on the scope of work involved, Form A shall be not be submitted, as the Sample Task Order is not funded and will be used for evaluation purposes only.

• M/DBE Form B is the M/DBE Participation Schedule which lists the certified M/DBE firms that you will be using.

Self-Performance: If you are M/DBE certified and participating as a Master Contractor, you may perform up to the following percentages: MBE: 50% DBE: 100%

• As the sample task order is not funded and will be used for evaluation purposes only, M/DBE Forms shall not be submitted with Proposals.

• For future Task Orders, MDOT M/DBE Form A must be submitted with each Task Order Technical Proposal.

• If the Master Contractor fails to submit completed Form A with future Task Order Technical Proposals as required, the Proposal shall be determined to be not reasonably susceptible of being selected for award.

• For future Task Orders, MDOT M/DBE Form B must be submitted with each Task Order Financial Proposal.

• If the Master Contractor fails to submit completed Form B with future Task Order Financial Proposals as required, the Proposal shall be determined to be not reasonably susceptible of being selected for award.

• It is important that you engage the M/DBE firms as early as you engage any other type of supplier and/or subcontractor/vendor. Please be sure to contact your intended M/DBE Firms via all means necessary (i.e. email, phone, fax).

• All firms listed on Form B must be certified at the time of proposal submission.

• Please visit MDOT’s website to access its electronic M/DBE directory for a complete listing of certified firms at MarylandMBE.MDBEcert.com.

• If you are notified that you are the Awarded Contractor (for future Task Orders), you must submit MDOT M/DBE Forms C and D within ten business days (10BD) of receiving such notice, or as requested by the Contract Monitor.

• M/DBE Form C: Outreach Efforts Compliance Statement

• M/DBE Form D: Subcontractor Project Participation Affidavit

• It is mandatory that you obtain signatures on Form D from the participating M/DBE firms that are listed on Form B.

• If there is a change with a subcontractor listed on Form B between Proposal submission and Award, you must provide a written explanation for the change.

60% Rule Supply Items

• When calculating your goals, there is a 60% rule for supply items.

• You may count your entire expenditure to a certified business supplier that manufactures or produces goods from raw materials or that substantially alters goods before resale;

HOWEVER

• You may only count 60% of the expenditures to certified suppliers who are not manufacturers.

• Example:

You spend $10,000 on supplies….

($10,000 x 60%) = $6,000 would be the amount counted towards your M/DBE goal participation.

• Additionally, the M/DBE credited supplies may not exceed 60% of the entire contract goal.

DBE Distributor Guidelines (FTA)

• If the materials or supplies are purchased from a DBE distributor that neither maintains sufficient inventory nor uses its own distribution equipment for the products in question, count 40% of the cost of materials or supplies (including transportation costs).

• A DBE distributor is an established business that engages in the regular sale or lease of the items specified by the contract. A DBE distributor assumes responsibility for the items it purchases once they leave the point of origin (e.g., a manufacturer's facility), making it liable for any loss or damage not covered by the carrier's insurance. A DBE distributor performs a CUF when it demonstrates ownership of the items in question and assumes all risk for loss or damage during transportation, evidenced by the terms of the purchase order or a bill of lading (BOL) from a third party, indicating Free on Board (FOB) at the point of origin or similar terms that transfer responsibility of the items in question to the DBE distributor.

• If these conditions are met, DBE distributors may receive 40% for drop-shipped items. Terms that transfer liability to the distributor at the delivery destination (e.g., FOB destination), or deliveries made or arranged by the manufacturer or another seller do not satisfy this requirement.

Requesting an M/DBE Waiver (MDOT Form E) Should only be completed if an M/DBE Waiver is being requested

• If you believe that your firm cannot achieve the established goal you have the right to request a waiver. The request should be indicated in your initial proposal package (on M/DBE Form A) (Certified M/DBE Utilization and Fair Solicitation Affidavit).

• The waiver request must be in writing and submitted within five days following notification that your firm is the apparent awardee proposer.

• Your waiver request must include the following documentation:

o Detailed statement of the efforts made to select portions of the work proposed to be performed by certified M/DBEs to increase the likelihood of achieving the stated goal;

o Detailed statement of the efforts made to contact and negotiate with certified M/DBEs;

o As to each certified M/DBE that placed a subcontract quotation or offer that the apparent successful proposer considers not to be acceptable, a detailed statement of the reasons for this conclusion;

o A list of certified M/DBEs found to be unavailable, which shall be accompanied by a M/DBE unavailability verification formed signed by the certified M/DBE, or a statement from the apparent successful proposer that the certified M/DBE refused to give the written verification;

• Please refer to COMAR 21.11.03.11 and 49 CFR 26.53 for a detailed description of waiver requests requirements and good faith effort procedures.

Note: Your request for a waiver (with all supporting documentation) will be reviewed by EOCP & a determination will be made by the Procurement Officer.

Monthly Reporting

• On the 25th of each month, Monthly Payment Reports will be system generated and e-mailed to the prime and each subcontractor on the contract.

• The reports are due back by the 10th of the next month. It is the Prime’s responsibility to ensure the subcontractors are submitting these reports in a timely manner.

• If the reports are not received, a First Notice e-mail will be system generated.

• The payment information submitted by the prime and subcontractor must match. For example: If the prime is submitting their monthly payment report showing invoice # 1 as being paid to subcontractor X and subcontractor X is submitting their monthly payment report showing invoice #01 as being paid, the system will not match these invoices.

• Payments are recorded in the system (automatic system upload), and if payments are not recorded in the system, NO M/DBE CREDIT IS GIVEN.

• M/DBE compliance is calculated based on the Monthly Payment Reports.

Requirements of 49 CFR §26.13(b), §26.53 (j), COMAR 21.11.03 Subcontract Agreements

• The Prime is required to have signed subcontract agreements with each M/DBE subcontractor performing work on the contract. The subcontract agreements must identify the work to be performed by the subcontractor and the dollar value associated. The MTA contract also identifies language that is required to be incorporated into each subcontract agreement. Each subcontract agreement must be submitted to the Procurement Officer.

Replacing a M/DBE Subcontractor

• Prior to replacing a M/DBE subcontractor, written approval must be obtained from the Equal Opportunity Compliance Program (EOCP). For further information and requirements regarding terminating/replacing a DBE subcontractor see 49 CFR §26.53 (f), (g), (h). For further information and requirements regarding terminating/replacing an MBE subcontractor see COMAR 21.11.03.12.

Calculating M/DBE Participation

• For work to count towards the M/DBE goal, the M/DBE must be performing a

Commercially Useful Function (CUF) on the contract.
