About this file
This is a Justification for Other Than Full and Open Competition (JOFOC) document from the Defense Logistics Agency (DLA) Contracting Services Office in New Cumberland, PA, dated December 26, 2024. The document justifies a sole-source contract extension for leased multi-functional devices (MFDs) under contract SP7000-20-F-0037.
The extension covers 83 devices for a one-month period (January 1-31, 2025) with four one-month options through May 31, 2025. The original contract provided leased MFDs with full service maintenance and consumable supplies from CTI/Xerox. The sole-source justification is based on urgency and the fact that the current devices are under lease terms that only the incumbent vendor can service. Market research indicated other vendors could supply MFDs, but installation timing constraints and existing lease terms require maintaining the current vendor. The follow-on requirement has been competed under contract numbers SP7000-25-F-0013, SP7000-25-F-0014, SP7000-25-F-0031 and pending FDR 85725FDEM17578. No notice was required per FAR 5.101(a)(1), and no other vendors expressed interest in the acquisition.

| Text2: DLA Document Services has a need to issue a 1 month (Jan 1, 2025 - Jan 31, 2025) with a four 1 month options (Feb 1, 2025 - Feb 29, 2025, Mar 1, 2025 - Mar 31, 2025, Apr 1, 2025 - Apr 30, 2025 & May 1, 2025 - May 31, 2025) extension contract to continue services for SP7000-20-F-0037 without using competitive procedures. Original contract provided for leased multi-functional devices (MFDs), full service maintenance, all consumable supplies (excluding paper), key operator training, networking functionality, security accreditation along with technical and network installation support, is required, for OCONUS. |
| Text3: Original order SP7000-20-F-0037 procured 88 devices(83 are being extended on this extension), with full service maintenance and all consumable supplies (excluding paper) for OCONUS. Lease support is requested to allow continuation of performance until replacement devices are delivered under replacement contract SP7000-25-F-0013, SP7000-25-F-0014, SP7000-25-F-0031 & pending FDR 85725FDEM17578. The estimated Base value is _______. Total if option all months are exercised is _________. |
| Text4: FAR 13.106-1(b) Soliciting from a single source. (IAW U.S.C. 41 §3304) |
(1) For purchases not exceeding the simplified acquisition threshold.
(i) Contracting officers may solicit from one source if the contracting officer determines that the circumstances of the contract action deem only one source reasonably available (e.g., urgency, exclusive licensing agreements, brand-name or industrial mobilization)
| Text5: Although other vendors are available to supply MFDs with consumables and services, there is a short time period to allow installation. No other vendor would be able to deliver new devices in time for a Jan 1, 2025 start date. These devices are currently in place and need to be extended on a sole source contract. Since the devices in place are under a lease, no other vendor can service the lease of another vendor without violating the lease terms. The only way to ensure uninterrupted support to the Warfighter is to issue a contract to the current vendor. | |
| Text6: Notice is not required per FAR 5.101(a)(1). | |
| Text7: Market research indicates that an adequate competition pool exists for requirements of this type and it will be competed. The sole source order is being put in place long enough for the devices to be installed. In accordance with DLAD 10.001-90(b) DLA activities will not delay the instant acquisition to conduct market research when the estimated dollar value is less than the simplified acquisition threshold, unless the contracting officer determines it is cost-effective to do so. | |
| Text8: Original order SP7000-20-F-0037 is for the lease of 88 devices (83 are being extended on this extension), in which title/ownership is retained by CTI. Due to highly specialized supplies or services a competitive contract action for these devices is not possible as the devices are being leased from Xerox who is the only vendor capable to continue the lease of the existing equipment. Although other vendors lease MFDs, no other vendor has lease rights to the existing equipment. Failure to award a new order would result in numerous DLA customers being forced to operate without MFD capabilities. This would significantly degrade their ability to accomplish their mission. IAW FAR 13.106-3(a)(1), the Contracting Officer determined the prices to be fair and reasonable based on competitive offers received when the original order was issued. A continuation of services order ensures no interruption in performance and is being issued at the same rate that has already been determined fair and reasonable. | |
| Text9: None. DFARS PGI 206.302-1 required when utilizing the authority at FAR 6.302-1. | |
| Text10: Due to highly specialized supplies or services a competitive contract action for these devices is not possible as the devices are being leased from CTI who is the only vendor capable to continue the lease of the existing equipment. The follow on requirement has been competed. This order is being put in place long enough for the follow on devices' new order period of performance to commence. | |
