About this file
This document is a VA contracting clause and certification form establishing limitations on subcontracting for Service-Disabled Veteran-Owned Small Businesses (SDVOSBs) and Veteran-Owned Small Businesses (VOSBs) awarded contracts under 38 U.S.C. 8127.
The clause specifies three categories of contracts with different subcontracting limitations: (1) services contracts (except construction) limit non-VIP-listed SDVOSB/VOSB subcontracting to 50% of government payment; (2) general construction contracts limit such subcontracting to 85% of government payment; and (3) special trade construction contracts limit such subcontracting to 75% of government payment. Material costs for construction contracts are excluded from subcontracting calculations. Further subcontracting by VIP-listed subcontractors counts toward the prime contractor's subcontracting limitations. Offerors must complete, sign, and return the certification with their bid or proposal; failure to provide the certification renders responses ineligible for award consideration. The VA reserves the right to request supporting documentation during contract performance or upon completion to verify compliance, including invoices, subcontracts, and task value lists. Non-compliance subjects contractors to referral to the VA Suspension and Debarment Committee, fines under the Small Business Act, or prosecution for false certification under 18 U.S.C. Section 1001. Offerors must certify they are authorized representatives and acknowledge the legal consequences of false certification.

Contracting officers may, at their discretion, require the contractor to demonstrate its compliance with the limitations on subcontracting at any time during performance and upon completion of a contract if the information regarding such compliance is not already available to the contracting officer. Evidence of compliance includes, but is not limited to, invoices, copies of subcontracts, or a list of the value of tasks performed.
(c) The offeror further agrees to cooperate fully and make available any documents or records as may be required to enable VA to determine compliance with the limitations on subcontracting requirement.
