About this file
This is a Letter of Credit Form template prepared by the City of Phoenix Aviation Department for use in retail concession agreements at Phoenix Sky Harbor International Airport. The form establishes an irrevocable standby letter of credit mechanism to ensure tenant or licensee compliance with lease or license obligations. The letter of credit serves as a financial security instrument that the City may draw upon if the concessionaire fails to perform its obligations, fails to provide a replacement letter of credit at least 60 days before expiration, or if the issuing bank notifies the City that it will not extend the credit. Partial and multiple drawings are permitted under the terms outlined in the document.
The letter of credit automatically renews for successive one-year periods from the expiration date unless the bank provides written notice of non-renewal at least 60 days in advance to both the City and the concessionaire via certified or registered mail or commercial overnight courier service. The City may draw funds by presenting a certificate signed by the Director of the Aviation Department or designee along with the original letter of credit, submitted through various delivery methods including mail, courier service, hand delivery, facsimile, or email. If the City presents an improper drawing, the bank must notify the City in writing explaining the deficiency and request a corrected drawing. The letter of credit is governed by International Standby Practices (ISP98) under International Chamber of Commerce Publication No. 590, with any matters not covered by ISP98 subject to Arizona state law. The form contains blank fields for the bank name, letter of credit number, tenant or licensee name, dollar amount, expiration date, delivery addresses, facsimile numbers, email addresses, and telephone numbers to be completed based on the specific concession lease agreement.
