About this file

This is a Memorandum for Record documenting a sole source determination for a federal procurement.

The Government seeks to acquire hardware fabrication services from Tri Models, Inc. for compatibility of the company's test article with existing facility hardware at Tunnel 9 in White Oak, Maryland. This is identified as a commercial product with an estimated value that is redacted in the document. The contracting officer, Erica A. Anglin, determined that a sole source procurement is justified based on the requirement for 100 percent inter-functionality between the test article and facility hardware, which necessitates that all work be completed by a single company to ensure parallel manufacturing and compatibility. The determination notes that replacing existing facility hardware would be more expensive than fabricating brand-specific hardware, and that any non-compatibility below 100 percent would create significant costs through test delays, potential program cancellation, or extended delays of multiple months to years, along with reduced customer relations. The sole source procurement authority is cited under FAR RFO 12.102(a), with the justification that Tri Models, Inc., as the manufacturer of the article, is the only reasonably available source capable of meeting the 100 percent inter-functionality requirement.

Memorandum for Record

SUBJECT: Sole Source Determination for Purchase of Tri Models, Inc. Hardware Fabrication

1. Requirement:

This memorandum documents the sole-source determination for the acquisition of hardware fabrication for compatibility of Tri Models, Inc.’s test article with existing facility hardware to support a customer. This is required at Tunnel 9 at White Oak, Maryland. This is a commercial product. The estimated value is

2. Findings:

The Government would have to replace existing facility hardware and ensure the new facility hardware is compatible. Due to the test article requiring 100% inter-functionality the work must be completed by one company to ensure the customer and facility hardware are manufactured in parallel for compatibility.

3. Determination and Basis for Decision:

The cost to replace existing hardware would be more expensive than the fabrication of brand-specific hardware. The risk for non-compatibility at a threshold lower than 100% has significant costs associated with it due to test delays, potentially resulting in a cancellation or many months to years of delay of the test program, and reduced customer relations.

Considering Tri Models, Inc. is the manufacturer of the article and 100% inter-functionality is vital, it is determined that only one source is reasonably available. Therefore, the Government will proceed with a sole source procurement from Tri Models, Inc. leveraging authority in FAR RFO 12.102(a).
