About this file

This is a Justification for Other Than Full and Open Competition document for a federal contract award by the Department of Veterans Affairs.

The VA North Texas Health Care System (VANTHCS) is issuing a sole-source, firm-fixed-price purchase order to Data Innovations, LLC for the annual license renewal of Data Innovations Instrument Manager software and associated services. The contract covers facilities in Dallas, Fort Worth, and Bonham, Texas, and includes maintenance, software support, an Instrument Manager Test System, and training. The current contract (36C25721P0835) expires June 30, 2026, with the new contract period running from July 1, 2026, through June 30, 2027. Data Innovations is located at 463 Mountain View Drive, Suite 305, Colchester, Vermont 05446-5952. The contract is being issued under the Revolutionary FAR Overhaul (RFO) Federal Acquisition Regulation (FAR) 12.

The justification cites FAR 6.103.1 as the authority for sole-source procurement, asserting that Data Innovations is the only responsible source capable of fulfilling requirements. The Instrument Manager software interfaces laboratory analyzers with the Veterans Health Information Systems and Technology Architecture (VistA) and Computerized Patient Record System (CPRS). Critical functions include flagging and holding abnormal results and transmitting laboratory data essential to patient care. The VA determined that only Data Innovations provides exclusive technical maintenance, support, connectivity, troubleshooting, upgrades, driver access, bug fixes, and training services. Market research identified no alternative sources capable of meeting requirements. The certification indicates the contract value does not exceed $900,000, and price discounts will be sought prior to award.

Data Innovations Instrument Manager Control Number: VA-26-00021652

4. Authority:

The specific authority providing for other than full and open competition is FAR 6.103.1 “Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.”

5. Rationale Supporting Use of Authority Cited Above:

Based on market research detailed in Section 8 of this document, VA has determined that only Data Innovations (DI)—the sole manufacturer and exclusive provider of technical maintenance and support for DI products nationwide—can fulfill these requirements. End-users receive direct support, maintenance, and upgrade services exclusively from DI. All laboratory instrumentation must be covered by DI’s maintenance and support, which includes essential services such as connectivity, troubleshooting, upgrades, access to new drivers, and bug fixes. These services are necessary to ensure laboratory operations remain compliant with standards set by the Joint Commission, College of American Pathologists, Clinical Laboratory Improvement Amendments, and VHA Directive 1106.01. Additionally, all training for DI products is exclusively conducted by DI and is not available through any other source.

The required Instrument Manager software must be acquired through this follow-on contract to ensure continuity of these highly specialized services. As described in Section 3 above, the Instrument Manager software and all associated requirements are only available from the original source, and must be procured using other than full and open competition procedures. Awarding a contract to any source other than DI would result in substantial duplication of costs to the federal government, costs that would not be recoverable through competition.

6. Efforts to Obtain Competition:

Market research was conducted, as detailed in the market research section of this document. This effort did not identify sufficient sources capable of meeting the Government’s requirements; therefore, no competition is anticipated for this acquisition.

In accordance with 41 U.S.C. Chapter 3304(f)(1), the award notice for this action will be published on the Contracting Opportunities website, and this justification will be made publicly available within 14 days of award.

7. Actions to Increase Competition:

The Government will continue to conduct market research to ascertain if there are changes in the market place that would enable future actions to be competed.

Specifically, the Government will continue to monitor the marketplace to determine whether other brand software could integrate into VA's VistA/CPRS applications.
