About this file

This is a Justification and Approval (J&A) document for a bridge contract modification to extend bulk fuel services at Randolph Air Force Base, Texas.

DLA Energy seeks to award a three-month bridge action via modification to the incumbent contractor, T-Square Logistics Corporation, on contract SPE600-16-C-5018 for bulk storage and fuels management services. The original contract was competitively awarded on April 1, 2016, with a four-year base period (November 1, 2016 through October 31, 2020) and five-year option (January 1, 2021 through December 31, 2025), plus six one-month extensions exercised through June 30, 2026. All contract options and extensions are exhausted, necessitating this bridge action. The new performance period spans July 1, 2026 through September 30, 2026, with three optional one-month extensions available through December 31, 2026. Services include receipt, storage, quality control, accountability, and issue of aviation and ground fuel, cryogenics, and related products, plus operation and maintenance of fuel distribution systems and facilities. The estimated value for the three-month base period and three one-month options are redacted in the document. Funding will be provided via FY2026 Defense Working Capital Funds (DWCF) under Purchase Request 7017207737. The justification cites 10 U.S.C. § 3204(a)(1) and FAR 6.103-1, claiming only one responsible source exists. The rationale emphasizes that T-Square Logistics possesses unique qualifications as the incumbent with on-site, trained personnel holding specific knowledge of Randolph AFB's infrastructure, and that a pending Court of Federal Claims (COFC) protest has resulted in a stay of performance for the follow-on solicitation SPE603-25-R-0512, making service continuity critical. Market research via a Sources Sought Notice posted July 18, 2024, received nine responses. Pricing is determined fair and reasonable based on current service rates aligned with a Collective Bargaining Agreement with OPEIU Local 4873 effective October 1, 2023 through September 30, 2026, with post-September adjustments per future CBAs.

Justification for Other than Full and Open Competition Bulk Fuel Services at Randolph Air Force Base (AFB), TX, Contract SPE600-16-C-5018

1. Summary/Introduction:

The Defense Logistics Agency (DLA) Energy, a Major Subordinate Command of DLA, is the contracting activity for bulk petroleum products and services for the Department of War (DoW).

This Justification & Approval (J&A) is for the award of a bridge action by contract modification on contract SPE600-16-C-5018 for bulk storage and fuels management services at Randolph AFB, TX. The contract provides for all DLA Energy contracted bulk fuel storage, operations, and management services on the installation. This includes providing the necessary personnel and resources to ensure the safe, accurate, and timely receipt, storage, transfer, and issue of all Defense Working Capital Fund (DWCF)-owned petroleum and cryogenic products. The contractor will perform required maintenance to ensure facilities, associated systems, vehicles, and equipment remain operational to meet the U.S. Air Force's mission.

The original contract, SPE600-16-C-5018, was awarded competitively on April 1, 2016. The four-year base was from November 1, 2016, through October 31, 2020, and the five-year option was from January 1, 2021, through December 31, 2025. The contract also authorized six one-month extensions, which were exercised via modifications P00019, P00020, and P00021, and extended the period of performance to June 30, 2026. All options and extension periods available under the contract have been exhausted, necessitating this bridge action to ensure continued support. A sole-source bridge action via contract modification to the incumbent, T- Square Logistics Corporation, is vital to prevent a disruption in critical fuel services as authorized under DLAD 17.9601(a).

The period of performance for this bridge action consists of a three-month base period and three, one-month options. The new performance period will begin July 1, 2026, through September 30, 2026, with three one-month options to extend the contract from October 1, 2026 through October 31, 2026, November 1, 2026 through November 30, 2026, and December 1, 2026 through December 31, 2026. The total estimated value for the three-month base period of performance (July 1, 2026, through September 30, 2026) is . If the three additional one-month options are exercised, the total estimated value of the bridge action will be . If both the three-month bridge and three-month option periods are utilized, the total contract value would increase from . Funding will be provided via Purchase Request 7017207737with FY2026 Defense Working Capital Funds (DWCF).

2. Nature and/or description of the action being approved (FAR 6.104-1(a)(2)):

Justification for Other Than Full and Open Competition (Cont’d) (SPE600-16-C-5018 – T-Square Logistics Services Corporation)

The bridge by contract modification of these services for three months with three, one-month options, is being conducted using procedures under FAR 6.103-1, Only one responsible source and no other supplies or services will satisfy agency requirements and DFARS PGI 206.103-

170. This action approves the use of other than full and open competition to award to the incumbent contractor, T-Square Logistics Corporation, via a modification to contract SPE600- 16-C-5018.

3. Description of supplies or services required to meet the agency’s need (including estimated value) (FAR 6.104-1(a)(3)):

The commercial services required are for comprehensive DLA Energy contracted operations and management services as detailed in the Performance Work Statement (PWS) for Air Force Installations. Major services include, but are not limited to, the receipt, storage, quality control, accountability, and issue of aviation and ground fuel, cryogenics, and related products. The contractor is also responsible for the operation and maintenance of the fuel distribution systems and facilities. The estimated value of this action is for the three-month bridge period, and with the three one-month options.

4. Identification of the statutory authority permitting other than full and open competition (FAR 6.104-1(a)(4)):

This J&A is based upon the authority of 10 U.S.C. § 3204(a)(1), as implemented by Federal Acquisition Regulation (FAR) 6.103-1. The services required by the agency are only available from one responsible source and no other type of service will satisfy agency requirements.

5. Demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires using the authority cited (FAR 6.104-1(a)(5)):

The mission at Randolph AFB is dependent upon the current fuel services provided by the incumbent contractor. The customer requires continuous, high quality bulk storage services and fuels management services and T-Square Logistics Corporation is uniquely qualified to meet this requirement without causing unacceptable delays to the Air Force mission.

The nature of this acquisition dictates that there can be no gap in service. Due to a pending COFC protest there is a stay of performance for the follow-on solicitation (SPE603-25-R-0512).

T-Square Logistics Corporation, as the incumbent, possesses unique qualifications essential for the uninterrupted performance of these highly specialized fuel management services during this stay. As the incumbent, their personnel are already on-site, fully trained, properly vetted, and possess specific knowledge of Randolph AFB’s infrastructure and operational procedures. The
