About this file

This is a Justification for Other Than Full and Open Competition document issued by the Department of Veterans Affairs Technology Acquisition Center for contract VA-26-00010985.

The VA seeks a firm-fixed price contract for the Agile Fleet FleetCommander automated fleet management and key distribution system to support the VA Pacific Islands Health Care Systems Akaka Community Based Outpatient Clinic. The system must provide web-based, unmanned dispatch of keys and fleet cards with electronic approval or rejection of vehicle assignments, reservation management, mileage tracking, trip reporting, and driver authentication. The solution is required to be Federal Risk and Authorization Management Program (FedRAMP)-authorized and meet VA's cybersecurity, privacy, and operational standards. The contract period includes one 12-month base year and four 12-month option periods, with total estimated value across all options redacted in the document. Market research conducted in April 2026 identified only Agile Fleet FleetCommander as a FedRAMP-approved solution meeting these integrated requirements. The original acquisition strategy proposed a Service-Disabled Veteran-Owned Small Business (SDVOSB) sole-source award to Government Marketing & Procurement, LLC (GMP), the sole reseller. However, upon solicitation issuance on August 4, 2026, GMP indicated it could not comply with VAAR clause 852.219-75 (limitations on subcontracting for SDVOSB contractors), despite prior confirmation in November 2025 that compliance was possible. Due to this development and the absence of alternative resellers other than the original equipment manufacturer, the acquisition strategy was revised, and the solicitation will be issued on a full and open basis via sam.gov.

VA-26-00010985

JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity: Department of Veterans Affairs (VA) Office of Procurement, Acquisition, and Logistics

Technology Acquisition Center 23 Christopher Way Eatontown, NJ 07724

2. Description of Action: The proposed action is for a firm-fixed price contract for brand name Agile Fleet FleetCommander automated fleet management and key distribution system to serve the VA Pacific Islands Health Care Systems (VAPIHCS) Akaka Community Based Outpatient Clinic (CBOC).

3. Description of Supplies or Services: The VAPIHCS Akaka CBOC requires an automated fleet management and key distribution system to efficiently manage, reserve, and access government vehicles. The system must provide web-based, unmanned dispatch of keys and fleet cards, allowing electronic approval or rejection of vehicle assignments. This software will ensure vehicles are allocated to employees at their scheduled times, prevent unauthorized usage, enhance fleet utilization, and distribute vehicle use evenly across all vehicles. Additionally, the system shall handle all reservations, mileage tracking, trip reporting, and guarantee that only VA-authorized drivers can reserve vehicles. VA requires an automated fleet management and key distribution system which is Federal Risk and Authorization Management Program (FedRAMP)- authorized solution and that meets VA’s stringent cybersecurity, privacy, and operational requirements for automated fleet management. The period of performance shall be one, 12-month base year and with four, 12-month option periods.

The total estimated value of the contract is inclusive of all options and optional tasks.

4. Statutory Authority: The statutory authority permitting other than full and open competition is 41 U.S.C. 3304(a)(1) as implemented by the Revolutionary Federal Acquisition Regulation Overhaul (RFO) 6.103-2 entitled, “Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.”.

5. Rationale Supporting Use of Authority Cited Above: Based upon market research, as described in Section 8 of this justification, it was determined that limited competition is available among resellers for the required brand name FleetCommander solution including the associated hardware, software, integration components, and ongoing support services. FleetCommander is a proprietary, Federal Risk and Authorization Management Program (FedRAMP)- authorized solution that meets the VA’s stringent cybersecurity, privacy, and operational requirements for automated fleet management.

The Government’s requirement includes integration of secure, unmanned key control hardware with a cloud-based fleet management system that can enforce reservation policies, control vehicle access, track mileage, generate utilization reports, authenticate authorized VA drivers, and ensure compliant distribution of trip and vehicle records.

Market research determined that no other solution offers a FedRAMP-approved, fully integrated fleet management and key-control system capable of meeting these

Fleet Management VA-26-00010985 functional, cybersecurity, and interoperability requirements. Agile Fleet or its reseller Government Marketing & Procurement, LLC (GMP), a Service-Disabled Veteran-Owned Small Business (SDVOSB) are authorized to sell the full Agile Fleet Commander solution suite, including both software licensing and the specialized key-dispenser hardware necessary to meet the requirement.

6. Efforts to Obtain Competition: Market research was conducted, details of which are in section 8 of this justification. This effort did not yield any additional sources that can meet the Government's requirements. However, the undersigned VA technical representative determined that limited competition is available for brand name FleetCommander solution, the original equipment manufacturer and its sole reseller. In accordance with RFO 6.301(b)(2) and 5.201(c)(3), this justification shall be posted with solicitation. Furthermore, the proposed action will be synopsized on the Contracting Opportunities Page in accordance with RFO 5.301. Any proposals that are received shall be evaluated.

7. Actions to Increase Competition: The Government will continue to conduct market research to ascertain if there are changes in the marketplace that would enable future actions to be competed.

8. Market Research: In April 2026, the Government’s technical experts conducted market research by reviewing the FedRAMP Marketplace for FedRAMP-approved fleet management solutions. Only Agile Fleet FleetCommander was listed as an approved automated fleet management and key distribution system which is FedRAMP-authorized and that meets VA’s stringent cybersecurity, privacy, and operational requirements for automated fleet management. The Small Business Administration VetCert database was accessed in July 2026. This search concluded that GMP is registered, certified, and qualifies as a SDVOSB in accordance with the Federal small business size standard for the applicable NAICS Code 541519, 150 employees. It was verified in July 2026 that GMP is registered in the System for Award Management database and is eligible to receive a Government contract. Additionally, in November 2025, the Contracting Office contacted GMP directly to inquire about the hardware and software required for the FleetCommander solution and whether the items were listed on the GMP’s General Services Administration (GSA) Federal Supply Schedule (FSS)/Multiple Award Schedule (MAS). GMP indicated not all of the items were listed on its GSA FSS/MAS and that some of the items were open market items.

As such, since not all items can be purchased through GMP’s GSA FSS/MAS, this requirement shall be solicited on a sole source basis directly to GMP. Additionally, the contracting office confirmed with GMP that it could comply with VAAR clause 852.219-

75. VA Notice of Limitations on Subcontracting—Certificate of Compliance for Services and Construction (Jan 2023) (Deviation). This clause requires that an SDVOSB/VOSB contractor not pay more than 50% of the amount paid by the Government to firms that are not SBA Veteran Small Business Certification certified SDrVOSBs/VOSBs.

Certification of VAAR 852.219-75 is mandatory under an SDVOSB/VOSB set-aside acquisition strategy.

Fleet Management VA-26-00010985

Based on the results of market research and vendor capability assessments, the Government concluded that competing this requirement among SDVOSBs would not yield any additional responsible sources capable of meeting the technical, security, and operational requirements. The original acquisition strategy proposed an SDVOSB sole-source action to GMP which ensured the VA meets statutory obligations under the VA Veterans First Contracting Program while also fulfilling a critical operational requirement for VAPIHCS.

Upon issuance of the solicitation on August 4, 2026, however, GMP newly indicated it could not comply with VAAR clause 852.219-75. The contracting office had previously confirmed with GMP in November 2025 that it could comply with the clause for this specific requirement, and GMP stated it could. With this new information, a revision to the acquisition strategy was needed. Since the sole reseller of the Agile Fleet FleetCommander solution (an SDVOSB concern) is unable to comply with VAAR clause 852.219-75, and there are no other resellers aside from the OEM, an other than small business, there is no expectation there are two or more small business of any type which can support the requirement. As such, the solicitation will now be issued on a full and open basis via Contracting Opportunities (sam.gov).
