A. General

1. The Lawn Maintenance Contractor (hereinafter called the “Contractor”) shall recognize and perform in accordance with all stated intents, specifications and stipulations contained or referenced herein. The intent is to maintain an attractive condition of the properties as determined by the Town. The Contractor shall maintain such appearance. Any discrepancies in the understanding of this clause shall be resolved in a manner as determined by Town.

2. The successful Contractor shall furnish all labor, equipment, tools, services, skills, necessary to maintain the landscape in an attractive condition throughout the contract period.

Maintenance of plant materials shall include but not be limited to mowing, edging, pruning, fertilizing, watering and cleanup. All work shall be performed to provide a neat, clean and

15 | P a g e trimmed appearance performed in a professional manner. Trained personnel using current, acceptable landscape practices shall perform all landscape maintenance services. It is the intent of the Town that work will be performed in a resource-efficient, sustainable, and cost-effective manner.

3. The work shall be performed between April 1st and November 30th of each year. No services will be performed during December, January, February or March.

4. It shall be the Contractor’s responsibility to verify the areas, sizes and quantities of the surfaces and items to be maintained. Failure of the contractor to verify the listed areas, sizes, and quantities of the surfaces shall not relieve the Contractor of the responsibility to provide all services required to the standards included herein, for the prices submitted in the

Contractor’s bid proposal.

5. The Contractor is encouraged to use non-polluting devices such as rakes and brooms when feasible. The Town prefers that blowers and other power equipment are low decibel, low-fossil fuel consumption, and low-emissions models. The Contractor is also encouraged to develop practices which incorporate on-site recycling of organic materials, such as leaves and grass clippings, and the use of recycled materials in its maintenance operations.

6. The Contractor shall visually inspect all landscape areas monthly between April and

September to identify potential pest problems. Pest problems include insect, disease and weed infestations. The presence of a pest does not necessarily mean there is a problem. The

Contractor shall keep and provide copies of written records of pest identified and areas where problems may be developing and work cooperatively to identify any area where non-chemical insect pest management control methods should be followed.

12. Project Sites

A. There are 52 mowing sites. Each site has varying needs and size. In total, the sites equate to roughly 13 acres of land. Please note, the acreage data was retrieved using satellite data is not a complete representation of physical conditions.

B. Control of Weeds

Use methods (mulch, proper pruning,) to encourage plant health and growth and discourage weeds. Keep planter beds and tree wells free of weeds and debris on a rotational basis, weekly throughout the year by hand pulling or other mechanical means. Entire site shall be weeded by hand or mechanical weeding methods that remove the roots every week. Ground covers are to be trimmed so they meet but do not grow over walkways or outside any of the planters.

C. Noxious Weed Control

The Noxious Weed list can be found on The Maryland Invasive Species Council web site http://www.mdinvasivesp.org/. Noxious weeds must be bagged and disposed of at the landfill.

D. Turf Edging and Trimming

Mechanically trim all landscape turf edges according to the Occurrences Per Year included in

Attachment 2b. Edges include all formal lawn perimeters and tree wells in lawn areas. In April, June, and August, redefine all formal lawn edges with a mechanical blade-type edger or hand spade. Clean debris from hardscapes and non-turf landscape areas, remove larger debris, trim around all guardrails and maintain tree wells to minimize such damage. The

Contractor shall clean cut edge all cement curbs and sidewalks at all sites using an edger that incorporates a steel blade. The contractor shall edge all asphalt and brick curbs and sidewalks, at all sites using a line trimmer. Edged materials that cannot be blown into the turf will be removed and disposed of off-site at the Contractor's expense. The

Contractor is responsible for any damage incurred as a result of trimmer or edger damage to trees and shrubs and must repair or replace any such damage at no cost to the Town to the satisfaction of the Town. Properly maintained tree wells are encouraged to minimize such damage.

E. Planting and Trimming

Plant flowers seasonally, twice per year, in existing flower beds; prune ornamental flowering trees at the proper time of year to encourage maximum flower production; and remove spent or dead blooms, including stems, declining foliage and plant debris to encourage continued blooming and maintain a neat appearance. The Contractor shall trim around all tree pits, shrub beds, flower beds, signs, storm water management control structures, guardrails and other landscape features at the conclusion of each mowing with approved mechanical line trimmers. Absolutely no line trimming is to impact the base of trees or shrubs.

18 | P a g e

F. General Area Maintenance Leaf and Branch Removal

Keep walks, patios, planting beds, roadway gutters and lawn areas free of leaves. In autumn, leaf removal shall occur at each visit as needed to prevent smothering of turf and groundcovers and excessive clumping when mulch mowing. The Town's preference is that whenever safety and plant health are not compromised that leaves remain on-site and are incorporated into mulch under plantings. Remove leaves from site only as needed to maintain a neat appearance and the health of the planting.

G. Landscaping Debris Removal

Remove biodegradable landscape debris (turf clippings limited to only those times when mulch mowing is not possible), leaves, branches, dead plant material, etc. to yard refuse recycling sites.

Acceptable sites include topsoil producing facilities and/or other facilities, which utilize yard waste for landscape purposes. No biodegradable material should be disposed of as garbage, except noxious weed debris.

H. Landscape Trash Removal

Remove all litter from landscaping beds and turf areas prior to mowing. Contractor shall haul it away for appropriate disposal. Bulk items shall be reported to the Town’s Department of Public

Works.

I. Mulch Replacement

In early spring, remove old mulch and replenish mulch to maintain a depth of no less than two and a half inches (2-1/2") in all planting areas and tree wells. Established beds where plant foliage or groundcover completely covers the soil surface require no additional mulch. Keep mulch at least two to three inches (2” to 3”) away from the crown of plants and trees. After leaf removal in fall, a light mulching is to be done in all landscaping to maintain the depth in all planting areas. Mulch shall be brown shredded hardwood. "Red" bark mulch or dust shall not be used.

J. Other Services

• Spring Clean-Up shall be performed and should be included in the pricing. Spring clean up shall include, but not be limited to, leaf removal from all beds, turning flower beds as appropriate, remove winter wrapping and remove any sand and gravel from beds and lawns.

• Fall Clean-Up shall be performed and should be included in the pricing. Fall clean up shall be in late fall after all leaves have fallen from the trees in the area. Work shall include, but not be limited to, leaf removal from all areas of the property, removal of all dead annual, cut back perennial plantings appropriately, covering of beds necessary to protect plants, etc.

13. Management and Inspection

a. At least five (5) business days prior to the commencement of the contract, the Contractor shall submit in writing to the Town Manager or his/her designee, the name of the on-site supervisor authorized to act for the contractor in every detail for the lawn maintenance services.

19 | P a g e

b. At least five (5) business days prior to the commencement of the contract, the Town’s

Operations Manager or his appointee will confer with the contractor and review the total specification requirements, total workload and land maintenance services to be provided by the contractor.

c. The Operations Manager or designated representative will inspect the areas on a periodic basis. The Contractor will attend meetings and site inspections of the grounds as requested.

d. The Contractor shall at all times enforce strict discipline, respectable behavior, and good order among Contractor’s and any authorized subcontractor’s employees and shall employ persons who are skilled in the task assigned to them. The Contractor shall be responsible to the Town for the acts and omissions of the Contractor’s and authorized subcontractor’s employees.

14. Safety

a. The Contractor shall provide for a neat, clean, and safe environment at all times during all work. All vehicles, trailers, mowers, edging equipment, trimmers, and other equipment must be in proper working order and a neat, clean appearance.

b. All work shall comply with industry best practices and all rules and regulations a set forth by the State, County, and Town.

c. The Contractor shall comply with any and all Maryland State Highway safety regulations (Work Zone Traffic Control - Standard & Guidelines) concerning traffic flow. The Contractor shall be held liable for all accidents or injuries resulting from negligence on the part of the Contractor, its agents, or employees.

d. Employees of the Contractor and any authorized subcontractors shall be of neat appearance and professionally conduct themselves while working for the Town.

Whenever the Contractor leaves a location, that location shall be clean, safe, and free of any tools and other materials related to the work.

15. Project Schedule

The initial term of the landscaping maintenance services will begin April 1, 2026, and run through November 30, 2026, with renewal options as approved by Mayor and Council. The

Agreement with the Town will confirm the start and completion dates.

16. Change Orders

a. The Town at any time may make changes in the Work of the Agreement by making alterations therein, by making additions thereto, or by omitting Work therefrom, after execution of the Agreement, and no such action shall invalidate the Agreement, relieve, or release the Contractor from any guarantee under the Contract, affect the terms or validity of any bond, relieve, or release any Surety, or constitute grounds for any claim by the Contractor for consequential damages or loss of anticipated profits. Such changes in the Work shall be accomplished by a Change Order. A Change Order is a written instrument executed by the Town and the Contractor, stating their agreement

20 | P a g e on (1) the change in Work; (2) the amount of adjustment, if any, in the Contract Price;

and (3) the extent of the adjustment, if any, in the Project Schedule. Within seven (7) calendar days of receipt of a Change Order initiated by the Town, the Contractor shall provide an estimate of the change to the Contract Price and/or Project Schedule. Until the Change Order is approved by the Town Manager in writing the Contractor will be under no obligation to perform the Work.

b. The Contract Price may be amended only by a Change Order, initiated by the Town or

Contractor. The Town and Contractor will both have 7 (seven) calendar days to respond to a Change Order request initiated by the others. All Change Order requests must be made and approved on a Change Order form provided by the Town and must be approved in writing by the Town Manager.

c. With the exception of minor Work, the Town will not direct the Contractor to perform changed work, and Contractor is under no obligation to perform changed work unless and until there is an agreed upon price, as reflected in the signed Change

Order.

d. The Contractor may submit written requests for a Change Order for additional work that it has determined to be necessary to complete work identified in the specifications and reflected in the Contract Price or ordered by the Town under 13a. The Contractor shall submit its request for Change Order within seven calendar (7) days of the event giving rise to the change. The value of any Work covered by a change or of any claim for increase or decrease in the Contract Price will be determined by one or more of the following methods in the order of precedence listed below:

1. Cost of project components approved.

2. An agreed upon lump sum.

3. The actual cost of labor, materials, supplies, equipment, overhead, and other services necessary to complete the Work.

e. The amount of credit to be allowed by the Contractor to the Town for any such change that results in a net decrease in cost will be the amount of the actual net decrease as determined by the Town. When both additions and credits are involved in any one change, the combined overhead and profit shall be figured on the basis of the net increase, if any.

f. The Change Order detailing the increase or decrease in the Contract Price or an extension or shortening of the Project schedule, shall be valid only after approval and execution by the Town Manager in writing. The Town may authorize minor changes or alterations in the Work not involving extra cost and may also authorize minor changes in the Work which do not alter the character, quantity, or cost of the Work as a whole.

Additional Work performed by the Contractor without the written approval of a Change

Order, or in the absence of a timely change order request will not be entitled to an increase in the Contract Price or an extension of the Project Schedule and is performed at the Contractor’s risk, except in the case of an emergency.

Exhibit A: Town of Riverdale Park - Diversity, Equity, and Inclusion Statement

Town of Riverdale Park strives to be a model of diversity and inclusion. The Town’s Mayor and Council, residents, businesses, and staff reflect the many faces, cultures, and walks of life that proudly make up our world. We respect, value, and celebrate the unique attributes, characteristics, and perspectives that make each person who they are. We also believe that bringing diverse individuals together throughout our Town allows us to collectively and more effectively address the issues that face our community. It is the Town of Riverdale Park’s aim to be guided by these core values:

Diversity: the quality of being different or unique at the individual or group level. This includes age; ethnicity; gender; gender identity; language differences; nationality; parental status;

physical, mental, and developmental abilities; race; religion; sexual orientation; skin color;

socio-economic status; work and behavioral styles; the perspectives of each individual shaped by their background, experiences, and culture— and more. Even when people appear the same on the outside, they are different!

Equity: a focus on fair treatment for all considering; a person’s unique circumstances and adjusting to ensure that opportunities and outcomes are not predicted by identity. Equity aims to level the playing field and create equal outcomes.

Inclusion: a strategy to leverage diversity. Diversity always exists in social systems.
