About this file

This is an Insurance Requirements exhibit for contractors working with the City of Palo Alto, California. The City requires all contractors to obtain and maintain comprehensive insurance coverage at their sole expense for the entire contract term. Required coverage includes Worker's Compensation (statutory limits), Employer's Liability (statutory limits), General Liability with minimum limits of $1,000,000 per occurrence and $1,000,000 aggregate for bodily injury, property damage, and combined coverage, Automobile Liability with minimum limits of $1,000,000 per person, $1,000,000 per occurrence, and $1,000,000 combined for bodily injury and property damage, and Professional Liability of $1,000,000 for all damages when applicable. All insurance must be provided by companies with an AM Best's Key Rating of A-:VII or higher and licensed to transact business in California. Award of the contract is contingent upon compliance with these insurance requirements.

Contractors must name the City of Palo Alto, its Council Members, officers, agents, and employees as additional insureds on all policies except Worker's Compensation, Employer's Liability, and Professional Insurance. Coverage must include a contractual liability endorsement for the contractor's indemnification agreement with the City. Insurance must be primary and non-contributory with respect to claims arising from the contractor's operations. Contractors must provide certificates of insurance to PurchasingSupport@PaloAlto.Gov and must notify the City of any policy cancellation with at least thirty days' written notice (ten days for non-payment of premium). These requirements apply to the City's blanket purchase order for sand, rock, and gravel materials issued on an as-needed basis with an initial one-year firm pricing period and subsequent years subject to a pricing escalation ladder.
