About this file

This is a state contract document for the Illinois Virtual Course Program issued by the Illinois State Board of Education (ISBE), which seeks to establish multiple contracts with online course providers to enable Local Education Agencies (LEAs) to purchase online courses on an as-needed basis. The contract aims to provide a comprehensive virtual learning platform offering courses across multiple categories including core academic courses, credit recovery, Advanced Placement (AP), Pre-AP, Career and Technical Education, computer science, transitional English and math, and dual credit courses for Illinois students in grades K-12. The initial contract term will run from the last dated signature through June 30, 2027, with a maximum total term not exceeding 10 years, and vendors must provide online courses taught by Illinois-licensed instructors through a secure web-based Learning Management System.

The contract does not specify a fixed total contract value, with ISBE indicating that vendors will bill LEAs separately for their actual course usage, and annual pricing increases are limited to proposed rates. Vendors can charge up to but not exceed the maximum prices listed in the contract, and ISBE will not make direct payments to vendors. The procurement is designed to award contracts to multiple responsive and responsible vendors, with no specific small business set-asides mentioned. Vendors must meet extensive requirements including providing detailed course information, ensuring data privacy compliance, maintaining course completion rates of at least 75%, conducting feedback surveys, and providing monthly reporting to ISBE. The contract is contingent on the availability of appropriated funds and is open to all governmental units and qualified not-for-profit agencies in Illinois.

In accordance with Article VIII, Section 1(a),(b) of the Constitution of the State of Illinois and 1973 Illinois Attorney General Opinion 78, the State may not indemnify private Parties absent express statutory authority permitting the indemnification. Neither Party shall be liable for incidental, special, consequential, or punitive damages.

Any provision of this Contract officially declared void, unenforceable, or against public policy, shall be ignored and the remaining provisions shall be interpreted, as far as possible, to give effect to the Parties’ intent. All provisions that by their nature would be expected to survive, shall survive termination. In the event of a conflict between the State’s and the Vendor’s terms, conditions and attachments, the State’s terms, conditions and attachments shall prevail.

4.22. PERFORMANCE RECORD/SUSPENSION: Upon request of the State, Vendor shall meet to discuss performance or provide Contract performance updates to help ensure proper performance of this Contract. 4.23.
