About this file
This document outlines the Illinois-specific participating agreement terms and conditions for cooperative procurement arrangements involving the State of Illinois, state agencies, governmental units, and qualifying nonprofit agencies. The agreement establishes the regulatory framework governing vendor participation in cooperative purchasing agreements under Illinois procurement law, with a maximum total term not to exceed ten years including the initial period and any extensions or amendments. Vendors seeking to participate must register with the Illinois Procurement Gateway and BidBuy prior to contract execution. The document references the broader Sourcewell RFP 120326 for food products and distribution services for school food authorities, which carries a closing deadline of December 3, 2026 at 3:30 p.m. CST, with solicitation materials available through the Sourcewell Procurement Portal.
The agreement incorporates the State of Illinois Standard Terms and Conditions and establishes that all participating agreements are contingent upon appropriated fund availability, permitting the State to terminate or suspend agreements without penalty if the Illinois General Assembly fails to appropriate sufficient funds or if the Governor reduces agency funding. The State reserves the right to conduct additional evaluations of awarded contracts to determine best value. Vendors may be required to meet Illinois Business Enterprise Program goals and contracting targets with Illinois small businesses as specified under state statute. All claims against the State must be filed exclusively with the Illinois Court of Claims, and payment shall be administered through the State Prompt Payment Act. The State does not waive sovereign immunity and will not enter into binding arbitration to resolve disputes. All related public records remain subject to the Illinois Freedom of Information Act.
