ADDENDUM TO 52.212-1

ADDENDUM TO FAR 52.212-1, INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (SEP 2023)

Paragraph (b) entitled “Submission of Offers” is deleted in its entirety and replaced with paragraph (b) “Submission Information” below.

Paragraph (c) entitled “Period of acceptance of offers” is tailored to read: The Government requires a minimum of 180 calendar days for acceptance of offers submitted in response to this solicitation.”

Paragraph (e) entitled “Multiple Offers” is tailored to read: “The government will not consider multiple offers presenting alternate terms and conditions for satisfying the requirements of this solicitation.”

Paragraph (g) entitled “Contract award (not applicable to Invitation for Bids)” is tailored to read: “The Government intends to evaluate offers and award a contract without discussions. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.”

(b) Submission Information:

Submission of Questions: Formal communications, such as requests for clarification, questions, and/or written information concerning this solicitation shall be submitted to the following individuals in writing via email at tashonna.s.gordon.civ@mail.mil and kerry.g.blasingim.civ@mail.mil.

No information concerning this solicitation or requests for clarification will be provided in response to Offeror-initiated telephone calls. Written questions will be answered in writing and provided to all Offerors via www.sam.gov. Due to the time required to research a question and provide an answer, questions received less than 10 calendar days prior to the due date of offers specified in this solicitation may not be answered.

Questions should be submitted in the following format:

Reference: Section ______, Page_____, Paragraph ____ Question: _____________________________________ Any solicitation changes will be made via amendment.

General Information:

(1) If you intend to propose on this requirement, send an email to confirm your intention to Ta’Shonna Gordon at tashonna.s.gordon.civ@mail.mil and Kerry Blasingim at kerry.g.blasingim.civ@mail.mil by Friday, 5 January 2024.

(2) Submission of offers. Offerors shall submit proposals via DoD Secure Access File Exchange (SAFE) https://safe.apps.mil/. Offerors shall request a “Drop-off Request Code” NLT 72 hours prior to proposal submission deadline by emailing Kerry Blasingim at kerry.g.blasingim.civ@mail.mil and Ta’Shonna Gordon at tashonna.s.gordon.civ@mail.mil. An email from DoD SAFE will be sent with a request code authorizing Offerors to Drop-Off documents. Request codes are only valid for 14 days from the time of DoD SAFE email issuance. Hard copy, facsimile, or emailed proposals WILL NOT be accepted. A lag time in the upload to DoD SAFE has been reported; therefore, it is recommended Offerors retain a record confirming the date/time of upload to DoD SAFE. In accordance with (IAW) FAR 15.208(b), proposals received after the deadline may be considered: if it is received before award is made; the contracting officer determines that accepting the late proposal would not unduly delay the acquisition; and it was received at the initial point of entry to the Government infrastructure (i.e., uploaded to DoD SAFE) not later than 5:00 p.m. one working day prior to the date specified for receipt of proposals.

(3) To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being ineligible for award.

(4) The proposal shall consist of four (4) separate volumes: Volume 1 – Business Proposal; Volume II – Technical; Volume III - Past Performance; and Volume IV - Price. Each volume shall include a cover page including Offeror name, title of the proposal, volume number, and solicitation number. Provide a table of contents with sufficient detail to easily allow the location of important elements.

(5) Proposals shall be clear, concise, and include sufficient detail for effective evaluation and to substantiate the stated information. Proposals shall not rephrase or restate the Government’s requirements but shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their company or experience and will use this information to evaluate the offer.

(6) Page Limitations. Proposals shall be submitted with a letter paper size of 8 ½ by 11-inch format with no less than one-inch margins on all sides. The page limits are inclusive of any charts, diagrams, and/or other graphics unless otherwise indicated. The cover page and table of contents are excluded from the page limitation. Additionally, any table of exhibits, glossary, or cross reference compliance matrix utilized will be excluded from the page limitation. However, Offerors should not include substantive information in the cover page, table of contents, table of exhibits, or cross-reference compliance matrix as those items will not be considered for purposes of the evaluation. All pages shall be numbered. The font shall be Times New Roman and no smaller than 12-point font size except for headers, footers, figures, tables, and diagrams where smaller point Times New Roman font is acceptable as long as it is readable. Excess pages exceeding the maximum limits will not be read or considered in the evaluation.

If the Offeror believes there is no OCI, a statement as such shall be included.

Volume II - Technical Proposal (shall not exceed 35 pages).

(a) Subfactor 1 - Transition Plan. Offeror shall submit a realistic transition plan (phase-in and phase-out) to provide the full level of service as outlined in the PWS. The Transition Plan shall be based on a contract award date on or around 1 March 2024 and a contract start date of 1 July 2024.

Recent efforts are those that are currently ongoing or were performed within the last three years of solicitation issuance date, and which demonstrate their ability to perform the rail maintenance and terminal operations support requirements as detailed in the PWS. Relevant past performance means the references have a logical connection to the work described in the PWS in terms of magnitude and scope. A reference is defined as a single contract or task order for actual performance.

At least one past performance reference shall be for the prime offeror. In accordance with 52.219-14, included herein, at least 50 percent of the cost of contract performance incurred for personnel shall be expended for employees of the prime offeror.

If a subcontractor will perform major or critical aspects of the requirement, offeror shall provide complete information as to the arrangement, including specific details on which requirements of the Performance Work Statement the subcontractor will be performing. Each Offeror shall provide a Past Performance Reference Submission Sheet (Attachment 3) for each reference submitted.

Past Performance Questionnaire. Offerors shall complete Section 1 of the Past Performance Questionnaire (Attachment 4) and send to each of the Offeror’s references identified in the proposal. If more than three (3) questionnaires are received, the government will only evaluate the three (3) that are received that fulfills the requirement of at least one being for the prime. Note: The Contracting Officer will not accept surveys emailed by the Offeror. Offerors should use every diligent effort to follow-up with each Office/Agency to ensure the Contracting Officer receives the past performance questionnaires no later than the offer due date/time. The responsibility to send out the Past

Performance Questionnaire rests solely with the Offeror. Once the questionnaires are completed by your reference points of contact, the information therein shall be considered procurement sensitive and shall not be released to you, the Offeror. Completed Past Performance Questionnaires should be submitted via email to kerry.g.blasingim.civ@mail.mil and tashonna.s.gordon.civ@mail.mil.

Volume IV – Price. The offeror shall submit proposed rates for each item identified in each tab of Attachment 5, Pricing Schedule. Offers without proposed rates for each item may be determined incomplete and un-awardable.

Offerors shall insert $0.00 in the applicable cell for any services in which the Offeror is not proposing a price (no charge). Price proposals shall be submitted in .xlsx format. Alterations, formula adjustments, cell formatting, adding terms or conditions, may result in the offer being determined non-responsive and being removed from the competition.
