ADDENDUM TO 52.212-1, Instructions to Offerors – Commercial Products & Commercial Services
Note: Paragraphs and subparagraphs contained in 52.212-1 that are not addressed below remain unchanged by this addendum. Note: the term “offer” is synonymous with the term “quote” and “offeror” is synonymous with “vendor” as used within this solicitation.
(b) Submission of Offers, including all its subparagraphs, is changed to read as follows: Submit signed and dated offers to the emails specified in subparagraph (m)(3) at or before the exact date and time specified in Block 8 of the SF 1449. As a minimum, the offer must include the below listed items to be considered complete. Failure to submit a complete offer may result in the offer being ineligible for award.
(1) SF 1449: Complete the following Blocks on the SF 1449:
i. 12 – Discount Terms
ii. 17a – Vendor Name, Address, CAGE Code, and Telephone Number
iii. 17b (if applicable)
iv. 30a – Signature of authorized company official
v. 30b – Printed name and title of signer
vi. 30c – Date signed
(2) Cover Letter on company letterhead, signed by an officer of the company, which includes the following:
i. Solicitation number.
ii. Acknowledgement of each solicitation amendment by number. A generic acknowledgment such as
“we acknowledge all amendments” does not meet this requirement.
iii. Contractor and Government Entity (CAGE) Code or Unique Entity Identifier (UEI).
iv. “Remit to” address if Block 17b was checked on the SF 1449.
v. Identify the representative(s) authorized to contractually obligate the company. The identification must include name, title, telephone number, and email address.
vi. A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation, may be excluded from consideration. All exceptions taken to any terms and conditions stated in the solicitation must be clearly outlined. The vendor also must include complete rationale, justification, and the price impact of each exception.
(3) Technical Capability Form provided as RFQ Attachment (5). The Technical Capability Form must include accurate, detailed information to demonstrate the vendor’s capability to fulfill the requirements in Attachment (1), Performance Work Statement (PWS). The Technical Capability Form shall not contain any pricing information. Note: The Technical Capability Form will be incorporated into the contract by reference.
(4) Pricing Schedule. Price quote must be submitted using the Pricing Schedule provided as RFQ
Attachment (6). Do not submit any other pricing. The monthly unit prices in Column E reflect the vendor’s fully burdened firm fixed prices to accomplish the requirements in the PWS. All Contract Line
Item Numbers (CLINs) must be priced to be considered a complete quote; only complete quotes will be evaluated.
All dollar values shall be expressed with no more than two places to the right of the decimal point (e.g., $100.29). If prices are submitted with more than two places after the decimal point, the Government will round up to the nearest hundredth (two places to the right of the decimal point) and the total amount proposed will be adjusted accordingly. For example, a price quote of $100.294 per month would be rounded up to $100.30 per month, and the total amount proposed would be $1,203.60.
(5) Representations and Certifications. Complete and submit the following fill-in representations and certifications:
• FAR 52.204-24, Representation Regarding Certain Telecommunications and Video Surveillance
Services or Equipment
• FAR 52.212-3 Alternate I, Offeror Representations and Certifications – Commercial Products and

Equipment or Services – Representation
These representations and certifications shall be completed in the System for Award Management (SAM) database to the maximum extent practicable. If the representations and certifications are current and complete in SAM, the vendor need only state so in its offer, and does not need to submit the representation and certifications with the offer.
(6) Submit the offer in three separate electronic files, as follows:
i. SF1449, Cover Letter, and Representations & Certifications
ii. Technical Capability Form
iii. Pricing Schedule
All files shall be searchale and virus free.
(7) Vendor is responsible for ensuring and confirming that the contracting office received electronic proposal submission prior to the deadline in Block 8 of the SF 1449.
(c) Period for acceptance of offers is changed to read: The vendor agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.
(h) Multiple awards is changed to read as follows: The Government intends to award one firm fixed price contract resulting from this solicitation. Offers must be submitted for all CLINs and quantities to be considered.
The following paragraphs are added to 52.212-1:

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)
(a) The Government will award one contract resulting from this solicitation to the responsible vendor whose quote, conforming to the solicitation, will be the most advantageous to the Government, price and other factors considered.
(b) Award will be made on a lowest priced technically acceptable basis. The Government will:
(1) Evaluate all timely-submitted quotes for compliance. Any timely quote that is not compliant with the instructions in 52.212-1 and its Addendum will be removed from consideration for award.
(2) Calculate each vendor’s total evaluated price (TEP) by adding the total quoted price of the base year and all four option years to the Government-calculated 6-month extension under FAR 52.217-8 (as detailed in paragraph (d) of this provision). All Contract Line Item Numbers (CLINs) must be priced to be considered a complete quote; only complete quotes will be evaluated.
(3) Evaluate the technical capability of the three vendors with the lowest TEP using the information provided in its Technical Capability Form. If fewer than three quotes are received, the Government will evaluate the technical capability of all vendors. From the pool of up to three vendors with the lowest TEP:
i. If the vendor with the lowest TEP is determined to be technically capable (acceptable), the
Government will evaluate its proposed price for reasonableness and make a responsibility determination in accordance with FAR Part 9.104. If the vendor with the lowest TEP is technically capable, its price is determined fair and reasonable, and the vendor is determined to be responsible, award will be made to that vendor.
ii. If the vendor with the lowest TEP is determined to be not technically capable, or its proposed price is not fair and reasonable, or it is determined to be not responsible, the Government will evaluate the next lowest priced vendor in the same manner. If more than three quotes were received, the Government will evaluate the technical capability of the vendor with the next lowest TEP.
iii. This process will continue until a technically capable, responsible vendor with a fair and reasonable price is selected for award.
(c) In determining technical capability, the Government will rely upon information provided in the vendor’s submitted Technical Capability Form (RFQ Attachment 5). The Government may contact the vendor to confirm or clarify aspects of their quote before determining technical capability. The Government will evaluate the vendor’s capability to meet PWS requirements, including but not limited to the vendor’s capability to:
(1) Comply with 52.219-14, Limitations on Subcontracting, if any such arrangements are part of the vendor’s quote.
(2) Provide (recruit and retain) an adequate number of qualified personnel, including courier drivers, contract manager, and contract manager alternate.
(3) Provide an adequate number of sufficiently sized vehicles.
(d) Price analysis will be performed on the total quoted amount, including the base and all options. The Government will evaluate the vendor’s price quote to ensure that it is compliant with the submission instructions in the solicitation and is mathematically accurate. The Government will evaluate whether the vendor quoted prices for all line items in Attachment 6, Pricing Schedule. Price quotes that are not complete and accurate will be determined non-compliant per Addendum to FAR 52.212-1 paragraph (m)(5) and will be ineligible for award.
The Government will evaluate the potential extension under FAR 52.217-8, Option to Extend Services, by multiplying the monthly rates proposed in Option Year 4 (line items 4001 & 4002) by six months. Offeror shall not provide pricing for the six-month extension under FAR 52.217-8. The extension of services clause will be exercised only if necessary, utilizing the negotiated monthly rates of the immediately preceding period. Evaluation of the options shall not obligate the Government to exercise the options.
The existence of adequate price competition is expected to support a determination of price reasonableness. The Government intends to use the TEP from three technically capable (acceptable) vendors to represent adequate price competition. However, if fewer than three technically capable vendors exist, two technically capable vendors will suffice to achieve a price reasonableness determination.
If only one technically capable vendor is identified, other price analysis techniques per FAR 15.404-1(b) may be used to further validate price reasonableness, if necessary. If adequate price competition is not obtained or if price reasonableness cannot be determined using price analysis of Government-obtained information, additional information in accordance with FAR 15.402(a)(2) may be required from the vendor to support the proposed price.
The price must be deemed complete, accurate, and fair and reasonable to be eligible for award. The Government does not intend to conduct a price realism evaluation unless the Contracting Officer determines that a vendor’s price quote appears so low as to present an unacceptable technical risk. An unrealistically low quote may be grounds for elimination from consideration for award.
(e) It is the vendor’s responsibility to provide clear indications of how its quote meets the requirements of the Performance Work Statement. If the quote is not clear, it may be an indication that the vendor does not understand the requirements.
(End of Provision)
ADDENDUM TO 52.212-4
ADDENDUM TO 52.212-4, Contract Terms & Conditions – Commercial Products & Commercial Services
The following is added to 52.212-4:
(w) Liability Insurance
Before commencing work hereunder, the Contractor shall certify to the contracting officer in writing that the required insurance has been obtained by the Contractor and its subcontractors as required by 52.228-5, Insurance – Work on a Government Installation. The following insurance as referenced in FAR 28.307 are the kinds and minimum amounts of insurance required:
(1) General Liability. Bodily injury insurance coverage written on the comprehensive form of policy of at least $500,000 per occurrence.
(2) Automobile Liability. Automobile liability insurance written on the comprehensive form of policy. The policy shall provide for bodily injury and property damage liability covering the operation of all automobiles used in connection with performing the contract. Policies covering automobiles operated in the United States shall provide coverage of at least $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage. The amount of liability coverage on other policies shall be commensurate with any legal requirements of the locality and sufficient to meet normal and customary claims.
(3) Workers Compensation and Employer’s Liability. Contractors are required to comply with applicable Federal and State worker compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer’s liability section of the insurance policy, except where contract operations are so commingled with a contractor’s commercial operations that it would not be practical to require this coverage. Employer’s liability coverage of at least $100,000 shall be required, except in States with exclusive or monopolistic funds that do not permit worker’s compensation to be written by private carriers.
(x) Department of Labor (DOL) Wage Determinations (WD). Applicable DOL WDs can be found at https://sam.gov/content/wage-determinations. In accordance with FAR 22.1007, new WDs must be incorporated into contracts at onset and annually.
