The following have been modified:

CLAUSE(S) 52.212-1 - ADDENDUM TO 52.212-1

Replace 52.212-1 paragraphs (c) and (e), including all subparagraphs, as follows:

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.

(e) Single Offer. Offerors shall submit one offer presenting terms and conditions for commercial items/services satisfying the requirements of this solicitation. In the event an offeror submits more than one offer, only the last complete offer submitted prior to the due date and time for offers will be evaluated.

Append the following paragraphs to 52.212-1:

(m) Offer Submission Instructions.

(1) Questions. Questions shall be submitted to via email to the Points of Contact (POC) identified below, no later than December 20th, 2024 at 4:00 p.m. Eastern Time. Follow-up/additional questions will not be accepted after this date and time. Answers to submitted questions will be posted to Business Opportunities along with any resulting amendment to the solicitation.

(2) Electronic Submittal: Offerors shall electronically submit offers via e-mail to the Points of Contact (POC) identified below. The offeror is responsible for ensuring receipt by the POC. The firewall utilized by the Government contracting office does not allow receipt of zip files. Emails exceeding 20 MB may not deliver.

Offers may be submitted by multiple emails.

(3) Points of Contact. Ms. Vicki Whiteman, Contracting Officer, vicki.l.whiteman.civ@health.mil, and Mr.

John Kelley, Senior Contract Analyst (Contractor), john.j.kelley36.ctr@health.mil.

(n) Offer Content and Format. An offer shall consist of a cover letter and six volumes: Volume 1 for material to be reviewed under the Technical factor, Volume 2 for material to be reviewed under the Experience factor, Volume 3 for material to be reviewed under the Corporate and Management Capabilities, Key Personnel, and Transition Plan factors, Volume 4 for material to be reviewed under the Past Performance factor, Volume 5 for all Price information, and Volume 6 for all other matters of responsibility required for compliance with the solicitation. A page is 8.5 inches by 11 inches with 1-inch margins using single lines in Times New Roman font of no less than 12-point size font. Tables, graphics, and call-outs may use 10-point font. Narrative shall be submitted in MS Word or searchable PDF Format. Detailed pricing information shall be submitted in tabular format compatible with MS Excel. The offeror’s company name, the date, solicitation number, and volume number shall be included on each page of the offer and may display in a header/footer. All pages of the offer volumes shall be numbered, using a uniform numbering system. Page numbers, headers and footers may be outside the page margins and are not bound by the font and point size requirement. For any segments of an offer with a specified page limit, pages exceeding the limit will be removed and not forwarded for evaluation. Any offer containing proprietary information shall be clearly marked. All pricing information shall be addressed ONLY in Volume 5. Each volume shall contain a glossary of all abbreviations and acronyms used, with an explanation for each. Cover pages, Tables of Content, and Glossaries do not count against the page limitations for their respective volumes.

(1) Cover Letter Instructions. The cover letter has no page limit. The cover letter shall reference the solicitation number and identify all enclosures being transmitted as part of the offer. The cover letter shall include the Company Name, Address, Contract and Government Entity (CAGE) code, and Unique Entity Identifier (UEI).

The cover letter shall identify the name, address (if different from the company address), telephone number and e-mail address of the individual authorized to provide clarifications and exchange communications with the Government. Cover letters shall show offer validity. Cover letters shall indicate the time specified for receipt of offers and shall provide a statement specifying the extent of agreement with terms, conditions, and provisions included in the solicitation. Cover letters shall indicate receipt of all solicitation amendments by attachment of one copy of each Standard Form 30 or by listing each solicitation amendment. Contents of the cover letter will not be evaluated against the evaluation criteria specified in 52.212-2.

(2) Volume 1, Technical Approach. Volume 1 shall not exceed 25 pages. Volume 1 shall describe the offeror’s methods, tools, analytical techniques, and labor mix to perform program and acquisition management and administrative support for the following essential tasks from the PWS:

(i) Provide executive level program integration, management, coordination, and analytic support; milestone facilitation and progress/performance oversight of programs and projects; and other comprehensive program management support to assist and facilitate effective and efficient accomplishment of mission tasks, business functions/activities and operations to address difficult or controversial policy/program matters and identify resolutions to complex issues. (PWS 5.4.1, 5.4.2, 5.4.3, 5.4.9, 5.4.11, 5.4.12, and 5.6.8)

(ii) Develop draft manual change language. (PWS 5.5.1)

(iii) Support the development of major technical procurement requirements for multiple-year procurement plans and schedules. (PWS 5.4.5, 5.4.18, 5.4.19, 5.4.23, 5.4.24, 5.4.26 through 5.4.29, 5.5.5, and 5.5.7)

(iv) Provide administrative support to include taking minutes, coordinating meetings, and managing taskers. (PWS 5.2.9, 5.2.10, 5.3.4, and 5.3.5)

(v) Perform and document program risk assessments and analysis to include integration of risk mitigations with healthcare contract transitions oversight, healthcare contractor performance readiness validation and Government performance readiness assessment and verification activities. (PWS 5.4.20, 5.4.21, and 5.4.22)

(vi) Provide executive level healthcare policy and reimbursement analysis oversight of programs and projects, review of both medical and dental claims or other comprehensive policy and program management support. (PWS 5.3.9, 5.3.10, 5.3.11, 5.3.13, 5.6.16, 5.6.20, and 5.6.21),

(vii) Review literature and Federal Register publications to evaluate the effectiveness and efficiency of adopting new reimbursement systems and/or changing or updating existing systems. (PWS 5.3.12)

(3) Volume 2, Experience. Volume 2 shall not exceed 20 pages. Volume 2 shall describe the offeror’s previous experience in performing the tasks at subparagraphs (i) through (vi), below.

(i) Providing executive level program integration, management, coordination and analytic support.

(ii) Technical writing, desktop publishing, and library maintenance.

(iii) Providing administrative support to the development of major technical procurement requirements and Source Selection Evaluation Boards, Source Selection Advisory Councils, and the Source Selection Authorities for procurement of services. For supported services acquisition, identify the acquisition categories as described in DoDI 5000.74 (S-CAT I, Special Interest, S-CAT II, S-CAT III, S-CAT IV, or S-

CAT V).

(iv) Providing healthcare policy and reimbursement analysis, including review of literature and Federal Register publications to evaluate the effectiveness and efficiency of adopting new reimbursement systems and/or changing or updating existing systems.

(v) Providing executive level administrative support.

(vi) Providing an understanding of the latest management concepts in the commercial healthcare industry and health plan management, including the impact of benefit design, enrollment, eligibility, authorizations, claims processing, revenue cycle, customer service, network management, emerging technologies, population health and disease management.

(4) Volume 3, Corporate and Management Capabilities. Volume 3 shall include the Program Management narrative, Quality Control Plan, Key Personnel resumes, and Transition Plan..

(i) Section 1, Program Management. This section shall not exceed 15 pages. This section shall describe how the offeror intends to organize, plan, report, prioritize, schedule work and exercise project control. At a minimum, this description should address the following elements:

(A) The prime and subcontractor team members’ roles and functions within the team and how the efforts are allocated and managed to satisfy the full range of effort contained in the PWS. Specifically address coordination and control of work assignments including ability to manage multiple tasks simultaneously;

(B) Process and criteria to select and managed subcontractors to ensure the timely and effective delivery of services;

(C) Administrative approach to ensuring that the invoicing requirements at FAR 52.212-4(g), DFARS 252.232-7003 and 252.232-7006, as incorporated in this solicitation, will be met;

(D) Internal and external lines of authority and communication;

(E) Plan to provide a sufficient pool of qualified personnel to perform this effort;

(F) Program organization’s position within the overall corporate structure;

(G) Responsibility and decision-making authority of the program manager and his/her authority to control resources necessary for effective contract performance;

(H) Approach to handling quick response efforts and priorities; and

(I) Reporting systems to include system/process for capturing performance metrics.

(ii) Section 2, Quality Control Plan. The offer shall include the draft Quality Control Plan described at PWS paragraph 1.6.1. The draft plan has no page limit. The draft plan shall address the following:

(A) Sampling and measuring for each PRS (PWS, Attachment 1) measure. This approach will ensure attainment of the Acceptable Performance Level for each PRS measure. This approach must be agreeable to both the Government and Contractor and will use one of the following methods described for each PRS measure: Quality of Service, Access to Services and Cost Containment. The plan must detail the procedures to be utilized to ensure inspection will be taken from the appropriate phases of workflow. If the Offeror proposes any changes or modifications to the PRS, these should also be included.

(B) When, where and by whom the Contractor’s process controls will be performed. The Offeror should state the number of people that will be permanently assigned to this program and their assignments.

(C) Appointment of an official who shall be responsible for the operation of the quality control system/department and for investigating and ascertaining the causes of deficiencies.

(D) Describe the safeguarding and protection of privacy information.

(iii) Section 3, Key Personnel Resumes. The offer shall include resumes of all Key Personnel, not to exceed five pages, each, and letters of intent for those Key Personnel who are not employees of the offeror, not to exceed one page, each. Resumes shall include a list of relevant training, education, certifications, technical experience, and specific task-related experience and abilities cited in the PWS for each Key Personnel position. Resumes shall list previous employment, start date (month and year), and end date (month and year), if applicable, as necessary to demonstrate years of experience. For Key Personnel, proof of education, training and certifications may be requested prior to beginning work. The positions designated as Key Personnel can be found in PWS paragraph 1.12. Job titles for Key Personnel identified in the successful offer will be incorporated into the award document and those positions will be subject to limitations on reassignment of Key Personnel.

(iv) Section 4, Transition Plan. The offer shall include a Transition Plan for the Phase-In Transition described at PWS paragraph 1.6.1.1. The plan has no page limit. The plan shall include a high-level project plan in chart form, for the offered project, depicting your implementation approach, including schedule, work streams, activities, duration, milestones and dependencies. The plan shall address the following:

(A) Program and Acquisition Management and Administrative support service related transitions of similar size and scope, including a brief, general description of the work performed, transition timeframe. Within the past three years from date of offer submission;

(B) Key Lessons Learned from recent previous transitions of similar scope and size;

(C) Approach for transitioning to the new Contractor, to include knowledge, GFI, processes, content, etc.

(D) Approach to ensuring that DHAs’ Information Assurance (IA) requirements are met during the transition period;

(E) Methodology including phases, assumptions, phased timelines, descriptions and resultant deliverables;

(F) Key challenges;

(G) Risks and offered mitigation strategies;

(H) Key activities/tasks during the transition;

(I) Use of pre-existing tools and templates; and

(J) Transition phases, exit criteria for each phase, key decision points and milestones;

(5) Volume 4, Past Performance Instructions. Volume 4 shall identify the offerors performance history and references for past performance questionnaires. Performance history shall not exceed one page for each identified contract. The offer shall include no more than five references.

(i) Performance History. The offer shall identify Government contracts relevant to the requirement of this solicitation, performed by the offeror as a prime contractor under the CAGE code identified in the offer cover letter, and performed within the past three years from the date of the solicitation. The offer shall identify the contract number, dates of performance, and contact information for an individual knowledgeable of the offeror’s performance. The offer shall describe the extent to which each contract is relevant to the offered effort. Relevant work is similar in size, scope, and complexity to the work described in the PWS and demonstrates the offeror’s ability to perform the primary and vital requirements of that work.

(ii) References. The offeror may seek up to five past performance references for contracts identified in the performance history using the Past Performance Questionnaire at Attachment B of the solicitation. The offeror may provide past performance references for proposed subcontractors, but must provide at least one reference for the prime offeror. The offeror should complete the first page of the questionnaire and provide the file to a contact who is knowledgeable of the offeror’s performance for the reference organization. The contact must be an employee or authorized agent of the reference organization. The contact should complete the remainder of the form and forward directly to the Government points of contact for this solicitation. The offer shall include the first page of each questionnaire issued by the offeror.

(iii) Information From Other Sources: The Government may also seek and consider past performance information obtained through other sources, including but not limited to the Past Performance Information Retrieval System.

(iv) Subcontractor Consent to Discuss Past Performance Information. For each proposed subcontractor, the offeror shall submit the Subcontractor Past Performance Consent form at Attachment E.

(6) Volume 5, Price Instructions. The Price Volume has no page limit. The Government anticipates award of a Firm Fixed Price contract, with not-to-exceed cost-type CLINs for travel. The offeror shall price all services (except for travel) required by the Performance Work Statement under the Firm Fixed Price CLINs. The offeror’s price shall not include assumptions that change the terms or provisions of this solicitation.

(i) Price Narrative. The offeror may include explanation of pricing in narrative format.

(ii) Pricing Sheet. The offer shall include a completed pricing in the “CLINS TOTAL” tab of Attachment A, Pricing Sheet, in a Microsoft Excel format. The attached pricing sheet is set to calculate the CLIN prices from the “CLIN BREAKDOWN” tabs. Offerors making alterations or additions to the pricing sheet are responsible for ensuring that CLIN unit prices and total prices calculate correctly. All fixed price line items must include a unit price, rounded and extended to two decimal places. For the extended description of CLINs 0002, 1002 and 2002, the offeror shall fill in the overhead rate to be applied to direct travel costs.

The evaluated price of extension of service at FAR 52.217-8 will be calculated from the unit values of CLINs 2001 and 2002. Line items offered at no price shall be marked “NSP” or zero dollars. Failure to submit a price on any CLIN shall be a material deficiency of the offer and result in it being rejected without evaluation. The spreadsheets must be formatted such that when printed, the pages will be readable on 8.5 x 11 inch paper.

(iii) Supplemental Pricing Information. The offer shall include supplemental pricing information that provides a breakdown of the price for each fixed-price CLIN. The offeror shall show the fully burdened rate. This breakdown shall identify each item (e.g. labor category), and the number of units of the item (e.g., labor hours). The offer shall demonstrate calculation of the CLIN unit price, rounded to the nearest cent, from the item price information. The offeror shall complete a “CLIN BREAKDOWN” tab of Attachment A, Pricing Sheet, for each services CLIN. A “CLIN BREAKDOWN” tab is not required for extension of services at 52.217-8. The offeror shall complete all cells where an input is required.

Supplemental pricing information shall identify item prices for services to be performed by the offeror, similarly situated subcontractors, and subcontractors who are not similarly situated. Where a similarly situated subcontract is assigned a NAICS code different from the NAICS code at the SF 1449, Block 10, the offeror shall provide a narrative justification for the subcontract NAICS code. The offer shall demonstrate calculation of the percentage of award value to be performed by the offeror and any similarly situated subcontractors for each performance period, except extension of services at 52.217-8.

(iv) Compliance with Service Contract Labor Standards. The Government’s estimated level of effort anticipates labor generally exempt from Service Contract Labor Standards. Some PWS task, however, could be performed by service employees under the definition at FAR 52.222-41. For offered performance by such service employees, the offeror shall identify the equivalent standard occupational code. The offeror shall demonstrate by breakout of cost elements that the fully burdened labor rate for the base period is adequate to provide the minimum wage, paid time off, and health and welfare benefits specified under the applicable wage determination attached to this solicitation.

(v) Estimated Level of Effort. The Government estimates that this order will require an approximate level of effort, as outlined below, to accomplish the tasks identified in the PWS. The offeror is not constrained by the information provided and may propose alternate labor categories and/or hours as the offeror determines are appropriate to accomplish the tasks in the PWS. The Government estimate is based on 1,880 productive labor hours per person per year. The offeror’s accounting of productive labor hours per person per year may differ. The offered level of effort should be consistent with the offeror’s total submission.

(vi) Travel. Offers shall include a cost line item for travel concurrent with services CLINs other than transition period. Offerors may propose a direct cost for travel at a plug-in value at $12,312.50 per month or may propose a different value with justification. The offeror shall identify the indirect rate, if any, applied to travel and calculate total cost of travel. The offeror shall provide a DCMA rate recommendation letter, rate agreement letter, or other evidence of an audited basis for the indirect rate on travel.

(vii) Additional Pricing Information: The contracting officer may request additional pricing information in accordance with the provision at 252.215-7010, as incorporated into this solicitation. The contracting officer has determined that the services to be procured meet the definition of commercial services, so offerors are exempt from the requirements at 10 U.S.C. 3702 and FAR 15.403-3 for certified cost and pricing data.

(7) Volume 6, Other Matters of Responsibility. Contents of this volume will not be evaluated against the evaluation criteria specified in 52.212-2. This volume has no page limits.

(i) Representations and Certifications. The offeror shall have current FAR and DFARS representations in System for Award Management (SAM). For representations made only for the offer submitted in response to this solicitation and different from those in SAM, the offeror shall complete appropriate sections of the provision at 52.212-3 (Alternate I), as incorporated into this solicitation. The offeror shall complete the representation at 52.219-1 (DEVIATION CD2024-O0002) Alternate I, as incorporated in this solicitation, in lieu of the representation in SAM at FAR 52.212-3(c) or 52.219-1 Alternate I. The offeror shall complete the representations at 252.204-7016. If this provision is marked “does” provide, the offeror shall complete the representation at 252.204-7017. If the offeror’s representation at 52.204-26 or 52.212-3(v) is marked “does use,” the offeror shall complete the representation in the provision at 52.204-24, as incorporated in this solicitation. The offeror shall complete the representations at 52.229-11 and 252.247- 7022.

(ii) Contract History OCI Review. Using instructions at DHA.L.1, Preventing Organizational Conflicts of Interest, paragraph (c)(2), offerors shall provide an OCI disclosure statement and list all contracts and task orders (whether awarded by DHA or another contracting activity) under which the offeror and any anticipated subcontractors performed work for DHA as either prime contractors or subcontractors within the past 5 years, including efforts currently being performed. This includes actions issued under contracting office codes HT0011, HT0014, HT0015, HT0038, HT0090, HT9402, HT9406, HT9407, HT9408, HT9409, HT9410, HT9411 or HT9425, and actions issued by other contracting activities using funding office codes at Attachment D. The offer shall prepare the disclosure of contracts in a format substantially the same as the worksheet at Attachment C. Disclosure of other relevant facts concerning any past, present, or currently planned interests shall be made in narrative format. Disclosures for proposed subcontractors and team members must be submitted with the offer and may not be submitted separately.

(iii) Organizational Conflict of Interest Mitigation Plan. The offer shall include an OCI Mitigation plan as described in paragraph DHA.L.1, Preventing Organizational Conflicts of Interest, paragraph (e)(1). ALL OFFERORS ARE REQUIRED TO SUBMIT AN OCI MITIGATION PLAN with the offer, even if the offeror has NEVER performed contracts for DHA. Failure to submit an OCI Mitigation Plan shall be a material deficiency of the offer and result in it being rejected without evaluation. In addition to mitigation of actual or potential OCI identified in the disclosures for OCI Review, if any, the OCI plan shall address the offeror’s controls and employee training for identifying OCI which may emerge in the future performance of a contract as a result of the awardee’s position of influence and potential access to competitively useful information. The offer shall include document number and date for the plan to complete the fill-in at instruction DHA.H.2 – Mitigation Of Organizational Conflicts Of Interest.

(iv) Proof of Insurance. The offeror shall provide proof of Worker’s Compensation insurance for all places of performance locations as well as other proof of insurance (general liability, vehicle, etc.) appropriate to the offeror’s approach to services and travel.

(v) Quality Assurance Surveillance Plan. The offer shall provide for a name, phone number and e-mail to complete QASP paragraph 3.4, Contractor Representatives, should the offer result in an award.

(vi) Other Disclosures. The offeror shall review all other provisions incorporated at paragraph (r) of this Addendum to 52.212-1 and make any required disclosures.

(o) Discussions. The contracting officer intends to award without discussions but may establish a competitive range and enter into discussions if it is in the Government’s interest to do so. At conclusion of discussions, if any, instructions for revised proposals will be issued by amendment to this solicitation distributed to those offerors remaining in the competitive range.

(p) Changes to Term and Price of the Base Period. By submission of an offer, the offeror agrees that the Government may award at a later start date than the solicited effort, but no later than the end date through which the offer is valid. The offeror additionally agrees that the Government may reduce the term of the base period, at the proposed monthly price, as a result of delays in the award decision or contract clearance process, or due to limitation of funds. With any such reduction in base period term, the Government will recalculate the term and price of the option periods so that the resulting award total price and term are the same as the proposed total value and term of the successful offer. For example, if the agency were to reduce the base term by 6 months, the recalculated Option 1 monthly price would be the average of 6 months at the proposed base price plus 6 months at the proposed Option 1 price. The agency would similarly recalculate the Option 2 price and add a 6-month Option 3 at the proposed Option 2 monthly price.

(q) Non-Government Advisors. Contract support personnel from Amyx, Inc., will be providing administrative support to the solicitation and contract administration support functions related to this contract effort. Contractor personnel have executed Non-Disclosure Agreements, and their contracts include clauses prohibiting Organizational Conflicts of Interest.

(r) The non-FAR Part 12 discretionary FAR, DFARS, and local provisions included herein are incorporated into this solicitation either by reference or in full text. If incorporated by reference, see provision 52.252-1 for locations where full text can be obtained.

52.219-1 SMALL BUSINESS PROGRAM REPRESENTATIONS (DEVIATION 2024-O0002) (FEB 2024)

ALTERNATE I (FEB 2024)

(a) Definitions. As used in this provision-

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business concern eligible under the WOSB Program.

Service-disabled veteran-owned small business (SDVOSB) concern means a small business concern—

(1) (i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran or;

(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart 19.14).

(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary Identification and Records Locator Subsystem, or successor system that is maintained by the Department of Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.

Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program means an SDVOSB concern that—

(1) Effective January 1, 2024, is designated in the System for Award Management (SAM) as certified by the Small Business Administration (SBA) in accordance with 13 CFR 128.300; or

(2) Has represented that it is an SDVOSB concern in SAM and submitted a complete application for certification to SBA on or before December 31, 2023.

Service-disabled veteran-owned small business (SDVOSB) Program means a program that authorizes contracting officers to limit competition, including award on a sole-source basis, to SDVOSB concerns eligible under the SDVOSB Program.

Small disadvantaged business concern, consistent with 13 CFR 124.1001, means a small business concern under the size standard applicable to the acquisition, that—

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by—

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States, and

Women-owned small business concern means a small business concern-

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part
