About this file
The provided document is a set of questions and answers related to a federal contract opportunity for the Market Technology Integration Office (MTIO) Special Projects. The key details are:
The contract opportunity is a combined synopsis/solicitation for commercial services, solicited as an 8(a) set-aside. The issuing agency is the Defense Health Agency. The solicitation number is HT001124R0069.
The questions address topics such as the requirement for a Joint Venture (JV) to have a Top Secret (TS) clearance, and whether a partner's TS clearance can be used to sponsor the offeror's clearance post-award. The responses clarify that the JV must have its own TS clearance if the 51% company does not have it, and that the prime contractor must have the TS clearance, but it is unclear if a subcontractor can be sponsored for the TS clearance after award.

MTIO Questions
1. Using our JV where the 49% has a TS clearance? The JV does not need a separate TS clearance if both companies (49% and 51%) forming the JV have the TS clearance individually. NDAA 2020 Page 545 SEC. 1629. The JV does not automatically get TS clearance if the company with 51% does not have it. In that case, the JV needs to get its own TS clearance to qualify for the award.
2. Using a partner with a TS clearance and we can sponsor ours post award? This may work if the partner with the TS clearance is the prime contractor on the award. The prime is required to have the TS clearance IAW 32 CFR 117.9(a)(5). I know the prime can sponsor the subcontractor but I’m not sure if that subcontractor needs to have the TS clearance prior to award.
