About this file

This document is an amendment to a Request for Proposals (RFP) issued by the Defense Health Agency (DHA) under Solicitation Number HT0011-24-R-0050 for a non-personal services contract to provide personnel support for e-Learning courseware development, instructional system design (ISD) projects, learning management system (LMS) administration, and training support.

The key changes in this amendment include: modifying the response due date from 4 September 2024 to 19 September 2024; adding new Contract Line Item Numbers (CLINs) for option year travel costs not to exceed $12,500 per year; revising the delivery schedules for the new travel CLINs; and updating the Table of Contents to include a new attachment with Questions and Answers. The offer validity period has been extended from 30 to 180 calendar days. The proposal instructions remain unchanged, requiring offerors to submit a three-volume proposal addressing technical capability, past performance, and pricing.

The following have been modified:

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (SEP 2023)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code(s) and small business size standard(s) for this acquisition appear elsewhere in the solicitation. However, the small business size standard for a concern that submits an offer, other than on a construction or service acquisition, but proposes to furnish an end item that it did not itself manufacture, process, or produce is 500 employees, or 150 employees for information technology value-added resellers under NAICS code 541519, if the acquisition--

(1) Is set aside for small business and has a value above the simplified acquisition threshold;

(2) Uses the HUBZone price evaluation preference regardless of dollar value, unless the offeror waives the price evaluation preference; or

(3) Is an 8(a), HUBZone, service-disabled veteran-owned, economically disadvantaged women-owned, or women-owned small business set-aside or sole-source award regardless of dollar value.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at Federal Acquisition Regulation (FAR) 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with FAR subpart 4.10), or alternative commercial products or commercial services for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation.

(1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of Federal specifications, standards, and product descriptions can be downloaded from the ASSIST website at https://assist.dla.mil.

(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained from the address in paragraph (i)(1)(i) of this provision.

(2) Most unclassified Defense specifications and standards may be downloaded from the ASSIST website at https://assist.dla.mil.

(3) Defense documents not available from the ASSIST website may be requested from the Defense Standardization Program Office by--

(i) Using the ASSIST feedback module (https://assist.dla.mil/feedback); or

(ii) Contacting the Defense Standardization Program Office by telephone at 571-767-6688 or email at assisthelp@dla.mil.

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.

(j) Unique entity identifier. (Applies to all offers that exceed the micro-purchase threshold, and offers at or below the micro-purchase threshold if the solicitation requires the Contractor to be registered in the System for Award Management (SAM).) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation "Unique Entity Identifier" followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see FAR subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

(k) Reserved.

(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.

(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.

(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.

(4) A summary of the rationale for award;

(5) For acquisitions of commercial products, the make and model of the product to be delivered by the successful offeror.

(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

(End of provision)

The Offeror’s initial offer should contain the Offeror’s best terms from a price and technical standpoint. D. Proposal Preparation Instructions.

1) VOLUME I - TECHNICAL CAPABILITY: Limited to no more than forty (40) pages (not including POC Cover Letter, Title Page, Table of Contents, Definitions, or Resumes). The Technical Capability volume shall not include information related to the proposed price and shall specifically address each of the Technical Capability Subfactors listed below:

Volume I – Technical Capability – 40 pages:

· Subfactor 1: Technical Approach Narrative – 15 pages

· Subfactor 2: Draft Transition Plan - 5 pages

· Subfactor 3: Draft Quality Control Plan -10 pages

· Subfactor 4: Staffing/Key Personnel Plan and Organization Experience – 10 Pages

Volume 1 shall include the proposed Technical Approach Narrative, draft Transition-in Plan, draft Quality Control Plan and Key Personnel/ Staffing Plan which together shall not exceed forty (40) pages. The Subfactors listed below shall be evaluated against the specific criteria listed in ADDENDUM to 52.212-2, EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021):

· Subfactor 1: Technical Approach Narrative

The Offeror shall provide a Technical Approach Narrative which shall not exceed fifteen (15) pages. The written Technical Approach shall demonstrate the Offeror’s clear understanding of the requirements and objectives of the PWS and describe a methodology to timely meet or exceed the minimum required results under any resultant award.

· Subfactor 2: Draft Incoming Transition Plan (reference PWS Section 1.6.1.1 Transition-In period):

The Offeror shall provide as an attachment to the non-price proposal, an achievable draft Transition-In Plan which shall not exceed five (5) single-sided pages.

· Subfactor 3: Draft Quality Control Plan (reference PWS Section 1.10.1 Quality Control (QC)):

The Offeror shall provide as an attachment to the non-price proposal, a draft Quality Control Plan (QCP) which shall not exceed ten (10) single-sided pages.

· Subfactor 4: Staffing/Key Personnel Plan and Organization Experience:

The Offeror shall include the Staffing/Key Personnel Plan which shall not exceed ten (10) pages. The Staffing/Key Personnel Plan shall provide resumes for all individuals identified and proposed to fill Key Personnel positions (reference PWS Section 1.12) which will not count against the page totals. These resumes shall include a list of relevant training, education, and certifications. For individuals proposed as Key Personnel who are not current employees of your company, Offeror shall provide a signed letter of intent. Proof of employment may be requested prior to beginning work.

The Government provides a workload estimate in the PWS (reference PWS Part 7, Attachment 2, Government’s Estimated Workload), for the Offeror to understand the general scope of the effort and/or ascertain an approximate or estimated level of effort from the Government’s perspective. This is not to be construed as either mandatory or necessarily the best technical approach. The Government is seeking the best level of effort and labor mix your company determines optimizes Technical and Price considerations to accomplish the mission and objectives contained in the PWS.

If Offeror intends to use any labor categories that are consistent in duties with the level of effort labor categories, but are titled differently, Offeror must cross map those labor categories to the Government’s PWS and Offeror’s Technical and Price volumes to ensure the proposal receives a proper evaluation.

2) VOLUME 2 - PAST PERFORMANCE: Volume 2 is limited to no more than six (6) pages (not including Title Page, Table of Contents, Definitions or Past Performance Questionnaires) and may include relevant Past Performance information provided by the Offeror that will not be included in Past Performance Questionnaires (PPQs) submitted by a Reference (person responsible for acceptance of performed services who can verify compliance). PPQs are not submitted by the Offeror and do not count against page totals.

Volume 2 shall not include information related to the proposed price. This volume shall include the following information:

a) References. The Offeror shall facilitate submission of no more than three (3) Past Performance references or PPQs. These references may be those of the Offeror (which may be an SBA Mentor-Protégé joint venture), or a combination of references of the Offeror and the Offeror’s proposed subcontractors and/or teaming partners (including mentors in an SBA Mentor-Protégé joint venture) if they will be performing a significant portion of the work (at least 20% of the total value of the work) in each contract year. (Note: Reference FAR 52.219-14, Limitations on Subcontracting, for guidance on the annual limits on work performed by a subcontractor or mentor.) If an Offeror submits a reference for a proposed subcontractor and/or teaming partner, and the government cannot validate (such as in the Price proposal) that the subcontractor and/or teaming partner is performing at least 20% of the total value of the work each year, then the government will not evaluate the provided reference.

At least one (1) of the three (3) references must be for the prime 8(a) Offeror. If the prime Offeror cannot submit at least one (1) reference, a detailed explanation must be provided as to why the Offeror cannot submit one (1). The work covered by any Past Performance reference may have been with Federal, State, City agencies and/or commercial customers. Although not required, recent and relevant Past Performance with DoD, DHA or a military health system could be used as a discriminator in source selection if determined to be Relevant or higher (refer to ADDENDUM to 52.212-2, EVALUATION for detailed rating definitions).

b) Past Performance Evaluation Definitions. Recent is defined as performance on contracts/orders where the Offeror was a prime contractor or subcontractor within the last three (3) years from release of this solicitation, including efforts currently being performed. Relevant is defined as work similar in size, scope, and complexity to the work described in the PWS and which demonstrates the Offeror’s ability to perform the effort proposed. Quality of Performance refers to how well the Offeror performed on past contracts.

c) Reference Content. It is the Offeror’s responsibility that valid, current and verifiable information is provided by the Reference. Each submission of Past Performance information shall include the following:

· Project title

· Description of the project

· Cage Code under which work was completed

· Name of Prime/Subcontractor/or teaming partner that performed work, if applicable

· Government Agency or Organization name that contracted for the performance

· COR’s name, address, and phone number (Person responsible for acceptance and verifying compliance)

· Contracting Officer’s name, address, and phone number

· Contract Number and, if applicable, Task Order Number

i. Current status, e.g. completed and/or if in progress, work start and estimated completion dates

ii. Dollar value and type of contract

iii. PWS paragraphs that the reference applies to

iv. Key personnel, if applicable (highlight those individuals who worked on the relevant project(s) and are also being proposed for this effort)

v. A narrative of why you deem the reference relevant to this effort

d) PPQ Submission Instructions: For each Past Performance record submitted, the Offeror should fill out the PPQ, Attachment #3, titled “Past Performance Questionnaire Solicitation HT0011-24-R-0050, from the beginning of the questionnaire and complete through Part 1 only. The Offeror must transmit the PPQ to their Reference, for completion by the Reference, of Part 2 of the PPQ. The Reference must then submit each PPQ via email, directly to the government POC(s) listed in the PPQ. A PPQ submitted directly by the Offeror to the Government POC(s) or reference information provided by or for POCs who work directly for your company, or indirectly (i.e. in a prime or subcontractor relationship), will NOT be considered relevant. All PPQs are due to the DHA POC(s) listed on the PPQ Attachment, by the offer due date and close time listed in Block 8 of Page 1 of the solicitation or of the most recent amendment, if amended. It is the Offeror’s responsibility to ensure PPQs are received by the Government.

3) VOLUME 3 - PRICE: No page limit.

The Offeror’s proposed pricing shall be submitted separately as Volume 3 and remain valid for a minimum of 180 calendar days from the date of submission. Volume 3 will be evaluated separately from the non-price factors and must provide the breakdown of prices at a level of detail to conduct price analysis.

Additionally, the Government is not mandating the use of Service Contract Act (SCA) applicable labor categories. The Offeror will determine and identify any proposed labor categories that are non-exempt and are covered by the SCA. Labor categories identified as covered by the SCA will be subject to the requirements of the prevailing wage determination base labor rates for the actual place(s) of performance. SCA Wage Determinations are available at https://sam.gov/content/wage-determinations.

The price proposal shall use an Excel format and include a completed pricing sheet with CLIN Breakdown that contains formulas that can be manipulated and has been verified for correct mathematical computations. A zero dollar figure in the proposal means that the line item shall be provided at no charge to the Government. The cost/price portion of the proposal should include at a minimum, the following information as applicable:

a) Detailed Breakout – Provide all priced CLINS in the SF 1449 Continuation Sheet Schedule in an Excel workbook and include labor categories (LCATs), labor hours, labor rates, fringe, overhead, general and administrative (G&A), profit/fee, indirect/direct costs (e.g., ODCs, travel), as applicable, by CLIN and by base or option period of performance. Provide the actual or anticipated place of performance for Staff and Key Personnel positions and indicate which positions are anticipated to be remote or telework, if applicable.

(1) Summary and Back-Up – At a minimum, provide in an Excel workbook: 1) a summary of proposed LCATs, rates, and hours for the term of the contract as a fully-loaded/ built-up labor rate for each LCAT being proposed and for each Period of Performance (PoP); 2) labor price back-up for each PoP; 3) ODC or Travel price back-up for each PoP; and, 4) a Schedule B summary. LCATs must align with Offeror’s Technical proposal which supports the proposed labor categories and hours mix and thus forms the basis for the proposed pricing.

(2) Subcontracts - For a proposed subcontract, provide a description of work, contract type, total cost, and proposed profit/fee and provide the same cost/price information in Excel to the maximum extent practicable. Provide the cost/price analysis for price reasonableness for any major subcontracted services.

(3) Other Direct Costs - For any proposed travel, provide the destination, purpose, number of travelers, length of travel, per diem and transportation costs which must comply with acceptable Government rates found at https://www.gsa.gov/travel/plan-book/per-diem-rates. For any other costs, provide a description, purpose, quantity, cost/quote and link to pricing information (if available). These non-travel costs will be included in the monthly services charge and must be provided in the proposal for price analysis purposes.

b) The negotiated prices will become fixed prices on the contract. The annual prices will be calculated, inclusive of all labor rate costs and other non-travel direct costs, on a monthly basis to determine the monthly service charge. Travel is not anticipated on this requirement; however, if cost for travel is applicable or proposed, a separate Cost CLIN shall be established and travel will be subject to Government approval.
