(SPECIAL INSTRUCTION 001 PROHIBITION ON ORGANIZATIONAL CONFLICTS OF INTERESTS
(a) The Contractor’s attention is directed to FAR, Subpart 9.5, “Organizational and Consultant Conflicts of Interest.” DHA has made a determination that the nature of the work to be performed may create an actual or significant potential organizational conflict of interest in future acquisitions.
(b) For the purpose of these clauses, the term “Contractor” means the contractor, its subsidiaries, affiliates, partners, market consultants, as defined by FAR, Subpart 9.501, or any of its successors or assignees.
(c) The Contractor will have access to and assist in the preparation of information technology/ architecture products that may be required to meet the mission requirements of DHA’s non‐purchased care activities and programs and may be used in the development of solicitations for future competitive system procurements. Known, current tasks include end product developments for Defense Healthcare Management Systems. Modernization (DHMSM) and Defense Health Information Technology (DHIT). To avoid conflicts which may create biased ground rules, impair the Contractor’s objectivity, or give the Contractor an unfair competitive advantage, it is agreed that the Contractor shall‐‐for a period from the start of this contract and for two years after completion of this contract and all option periods and where the Contractor intends to submit a proposal in response to a solicitation for which Defense Health Agency or Program Executive Officer, Defense Healthcare Management Systems, are a requiring activity‐‐review solicitations for inclusion of information technology/architecture products delivered under this contract and, if found, advise the responsible Contracting Officer of the Contractor’s prior work on the architecture product(s).
Contractors should understand in proposing to perform on the GRAMS effort, they may be forfeiting their opportunity to propose on future end product developments.

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (APR 2014)
Addendum to 52.212-1
SUBJECT: Request for Proposal (RFP) – Governance Requirements & Architecture Management Support
(GRAMS)
TO: All Qualified Offerors (Unristricted) NAICS Code: 541512
1. SPECIFIC REQUIREMENTS.
This requirement will be a firm fixed price (FFP) contract. Performance requirements for this contract are provided in the Performance Work Statement (PWS) of this RFP
2. PROPOSAL CONTENT AND FORMAT INSTRUCTIONS.
GENERAL INSTRUCTIONS
2.1 Offerors are cautioned to follow the instructions provided in this section carefully to assure the Government receives consistent information in a format that will facilitate proposal evaluation. Exceptions taken as to inclusion of specific requirements in the resultant contract shall not be considered. Offerors shall submit only one offer. Alternative offers will not be accepted or evaluated by the Government. If an Offeror does submit an alternative offer, neither offer will be accepted by the Government.
2.2 This section provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The Offeror’s proposal must include all data and information requested in this solicitation and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the solicitation and applicable attachments. Non-conformance with the instructions provided in the solicitation and this section may result in an unfavorable proposal evaluation or rejection of the proposal. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims.
2.3 The Government reserves the right to evaluate proposals and contract(s) without discussions, therefore, the Offeror’s initial offer should contain the Offeror’s best terms from a price as well as a cost and technical standpoint and fails to do so at the offeror’s risk. If discussions are conducted, the Offerors will be notified as such by the Contracting Officer and discussions will be scheduled.
2.4 The proposal should not simply rephrase or restate the Government's requirements, but rather provide rationale to address how the Offeror intends to meet or exceed these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities, capabilities, and experience.
