About this file
This document constitutes the General Provisions attachment to a Multiple Award Task Order Contract (MATOC) between the California High-Speed Rail Authority and qualified contractors for repair and minor construction activities within Madera, Merced, Fresno, Kern, Kings, and Tulare counties. The contract covers a broad range of repair and construction work to be performed under individual task orders issued through a Task Order Proposal Request (TOPR) process. Work is scheduled to occur across the six-county region, with specific scopes, fees, schedules, and requirements to be detailed in each issued task order. The contract formation resulted from the MATOC qualification process established under Public Utilities Code Section 185036, and contractors will receive a Notice to Proceed from the Authority's Contract Manager before commencing work. The Request for Proposals (HSR26-81) was released October 22, 2026, with a proposal deadline of December 16, 2026, at 5 p.m. Pacific Time. Notices of Proposed Award are expected in January 2027. Site visits are scheduled for October 29, 2026 (Shaw Avenue) and November 10, 2026 (M2M PG&E Electrical), with a virtual pre-proposal conference on November 3, 2026, and a proposer inquiries deadline of November 17, 2026.
The contract establishes compensation for satisfactory services rendered in accordance with contract terms, with payment made upon Authority approval of invoices submitted monthly in arrears within 30 days of task completion. Retainage is withheld at five percent of all invoices up to a cap of $10,000,000. The Authority seeks qualified firms including large businesses and certified Small Businesses (SB), Small Businesses for Public Works (SB-PW), Disadvantaged Business Enterprises (DBE), and Disabled Veteran Business Enterprises (DVBE), with a 25 percent SB utilization goal inclusive of three percent Microbusiness participation and a mandatory three percent DVBE requirement. The contract includes comprehensive insurance requirements (workers' compensation, general liability, automobile liability, and professional liability where required), performance and payment bonds at 50 percent and 100 percent of contract price respectively, prevailing wage compliance, and adherence to federal requirements including Davis-Bacon Act wage rates and FRA mandates. The Authority has received federal funding from the Federal Railroad Administration (FRA) for the High-Speed Rail Project. This is a non-exclusive agreement with no guaranteed minimum work; the Authority reserves the right to contract with other entities for similar services and may terminate the contract for convenience with 30 days' written notice or for default if the contractor fails to perform contract provisions within specified cure periods.

Specific reference to a given coverage feature is for purposes of clarification only as it pertains to a given issue and is not intended by any party or insured to be all inclusive, or to the exclusion of other coverage, or a waiver of any type. If such change results in substantial additional cost to Contractor, the Authority and Contractor may renegotiate Contractor’s compensation.
xi. Self-insured Retentions
Any self-insured retentions must be declared to and approved by the
Authority. The Authority reserves the right to require that self-insured retentions be eliminated, lowered, or replaced by a deductible. Self-insurance will not be considered to comply with these specifications unless approved by the Authority.

The Contractor shall immediately comply with such direction and shall take all reasonable measures to protect and preserve the Work, materials, equipment, and Project site.
b. The Authority may suspend all or a portion of an individual Task Order without affecting the validity of this Contract or any other Task Order issued under this Contract.
c. If a suspension directed by the Authority causes a delay to the Work and is not the result of any act, omission, fault, negligence, or breach by the Contractor, the Contractor may be entitled to an equitable adjustment of Contract Time and reimbursement of reasonable, documented, and unavoidable direct costs resulting from the suspension.
d. The Contractor shall take reasonable steps to mitigate all costs and delays arising from a suspension and shall not be entitled to recovery of consequential damages, lost profits, loss of business opportunity, unabsorbed home office overhead, or other indirect damages.
e. The Contractor shall provide written notice of any request for equitable adjustment within thirty (30) calendar days after the suspension is lifted. Failure to provide timely notice may constitute a waiver of such claim.
f. The Authority may direct the resumption of the Work at any time by written notice. A suspension issued under this provision shall not constitute a termination of the Contract or Task Order.
19. TERMINATION FOR THE CONVENIENCE OF THE AUTHORITY:
a. The Authority may, in its sole discretion, terminate performance of work under this Contract for its convenience with thirty (30) days written notice, if the Authority determines that a termination is in the Authority's interest. The Authority shall terminate by delivering to Contractor a Notice of Termination specifying the extent of termination and the effective date thereof. The Parties agree that, as to the terminated portion of the Contract, the Contract shall be deemed to remain in effect until such time as the termination settlement, if any, is concluded and the Contract shall not be void.
b. After receipt of a Notice of Termination, and except as directed by the Authority, Contractor shall immediately proceed with the following obligations, as applicable, regardless of any delay in determining or adjusting any amounts due under this clause. Contractor shall:
i. Stop work as specified in the Notice of Termination.
ii. Place no further subcontracts for materials, services, or facilities, except as necessary to complete the continued portion of the Contract.

i. Perform any of the other provisions of this Contract (but see subparagraph (b), below).

c. If the Authority terminates this Contract in whole or in part, it may acquire, under the terms and in the manner the Authority considers appropriate, goods or services similar to those terminated, and Contractor will be liable to the Authority for any excess costs for those goods or services. All costs to the Authority shall be deducted from any sum due to the Contractor under this Contract and the balance, if any, shall be paid to the Contractor upon demand. However, Contractor shall continue the work not terminated.
d. If the Contract is terminated for default, the Authority may require Contractor to transfer title and deliver to the Authority, as directed by the Authority, any:
i. Partially completed materials, parts, tools, dies, jigs, fixtures, plans, drawings, information, and Contract rights (collectively referred to as "manufacturing materials" in this clause) that Contractor has specifically produced or acquired for the terminated portion of this Contract. Upon direction of the Authority, Contractor shall also protect and preserve property in its possession in which the
Authority has an interest.
e. The Authority shall pay Contract price for completed services delivered and accepted. Contractor and the Authority shall agree on the amount of payment for services delivered and accepted for the protection and preservation of the property. Failure to agree will be a dispute under the Disputes clause. The Authority may withhold from these amounts any sum the Authority determines to be necessary to protect the Authority against loss because of outstanding liens or claims of former lien holders.
f. If, after termination, it is determined that Contractor was not in default, or that the default was excusable, the rights and obligations of the Parties shall be the same as if the termination had been issued for the convenience of the Authority.
g. The rights and remedies of the Authority in this clause are in addition to any other rights and remedies provided by law or under this Contract.
21. FORCE MAJEURE:
Except for defaults of subcontractors at any tier, Contractor shall not be liable for any excess costs if the failure to perform the Contract arises from causes beyond the control and without the fault or negligence of Contractor and Contractor can demonstrate that it would have timely performed that obligation but for a Force Majeure event. A “Force Majeure Event” means one of the following events, provided it is beyond the control and not due to an act or omission of Contractor and could not have been avoided by due diligence or use of reasonable efforts by Contractor:

b. In the event of the termination of the Contract, either in whole or in part, by reason of default or breach by Contractor, any loss or damage sustained by the Authority in procuring any items which Contractor agreed to supply shall be borne and paid for by Contractor.
