TERMS AND CONDITIONS

HSCG38-15-Q-500015

Statement of Requirement The proposed contract to be awarded by the United States Coast Guard (USCG) shall be for Calibration and Repair Services as specified in the Statement of Work (SOW). All quantities shown in the schedule are estimated. Therefore, there is no guaranteed, stated or implied as to the actual quantities that will be calibrated or repaired under this contract.

The following clauses and provisions are included:

52.212-1 Instructions to Offerors - Commercial Items Apr 2014

Period of Acceptance of Offers

(c) Prices must remain effective for 90 days after solicitation closes.

Cost or Pricing Data It is Department of Homeland Security (DHS) policy that pricing for competitive negotiations should be based on adequate price competition. However, in the event only one responsible offeror is obtained as a result of this solicitation, that offeror may be required to submit either Certified Cost or Pricing Data (Federal Acquisition Regulation (FAR) 15.403-4) or Data Other Than Certified Cost or Pricing Data (FAR 15.403-3) to support price negotiations.

Service Contract Labor Standards The Service Contract Act could apply to any contracts awarded through this solicitation. In accordance with (IAW) FAR 22.1009-4, the place of performance for this contract is currently unknown. The Contracting Officer has determined two possible places of performance and has included Wage Determinations for each place as an attachment to this solicitation. The Contracting Officer will obtain wage determinations for additional possible places of performance if asked to do so in writing at Tony.R.Twiddy@uscg.mil.

Notice of Pre-award Survey

(a) Offerors are advised that the Government may contact potential contractors to ascertain their capabilities to perform the work specified in this solicitation. In addition to financial statements and credit rating checks, the Government may visit a prospective contractor's facility(s). Areas of interest on this survey may include, but are not limited to the following:

(1) Performance plans

(2) Quality assurance and control plans

(3) Personnel recruitment and training plans

(4) Workload factor for manpower utilization

(5) Management plan for handling peak workloads

(6) Production capability.

(i) Plant facilities, equipment, and labor resources

(ii) Purchasing and subcontracting

(iii) Performance record and ability to meet delivery schedules

(b) Offerors are advised that accomplishment of this survey is a part of the evaluation process and is not to be construed as an indication that an offeror will receive or is in the best position to receive the resultant award. However, any offeror that fails to meet the requirements of the site survey will no longer be considered for award.

Delivery Requirements F.O.B. Destination is requested as the F.O.B. point for all deliverables.

Award on Initial Quotations The Government retains the right to award without discussions. Offerors shall assume the Government has no prior knowledge of their experience and will base its evaluation solely on the information presented in the offeror’s quotation. Therefore, offerors are encouraged to provide their best quotation with the materials requested for evaluation. However, in the event that discussions are considered necessary, the Government retains the right to limit the number of offerors included in the competitive range for purposes of efficiency.

Evaluation Criteria The provision at Federal Acquisition Regulation (FAR) 52.212-2 Evaluation of Commercial Items is not applicable to this solicitation. In lieu of this provision, quotes will be evaluated in accordance with FAR 13.106-2 based on the criteria listed below. Award will be made to the lowest priced, technically acceptable offer with acceptable or neutral past performance.

Price: The offeror shall provide pricing as requested in the attached spreadsheet titled “HSCG38-15-Q-500015 - Schedule”. Any quantity price discounts and discounts for prompt payment should be included in this section. Total price evaluation will be for the base period, all option periods and IAW FAR 52.217-8, a six month extension period. Failure to quote pricing for the base period and the option periods on individual line items may result in a quotation being excluded from further consideration.

For purposes of evaluation, the potential need to exercise the option under FAR 52.217-8 to extend a period of contract performance for a maximum period of six (6) months beyond any period of performance will be considered the same for all offerors. The Government will consider that if the extension of service clause (FAR 52.217-8) is exercised, it will be on the exact same rates and terms, other than length of performance, as the period of performance being extended. For purposes of evaluation only, the Government will use the rates specified in the last option period and add the cost of six months to the prices quoted for the base period and all option periods to determine total evaluated price of the contract. The Government will determine whether the price, including the options available under FAR 52.217-8, is fair and reasonable.

Technical Acceptability: Technical Acceptability will be evaluated to determine an overall rating of “acceptable” or “unacceptable”. This will be determined by evaluating the ability of the offeror to provide a sound, compliant approach that meets all requirements listed in the SOW and demonstrates a thorough knowledge and understanding of the requirements. It is the contractor’s responsibility to ensure that their quotation clearly demonstrates their ability to perform these requirements. All offerors must provide the following minimum information and documentation with their quotations:

• Detailed explanation of a plan for an Off-Site Calibration Laboratory with the capability to calibrate and repair both portable equipment at the Contractor off-site facility and non-portable equipment on-site at the USCG facilities. The Calibration Laboratory must be certified and accredited per paragraph 2.2 of the statement of work.

• Detailed explanation of a plan to respond to emergency and priority calibrations situations. Emergency Calibrations must be performed and returned if the equipment is portable within 24 hours. Priority Calibrations must be performed prior to all other scheduled calibrations and returned if the equipment is portable within 2 working days.

• Detailed explanation of the method(s)/means used to stay abreast of updated calibration procedures, intervals, guidelines and requirements.

• Detailed explanation of the capability to perform on-site calibration and repair services on non-portable equipment located at the USCG facilities. These services must be completed within the hours of 7:00 a.m. and 3:00 p.m. Eastern Standard Time.

Examples of non-portable equipment are ovens, hydraulic test benches, freezers, and battery chargers. Non-portable equipment represents less than two (2) percent of the equipment listed in calibration and repair items list.

• Contractor shall provide their standard warranty period for calibrated and repaired items.

Past Performance:

The offeror’s Past Performance will be evaluated to determine if it is acceptable or neutral. The offeror shall provide completed Past Performance Information Sheets (sheets are attached to the solicitation) for the three (3) most recent contracts completed in the last three (3) years.

Contracts (references) listed may include those with the Federal Government, State and Local Governments or their agencies, and Commercial Customers. If an offeror has no past performance history, the offeror must affirmatively state that it possesses no past performance history.

The Government may utilize the references provided by the Contractor, along with information available from past contracts/purchase orders with the USCG, delivery information found in the USCG’s AMMIS system, and any information found using sources such as Federal Government sources, Past Performance Information Retrieval System (PPIRS)/Contractor Performance Assessment Reporting System (CPARS) to determine if the Contractor has acceptable or neutral Past Performance. The Government reserves the right to limit or expand the number of references it decides to contact and to contact references other than those provided by the offeror.

Evaluation Method:

Only the lowest priced offer will be evaluated for Technical Acceptability. Should the lowest priced offer not receive an acceptable technical or past performance rating, the process will continue in order of lowest priced offer only until the lowest priced, technically acceptable offer with acceptable or neutral past performance is identified.

52.212-3 Offeror Representations and Certifications-Commercial Items Mar 2015 X Alternate I of 52.212-3. Oct 2014 An offeror shall complete only paragraphs (b) of this provision if the offeror has completed the annual representations and certificates electronically via http://www.acquisition.gov . If an offeror has not completed the annual representations and certifications electronically at the System for Award Management (SAM) website, the offeror shall complete only paragraphs (c) through (o) of this provision.

Except as this contract otherwise provides, the Government shall order from the Contractor all of that activity’s requirements for supplies and services specified in the Schedule that exceed the quantities that the activity may furnish within its own capabilities. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period;

Contracting Officer may exercise the option by written notice to the Contractor within thirty (30) days of expiration of the period of performance.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years (plus six months if FAR 52.217-8 is exercised).

The Common Access Card (CAC) is a personal identification card for the Department of Defense/Uniformed Services and complies with HSPD-12. The Coast Guard has instituted the CAC as its HSPD-12 compliant personal identification card for contractor and subcontractor employees who are required to access a Coast Guard, Department of Defense (DOD), or other federally-controlled computer information system and/or facility, or need public key infrastructure (PKI) authentication to perform their contractual duties.
