BPA TERMS AND CONDITIONS
BLANKET PURCHASE AGREEMENT TERMS AND CONDITIONS
AUTHORITY: This Blanket Purchase Agreement is entered into under the authority of 10 USC 2304 and the Federal Acquisition Regulation Part 13.303- Blanket Purchase Agreements (BPAs). A BPA is an agreement, not a contract, between the Government and the Contractor. Neither party is under contractual obligation until an authorized call (order) is received and accepted. The act of receiving and accepting an authorized call creates a contractual obligation that will remain in effect for the duration of work required under the accepted call. This solicitation is for a quote, which will result in the establishment of multiple-award BPA utilizing the selected contractor’s quote.
The BPA good faith estimate for the sum of all BPAs awarded as a result of this solicitation is $7,500,000.00. The term “ceiling” in this award shall mean “estimate”.
1. DESCRIPTION OF AGREEMENT: The purpose of this multiple-award BPA is to provide Transportation Support Services to George C. Marshall European Center for Security Studies (GCMC) as detailed within the Performance Work Statement (PWS). Award of the BPA and administration of individual call orders for the delivery of the services for the GCMC under this BPA will be through Contracting Officers at Washington Headquarters Services (WHS) Acquisition Directorate (AD). The work to be performed under this BPA and individual call orders will be performed in Garmisch-Partenkircken, Germany.
The terms and conditions set forth in this BPA will flow down and be incorporated by reference into the BPA holder’s awarded call orders.
The BPA Contracting Officer will evaluate contractor performance on the BPA and on each call order. The evaluation will take into account all aspects of the service provider’s performance. Interim performance evaluations on the BPA or any call order may be completed at any time the service provider’s performance is considered less than satisfactory. The service provider will be provided a copy of the performance evaluation and an opportunity to discuss the evaluation. Negative performance evaluations may have an impact on the award of future call orders.
2. PRICING: BPA holders shall provide the required services and/or supplies according to the BPA pricing table listed in the award. The pricing will be structure to support individual call orders for Firm Fixed Price (FFP). Pricing is in effect when the Government places a call order will apply for the life of the call order. The BPA has an ordering period of 12-month base period with four-12-month option periods.
3. ORDERING OFFICIALS: Only WHS AD Contracting Officers have the authority to place call orders against this BPA. No other persons or entities may place call orders or make modifications against this BPA. Any component within the GCMC that requires information or wants to place a call order from this BPA shall contact the Contracting Officer’s Representative (COR), or the identified WHS Contracting Officer. Below is the following point of contacts.
The Contracting Officer (KO): The KO has the overall responsibility for administration of the BPA. The KO is the only authorized individual to take actions on behalf of the Government to amend, modify or deviate from the BPA terms, conditions, requirements, specifications, details and/or delivery schedules. The KO for the BPA is:

The Government is under no obligation to exercise any options contained in this BPA or any order resulting from this BPA. Each option is considered severable, is subject to FAR Clause 52.217-9 Option to Extend the Term of the Contract (Mar 2000), and may only be exercised by the unilateral determination of the Government Contracting Officer based on the best interests of the Government.
