52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (APR 2014)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

KEY PERSONNEL

The personnel listed below are considered essential to the work being performed hereunder. Prior to substituting, removing, replacing, or diverting any of the specified individuals, the Contractor shall notify the Contracting Officer 15 working days in advance and shall submit a written request and justification (including proposed substitutions) in sufficient detail to permit evaluation of the impact on this Contract.

The proposed substitution of personnel must meet or exceed the education, experience, and other technical requirements of the personnel being replaced. No change in personnel shall be made by the Contractor without the prior written consent of the Contracting Officer. However, in urgent situations, as determined or agreed to by the Contracting Officer, an oral request to substitute key personnel may be approved and subsequently ratified by the Contracting Officer in writing. Such ratification shall constitute the consent of the Contracting Officer required by this paragraph. The Contracting Officer will notify the Contractor within 10 working days after receipt of all required information of the decision on the substitution(s). In the event the proposed substitution of key personnel does not meet or exceed the education, experience, and other technical requirements of the personnel being replaced, the Government reserves the right to require continued performance of previously approved key personnel or to require substitution of acceptable replacements for the individuals specified below. A BA or graduate degree in Television Broadcasting or Communications and SBE Television Operator certification is a plus.

Deputy Project Manager

The deputy project manager of this contract must have a minimum of three years of experience of directly and/or assisting in supervising and managing personnel at a network broadcasting facility. This includes “hands‐on” comprehensive experience and knowledge in television broadcasting, editing and/or post‐ production, television traffic and scheduling, and promo editing and graphics. Will manage and monitor Contractor Quality Control program. A BA or graduate degree in Television Broadcasting or Communications and SBE Television Operator certification is a plus.

Production Manager

The Production Manager provided in support of this contract must have a minimum of 5 years of verifiable experience overseeing Basic promo editing and Graphics activities and personnel in a broadcast or cable television promo department. The Production Manager serves as an interface between contract staff and the government. This is a critical role that will work to maintain work flow, create production schedules and deadlines, identify problems and offer process solutions. The Production Manager manages his/her staff and creates procedures and administrative tools necessary to efficiently schedule, track, and ensure delivery of department assignments on time and at a quality level commensurate with cable and broadcast standards. Prioritizes the activities of editors and Graphics personnel to ensure efficient workflow and processes. Makes adjustments as deadlines change and new work is introduced. Establishes process for technical quality assurance to ensure that material delivered to the Government meets U.S. broadcast audio and video technical standards as established by the FCC and SMTPE and established quality practices of major U.S.

networks like ABC, CBS, NBC, etc.. Creates timelines for completion of products requested by the Government and provides reports to the Government detailing projected completion dates, hours spent on projects and quality assurance results.

Works directly with the Chief of Marketing & Promotion to ensure complete understanding and implementation of Government goals. Develops a bank of freelance Editors and Graphic Artists to use as needed within the scope of the contract. Must have a working knowledge and experience with on‐air promotion techniques, graphics creation, television editing equipment and broadcasting industry technology and standards. Must work effectively in a team environment and work well independently. Submit a resume for evaluation. A promo reel on DVD is a plus.

Basic Promo Editor The editor provided in support of this contract must have a minimum of 5 years of verifiable television broadcast promotion (promo) editing experience including, but not limited to, editing news, movie, sports, or entertainment promos at a local station, network or cable TV network. The editor must be able to work on tight deadlines yet continue to be highly productive, have strong editing skills and be experienced in on‐air promo concepts, and be able to perform low‐level graphics tasks. Must be capable of working in a high‐pressure, time‐sensitive environment.

Expert at prioritizing multiple tasks. Capable of adherence to strict deadlines under pressure editing promos using state‐of‐the‐art technology to achieve professional quality in accordance with AFN’s standards. Must have a working knowledge of television editing equipment and broadcasting industry technology and standards.

Must work effectively in a team environment and work well independently. Submit a demo reel on DVD, Blue‐Ray or an internet url, and outline the specific work done for each project displayed.

Graphic Artist (Broadcast Designer)

The Graphic Artist (Broadcast Designer) provided in support of this contract must have a minimum of 5 years of verifiable television broadcast promotion producing / graphics experience, including, but not limited to, production of still and animated broadcast graphics for entertainment programs, both scripted and unscripted; features, movies and sports programs. Must participate in generating ideas and concepts for graphics and branding efforts. Flexibility in the MAC and PC environments, be expert in PhotoShop, After Effects, Adobe Illustrator, Dreamweaver, Flash and Cinema 4D. The Graphic Artist (Broadcast Designer) will design compelling, professional broadcast graphics elements and animations. This individual will work with minimal oversight to execute graphic design and production. Qualified candidate must conceptualize, design and produce all art‐ related projects. Candidate must be experienced, creative, assertive, energetic and work well as part of a team in executing results‐oriented promotion strategies.

Must be able to prioritize multiple tasks and adhere to strict deadlines under pressure, creating and planning graphics from conceptualization to successful execution using state‐of‐the‐art technology to achieve professional quality results.

The services performed have both short‐ and long‐term effect on AFN viewers and the AFN image. Must develop and maintain excellent relationships with outside professional services and co‐workers. Must have a working knowledge of television graphics software and equipment and broadcasting industry technology and standards. Graphic Artist (Web)

The Graphic Artist (Web) provided in support of this contract must a minimum of 5 years of verifiable experience developing high‐energy, contemporary websites for media companies, and broadcast design/graphics experience. This person will be responsible for designing the myafn.net website, additional themed pages and interfaces, as well as daily and weekly promo ads presented to viewers. Must participate in generating ideas and concepts for web promotion efforts. Flexibility in the MAC and PC environments, PhotoShop, After Effects, Adobe Illustrator, Dreamweaver, Flash, etc.. Qualified candidate must conceptualize, design and produce all web‐related sites, pages and projects. Candidate must be creative, assertive, and energetic in creation of dynamic websites which result in a good experience by the AFN audience. Must be able to prioritize multiple tasks and adhere to strict deadlines under pressure, producing and planning promotions from conceptualization to successful execution using state‐of‐the‐art technology to achieve professional quality in accordance with AFN’s standards. Must have a working knowledge of television graphics software and equipment and broadcasting industry technology and standards. Must work effectively in a team environment and work well independently. Submit a graphic reel on DVD, Blue‐ Ray or an internet url, and outline the specific work done for each project displayed. Computer Operator

The personnel in the Television Programming Support portion of the PWS shall come under the DOL wage determination and occupation descriptions for Computer Operator. Personnel must have a minimum of 3 years of knowledge and current experience of working with television network scheduling and traffic software systems. Auto‐Sat Scheduling personnel in the Television Programming Support portion of the PWS shall come under the DOL wage determination and occupation descriptions for Television Operator and must have a minimum of 4 years of current experience working at a television network broadcast facility. In addition, Auto‐Sat Scheduling personnel must have a minimum of 3 years of knowledge and current experience of working with auto‐sat record list technology.

Television Operator I

The personnel in the Television Media Preparation portion of the PWS shall come under the DOL wage determination and occupation descriptions for Television Operator and Material Coordinator. Television Operator personnel must have a minimum of 4 years of current experience working at a television network broadcast facility and/or a television production/post‐production facility as a television editor with knowledge and experience using the Velocity editing system and/or other comparable state‐of‐the‐art editing systems, and all other ancillary equipment.

Television Operator II

The personnel in the Television Media Preparation portion of the PWS shall come under the DOL wage determination and occupation descriptions for Television Operator and Material Coordinator. Television Operator personnel must have a minimum of 4 years of current experience working at a television network broadcast facility and/or a television production/post‐production facility as a television editor with knowledge and experience using the Velocity editing system and/or other comparable state‐of‐the‐art editing systems, and all other ancillary equipment.

Material Coordinator

Material Coordinator personnel must have a minimum of 2 years of current experience working with a media management and/or media tracking database system, and knowledge of shipping and receiving procedures.

Factor 1 – Subcontracting Plan

Adequacy of Required Information Goals and Assurances. The assessment of this subfactor will consider the extent to which the contractor provides small business sub‐contractor opportunities in their proposal. The plan should ensure that a portion of the subcontracts are awarded to domestic small businesses in the various socio‐economic programs and perform in accordance with all requirements set forth in the contract. The contractor , regardless of its business size, shall ensure that small business, veteran‐owned small business, service‐disabled veteran‐owned small business, HUBZone small business, small disadvantaged business (SDB) (including 8(a) program participants), and women‐owned small business concerns will have the maximum practicable opportunity to participate in contract performance consistent with its efficient performance.

(a) Quality and Satisfaction Rating for Contracts Completed in the Past Three Years: Provide information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with overall job performance and quality of completed product for same or similar type contract. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc. The Government does not assume the duty to search for data to cure the problems if it finds in the information provided by the Offeror. The burden of providing thorough and complete past performance information remains with the Offeror.

(b) Past Performance Surveys: Offerors shall provide past performance information for three (3) most relevant contracts for Federal agencies and/or commercial customers within the last 3 years. Relevant contracts include technical capabilities under Factor 1, Technical Proposal. The Government reserves the right to use past performance information obtained from sources other than those identified by the Offeror. Other sources may include, but are not limited to, the Past Performance Information retrieval System (PPIRS), the Contractor Performance Assessment Reporting System (CPARS), and the Federal Awardee Performance and Integrity Information System (FAPIIS). This past performance information will be used for the evaluation of past performance. All past performance surveys must be submitted and received by the closing date of the RFP. If partnering, must identify the prime on the survey.

Factor 3 ‐ Price

(a) Complete blocks 12, 17a, and 30a, b, and c of the SF1449. In doing so, the offeror accedes to the contract terms and conditions as written in the SOLICITATION, with attachments. The SOLICITATION constitutes the model contract.

(b) Insert proposed unit and extended prices in the Pricing Schedule. The extended amount must equal the whole dollar unit price multiplied by the number of units. The proposal(s) must be submitted for a base year, plus four 1‐Year option years.

(c) Complete the necessary fill‐ins and certifications in provisions. The provisions FAR 52.212‐3 shall be returned along with the proposal. If you have your Representation and Certifications updated via ORCA, please response stating this and verification can be obtained there.

(d) Acknowledge of all amendments to the solicitation in accordance with the instructions on the Standard Form 30 (amendment form).
