52.212-1 ADDENDUM – INSTRUCTIONS TO OFFERORS - - COMMERCIAL ITEMS (JUN 2008)

(b) Proposal submissions shall include one executed/signed copy of the Standard Form (SF) 1449, Blocks 17a (Company Name/Address/Phone number), 17b and 30a-c. (This is page 1 of the solicitation.) Offers may be submitted on letterhead stationary. Each offeror’s proposal shall be submitted as stated below and all information shall be confined to the appropriate part to facilitate independent evaluation. The overall proposal shall consist of five (5) separate and detachable parts, individually entitled.

1) PART I – SF Form 1449 Documents

2) PART II – Technical Proposal

3) PART III – Past Performance

4) PART IV – Sub-contracting Plan

5) PART V - Price Proposal

Parts I through IV shall be organized into a single binder (Binder 1). These parts (I – IV) shall contain no pricing information. The Price Proposal, Part V, shall be submitted in a separate binder (Binder 2). Submit one (1) original set and three (3) copies. A set consists of two binders, one binder with Parts I – IV and the other binder with Part V.

(b) (2) All offers shall be received NLT 20 July 2010 at 4:00 PM, (Eastern Standard Time). Fax and email responses will not be accepted.

(b)(4) Technical Proposal: The technical proposal shall address the offeror’s ability to meet the requirements stated in the Performance Work Statement (PWS). Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective proposal are not desired. The proposal shall contain all the pertinent information necessary to evaluate the proposal.

Technical Evaluation Factors. The following factors shall be used to evaluate offers:

(i) Sub-Factor 1: Management Plan: Provide detailed Management Plan to include, but not limited to:

1) Offeror’s ability to perform the requirement as stated within the performance work statement.

2) Offeror’s approach for staff management of qualified and experienced personnel and a management plan to provide oversight during performance.

(ii) Sub-Factor 2: Quality Control: Demonstrates how offeror will conduct Quality Control should the offeror be the successful awardee. Provide Quality Control Plan for this requirement. This plan should include, but not limited to:

1) The offeror’s strategies that will be used to monitor performance.

2) The methods that will be used for responding to customer concerns and correcting service quality issues on a timely basis.

3) The control measures that will be used to prevent and/or correct service quality issues. The offeror’s response time in responding to the COR’s notifications of service deficiency.

4) How the offeror will monitor and report changes in personnel safety/background records (i.e.

arrests, DUIs, etc) to maintain compliance with the personnel requirements in the PWS throughout the performance of services.

(iii) Sub-Factor 3: Safety: Describes the offeror’s experience and capabilities related to the following:

1) Awareness and training for promoting safety to include driver training and overall safety record.

2) Address procedures for evaluating and resolving immediate safety related incidents and preventive measures for future safety related incidents.

(iv) Sub-Factor 4: Equipment:

1) Demonstrate offeror’s experience in the area of Fleet Management.

2) Demonstrate offeror’s capabilities and availability of equipment.

(vi) Technical Evaluation Standards. Proposals will be evaluated against the following criteria for the Technical Factors:

1) Rating. The ratings for the Technical factor and subfactors will be expressed as an adjectival assessment of Outstanding, Above Average, Acceptable or Unacceptable.

The offerors proposed approaches/solutions, when implemented, introduce moderate risk but are considered likely to produce performance results meeting the Government’s objectives. An “Acceptable” rating indicates that the proposed solution may contain some weaknesses.

The offeror’s proposed approaches/solutions, when implemented, would introduce excessive risk, making it unlikely that performance would meet the Government’s objectives. An “Unacceptable” rating indicates the proposal has a deficiency or weaknesses of the proposed solutions significantly exceed any strengths. Risk Level: High

Deficiency A material failure of a proposal to meet the Government requirement, a significant omission or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

(b)(6) Price Proposal Submission. Submit unit pricing using CLIN structure format on page numbers 3 thru 17.

Unit quantities are estimated and valid for price proposal. Submit pricing totals using the pricing format (see Attachment 1).

The Price proposals will be evaluated to ensure price reasonableness for the services being provided to the Government, considering the specific terms and conditions, and relevant commercial practices.

The Government will perform price analysis in accordance with FAR part 15.404-1(b) and applicable supplements and guides to ensure a fair and reasonable price. The price factor will include an evaluation of:

(A) Individual line items for CLINs X001 thru X005 (Base and Option Periods). The Government recommends including all overhead cost within the first CLIN of each performance period (Example: CLINs 0001, 1001, 2001, etc.). Note: CLINs using hours as the unit of issue are estimated.

(B) The sum of all line items, including options for the total proposed price. The total proposed price will be a major determinant.

(C) A price and proposed rates that are found to be either unreasonably high or unrealistically low in relation to the proposed work may be indicative of an inherent lack of understanding of the solicitation requirements and may result in the overall proposal being considered unacceptable.

(D) Offeror’s understanding and description of workers/employees compensation in according with local labor laws and customs to include any fringe benefits.

(E) Any inconsistency, whether real or apparent, between proposed performance and price must be clearly explained in the price proposal. For example, if unique and innovative approaches are the basis for an apparently unbalanced/inconsistently priced proposal, the nature of these approaches and their impact on price must be completely documented.

(b)(8) Representations and Certifications. A completed copy of the representations and certifications at FAR 52- 212-3 and DFARS 252.212-7000.: complete all applicable fill-ins.

(b)(10) Past Peformance Factors.

(i) Submission Requirement: Offerors shall have three references complete the questionnaire at Attachment 2 and send them directly to the address at 52.212-1(b)(2). These references shall be for work of similar type, scope and complexity as this requirement within the past three years. Offerors shall include identify the three references in their proposal and strive to ensure the reference information is submitted to arrive no later than 4:00 PM (EST), 20 July 2010. Offerors shall also submit with the proposal a list of all current and completed contracts from May 2007 to proposal due date. The list shall contain the following information:

(A) Short descriptive title of project

(B) Performance dates

(C) Total contract value

(D) Date of award

(E) Contracting Activity (Customer) name with complete mailing address

(F) Customer POC, name, title, mailing address, phone and e-mail address

(G) Any comments (e.g. problems, solutions). The offeror shall provide information on problems encountered on the identified contracts and the offeror’s corrective actions.

(ii) Evaluation: The Government may use past performance information provided by the offeror’s references, from offeror’s list of contracts, or other sources available to the Government to rate the offeror. Past Performance will be evaluated based on the following:

(A) Quality of service—compliance with contract requirements, accuracy of reports, appropriateness of personnel, technical expertise.

(B) Timeliness-compliance with contract timeliness requirements for providing the services.

(C) Customer Service—courteous interactions, satisfaction of end users with contractor’s service, initiative and proactive suggestions, approaches and improvements.

(D) Compliance with the requirements of FAR clause 52.219-9, Small Business Subcontracting Plan Alternate II and DFARS 252.219-7003 on previous contracts.

(E) Overall satisfaction of performance/service and training, if applicable.

(iii) Past Performance Standards.

(A) Outstanding - The offeror’s record of past performance, as applicable, specifically relates to and suggests that DoDEA/DDESS can expect superior performance and customer satisfaction for this effort with very low risk.

(B) Very Good - The offeror’s record of past performance, as applicable, relates to and suggests with minimal risk that DoDEA/DDESS may expect highly satisfactory performance and customer satisfaction for this effort.

(C) Acceptable - The offeror’s record of past performance, as applicable, relates to and suggests that DoDEA/DDESS may expect satisfactory performance and customer satisfaction for this effort. The offeror’s performance record presents a moderate level of risk.

(D) Unacceptable - The offeror’s record of past performance, as applicable, suggests that the Government may expect unsatisfactory performance and customer satisfaction for this effort. The offeror’s performance record, as applicable, suggests a high degree of risk.

(E) Neutral- A “Neutral” rating indicates an offeror without a record of past performance or for whom information on relevant past performance is not available.

(b)(12) Subcontracting Plan Factor.

(i) As required by FAR 52.219-9, Alt II and DFARS 252.219-7003, large business offerors shall submit a written proposal detailing the extent to which they plan on using various types of small business, historically black colleges or universities and minority institutions, in the performance of the contract, whether as a joint venture, teaming arrangement, or subcontractor.

(ii) Basis for Evaluating Subcontracting Plan Factor. Evaluation of the Offeror’s Subcontracting Plan will be in accordance with the Small Business Strategy (SBS) Checklist/Worksheet (see Attachment 3) Subcontracting Plan Standards. One of the following ratings will be assigned:

(A) Satisfactory - Indicates that the Offeror’s Subcontracting Plan is realistic and that the commitment to use various types of small businesses and historically black colleges or universities and minority institutions is reasonable given the Offeror’s proposed approach. Small Businesses will receive a satisfactory rating.

(B) Unacceptable - Indicates that the Offeror has not submitted a realistic Subcontracting Plan or that the extent that Offeror plans on subcontracting with various types of small businesses and historically black colleges or universities and minority institutions is not reasonably justified under Offeror’s proposed approach.

(g) The Government intends to award a bilateral contract resulting from this solicitation using FAR Part 12 and 15 procedures.

(n) Formal Communication – Request for Clarification. Formal communications such as requests for clarifications and/or information concerning this solicitation should be submitted in writing via email, no later than 13 July 2010, to Michael J. CLAUSES INCORPORATED BY FULL TEXT

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a single, firm-fixed price contract from this solicitation using a combination of FAR Part 12 and 15 procedures to the responsible offeror whose offer conforming to the solicitation provides the overall “Best Value” to the Government, price and other factors considered. Optimal Trade-off combination of technical, past performance, price and Subcontracting Plan will be used to determine best value. The technical and past performance are equally important and when combined are significantly more important than price. The Sub-contracting Plan will be rated as “pass” or “fail.” The Government will not award to an offeror with an “unacceptable” or “fail” rating for any factor or subfactor. The Government may select for award, the offer in which the total proposed cost is not necessarily the lowest, but whose overall proposal is deemed sufficiently more advantageous to the Government so as to justify the payment of a higher cost. Conversely, the Government may select for award the offeror whose total proposed cost is the lowest, when other proposals are not sufficiently more advantageous so as to justify the payment of a higher cost. The following factors shall be used to evaluate offers:

(1) Technical Evaluation Factor

(i) Sub-factor 1: Management Plan

(ii) Sub-factor 2: Quality Control

(iii) Sub-factor 3: Safety

(iv) Sub-factor 4: Equipment

(2) Past Performance Factor

(3) Sub-contracting Plan Factor

(4) Price Factor

The offeror’s initial offer should contain its best terms from a technical and price standpoint. The Government reserves the right to request clarifications or request revised responses if later determined by the Contacting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in the submitted responses.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) The Government reserves the right to make an award on initial offers. A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (AUG 2009)

ALTERNATE I (APR 2002)

An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at http://orca.bpn.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (b) through (i) of this provision.

(a) Definitions. As used in this provision:

"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Inverted domestic corporation means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in Federal Supply Classes (FSC) 1000-9999, except—

(1) FSC 5510, Lumber and Related Basic Wood Materials;

(2) Federal Supply Group (FSG) 87, Agricultural Supplies;

(3) FSG 88, Live Animals;

(4) FSG 89, Food and Related Consumables;

(5) FSC 9410, Crude Grades of Plant Materials;

(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) FSC 9610, Ores;

(9) FSC 9620, Minerals, Natural and Synthetic; and

(10) FSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Service-disabled veteran-owned small business concern--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern" means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

Veteran-owned small business concern means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
