52.212-2 ADDENDUM – EVALUATION – COMMERCIAL ITEMS (NOV 2021)

Addendum to Paragraph (a). Paragraph (a) is changed to read as follows:

The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforms to the solicitation. The following factors shall be used to evaluate offers:

Factor I: Technical Capability

Factor II: Price

Factor III: Representations and Certifications

Submission of Offers: The Government intends to award a single Firm-Fixed Price (FFP), Indefinite Delivery/Indefinite Quantity (IDIQ) contract to the Offeror whose quote represents the best value to the Government, based on the lowest price quote received, that is technically acceptable. Offers above the lowest price will only be evaluated if the lowest price offer fails to meet the requirements.

This acquisition will be conducted in accordance with FAR Parts 12 and 13 procedures.

The Government reserves the right to not consider for award, quotes that do not adhere to the administrative requirements outlined in Addendum 52.212-1 Instruction to Offerors.

Additionally, the potential awardee must be determined responsible in accordance with FAR Subpart 9.1.

By submission of its quote, the Offeror agrees to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in a quote being determined unacceptable for award.

The Government may, in its discretion, conduct exchanges and clarifications with Offerors if exchanges are determined to be in the Government's best interest.

Award Decision: The award decision will be made based on the following procedure:

Step One– Price

The Government shall conduct price analysis first to determine whether an Offeror's quote is fair and reasonable in accordance with FAR 13.106-3(a). The Government will start price analysis with the lowest-price offeror that has submitted a complete offer and complied with the quote submission requirements of the solicitation.

Step Two- Technical Capability

Step Two: After an Offeror's price is determined fair and reasonable, the Government shall then evaluate the technical volume of the quote received by the required date/time.

The technical capability factor will receive an overall rating of acceptable, or unacceptable. If any non-priced factor is rated "unacceptable," the entire quote is rendered technically unacceptable, and the quote will be removed from further consideration.

Technical acceptability for the award is determined by an Offeror obtaining a rating of "Acceptable" for Factor I, Technical Capability.

The Government will evaluate the Offeror’s response to meeting all the objectives in the Performance Work Statement (PWS). The Government will evaluate the completeness of the Offeror’s concept and approach to address how the work will be performed in order to meet all requirements in the PWS.

Based on the preceding, the Government reserves the right to proceed to award once it identifies the lowest priced offer that is "acceptable" for the non-price factors and otherwise meets the requirements of the solicitation without evaluating higher priced offers. In short, not all offers will be evaluated if the Government has identified the lowest-priced offer that has an overall rating of acceptable for the technical capability factor.

The overall evaluation criteria for this solicitation are as follows:

Factor I-Technical Acceptability

Factor II-Price

Factor III-Representations and Certifications

Factor I- Technical Acceptability

For a quote to be determined technically acceptable, all proposed items shall meet or exceed the minimum specifications and requirements set forth in the solicitation. The technical submissions will be rated as either "Acceptable" or "Unacceptable", as defined in the Adjective Rating Table below. If an Offeror's technical submission is determined to be "Unacceptable," the technical quote will no longer be evaluated or considered for award.

The Government will evaluate the Offeror's response to each Subfactor stated in 52.212-1 Addendum and below to determine if the Offeror's quote clearly demonstrates the Offeror's capability to meet or exceed the requirement in accordance with the Performance Work Statement (PWS), Attachment 1:

Subfactor 1 - Technical Approach and Functional Capability Subfactor 2 - Reporting & Audit Functionality Subfactor 3 - User Experience & Accessibility Subfactor 4 – Training & Professional Learning Subfactor 5 - Transition and Data Migration

The Government will utilize the technical rating system below for the evaluation of all quotes against Factor 1 (Technical Capability). Table 1 below outlines the ratings and their descriptions:

Factor II-Price

This factor will not be assigned a rating. However, the Offeror's quote using Attachment 4 will be evaluated to determine price reasonableness in accordance with FAR 13.106-3.

The objective of the price evaluation is to ensure that prices are fair and reasonable. Price will be evaluated by combining all CLIN items for the total award value over the entire potential contract period. In the event a mathematical error is discovered for any CLIN/SLIN, the "Unit Price" provided shall govern in reaching the total extended amount. Prices for Options.

Evaluation of Options. To account for the option period(s) possible under FAR 52.217-8 (maximum six months) Option to Extend Services, the Government has provided a table within Attachment 4 labeled "FAR 52.217-8 Option to Extend Services."

The Offeror shall provide a Unit Price for the 52.217-8 CLIN based on the pricing for Option Year 4 for the purpose of evaluation. If the Government decides to exercise the option under FAR 52.217-8 in an option period other than the fourth option year, then the rate proposed for the last year the performance was completed will be used. The Government shall use techniques stated in FAR 13.106-3(a) to ensure fair and reasonable pricing. Examples of such techniques include, but are not limited to the following:

(i) Comparison of proposed prices with prices obtained through market research for the same or similar items.

(ii) Comparison of proposed prices with independent Government cost estimates.

(iii) Comparison of proposed price with prices found reasonable on previous purchases.

Factor 3: Representations and Certifications.

This section, as well as Attachments 2 and 3, will be reviewed for completeness and acceptability.
