BPA TERMS AND CONDITIONS
Pursuant to Federal Acquisition Regulation (FAR) 13.303-2 (a), Blanket Purchase Agreements (BPAs), the Contractor agrees to the following terms of a BPA EXCLUSIVELY WITH DoDEA.
(1) Description of Agreement: Under this agreement, the BPA Holder(s) shall provide band and string instruments and accessories to DoDEA schools worldwide in accordance with the Statement of Work. These supplies will be provided if and when requested by authorized personnel for a period of performance of 60 months. The government reserves the right to add additional BPA Holders during performance to ensure adequate competition exists. Adequate competition means two or more BPA Holder for each of the four requirement areas, i.e., Band Instruments, Band Accessories, String Instruments, and String Accessories.
(2) Extent of Obligation: The Government is only obligated to the extent of authorized BPA Calls actually placed against this BPA and shall not be liable in any manner in the event no BPA Calls are placed. This Master BPA does not obligate funds. Individual BPA Calls will obligate funds.
(3) Prices: Unit prices indicated in the Schedule shall be Firm-Fixed Price (FFP) for the duration of this BPA and they represent ceiling prices that each BPA Holder can quote over life of the BPA.
(4) Authorized Ordering Officers and Ordering Procedures and Limitations:
(a) DoDEA Procurement Contracting Officers may issue a call in writing up to $700,000.00. Total amount of all calls placed against each BPA shall not exceed $7,000,000 over the five year life of the Agreement.
(b) DoDEA Procurement contracting offers are responsible for tracking the Agreement against the established ceiling to ensure this ceiling is not exceeded.
(c) All orders above the Micro-Purchase threshold, which at the time of establishment of this agreement is $10,000, will be placed using a competitive request for quote process. This process will include giving each BPA Holder a fair opportunity to bid for each call placed under this BPA. The call order will be issued to the vendor who provides the lowest price technically acceptable quote. The successful vendor’s quoted unit prices must not exceed their BPA ceiling prices. The Micro-Purchase threshold is subject to change during the life of the contract which will result in changes on the threshold for competing orders.
(5) Delivery: All deliveries under this BPA must be accompanied by delivery tickets or sales slips that shall contain the following minimum information:
i. Name of Contractor.
ii. BPA number.
iii. CALL number.
iv. Date of Purchase.
v. Itemized list of supplies furnished.
vi. Quantity, unit price, and extension of each item, less applicable discounts (unit prices and extensions need not be shown when incompatible with the use of automated systems, provided that the invoice is itemized to show this information).
vii. Date of delivery or shipment. Any order issued during the effective period of this BPA shall be delivered according to the following:
(a) The contract shall deliver the product within 30 days after receiving the order(s) for DoDEA schools within the continental US, Puerto Rico, and Guam.
(b) The contractor shall deliver the products within 45 days after receiving the order(s) for DoDEA schools located in overseas locations.
(6) Invoices: The contractor shall submit an invoice for each call placed against this BPA in according with the WideAreaWorkFlow (WAWF) instructions provided on each call order.

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (AUG 2018)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during pre-award testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation ``Unique Entity Identifier'' followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.
(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. 52.212-2 ADDENDUM – EVALUATION – COMMERCIAL ITEMS (DEC 2006)
1.0 Overview
The Government anticipates issuing multiple Blanket Purchase Agreements (BPA) to the responsible vendors whose quotes are deemed most advantageous to the government, with price and other factors considered in accordance with FAR Part 12 and FAR Part 13. To ensure adequate competition, the Government intends to issue two or more BPAs. In order to maintain adequate competition, the Government may issue additional BPA’s during the ordering period. In addition, in order to use the subject BPA’s the Government is required to have at least two BPA holders representing adequate competition.
The Government may not be able to issue a BPA resulting from this solicitation if the Government is unable to identify two or more eligible vendors. Orders shall not be placed if at any point the Government does not have adequate competition (2 or more vendors).
There are four separate requirements for this BPA: (1) band instruments (SOW Section 2.1); (2) string instruments (SOW Section 2.2); (3) band accessories (SOW Section 2.3); and string accessories (SOW Section 2.4). Vendors can submit a quote for and be issued a BPA for one, two, three, or all four separate SOW Sections (SOW Sections 2.1, 2.2, 2.3, and/or 2.4). For the technical capability factor, technical acceptability will be evaluated separately for each submitted SOW section (SOW Sections 2.1, 2.2, 2.3, and 2.4). As each SOW Section will be evaluated separately for technical acceptability, parts of a vendor’s quote could be found technically acceptable and other parts technically unacceptable. Only the parts of a vendor’s quote that are found technically acceptable will be eligible for BPA issuance. Vendor’s quotes will be strictly evaluated in accordance with the criteria below.
2.0 Evaluation Factors
The evaluation factors for this solicitation are Technical, Past Performance, and Price. If a quote is rated as unacceptable for any evaluation factor, that quote will not be considered and deemed ineligible for a BPA.
2.1 Factor 1 – Technical Capability:
Each vendor’s technical capability quote will be evaluated to ensure the quote meets the minimum requirements of the Statement of Work (SOW) in accordance with the rating table below. A vendor’s technical capability quote will be evaluated for technical acceptability SEPARATELY for each SOW section (SOW Sections 2.1, 2.2, 2.3, and/or 2.4) below. As each SOW Section will be evaluated separately for technical acceptability, parts of a vendor’s quote could be found technically acceptable and other parts technically unacceptable. Each of the vendor’s technical capability quote requirement sections will be rated as Acceptable or Unacceptable.
0. Band Instruments in accordance with SOW Section 2.1.
| 2.1.2 | String Instruments in accordance with SOW Section 2.2. |
| 2.1.3 | Band Accessories in accordance with SOW Section 2.3. |
| 2.1.4 | String Accessories in accordance with SOW Section 2.4. |
Table 1- Technical Capability Rating Standard:
Rating
Description
Acceptable
The vendor’s quote meets the minimum requirements of the SOW.
Unacceptable
The vendor’s quote does not meet the minimum requirements of the SOW.
2.2 Factor 2 – Past Performance:
2.2.1 A vendor’s past performance will be evaluated as “acceptable”,” unacceptable” or “neutral”. The past performance evaluation will assess the vendor’s probability of meeting the minimum solicitation requirements. Vendors shall submit three relevant past performance references with their quote and will be assigned one of the previously mentioned ratings. The assessment will be based on the vendor’s record of relevant and recent past performance information. In addition to past performance, the Government may also consider information obtained through other sources such as Past Performance Information Retrieval System.
2.2.2 Relevant performance includes efforts of the same or similar scope, magnitude of effort, and complexity that this solicitation requires; vendors should include specific examples, of relevance, if appropriate. e.g., “These include efforts where the Vendor provided products similar to those outlined in the SOW. Recent efforts are defined as those efforts, which have been performed during any portion of the last three years, including those efforts currently being performed.
2.2.3 The Government will consider the collective record of all recent and relevant past performance in assessing a rating. In the case of an vendor without a record of past performance or for whom information on past performance is not available or so sparse that no meaningful past performance can be reasonably assigned, the vendor may not be evaluated favorably or unfavorably on past performance therefore, the vendor shall be determined to have unknown (or “neutral”) past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered “acceptable”.
Table 2- Past Performance Rating Table:
Rating
Description
Acceptable
Based on the vendor’s recent performance record involving essentially the same or similar scope and magnitude of effort and complexities this solicitation requires, the Government has a reasonable expectation that the vendor will successfully perform the required effort.
Unacceptable
Based on the vendor’s recent performance record involving essentially the same or similar scope and magnitude of effort and complexities this solicitation requires, the Government has no reasonable expectation that the vendor will be able to successfully perform the required effort.
Unknown/Neutral
No recent performance record involving essentially the same or similar scope and magnitude of effort and complexities this solicitation requires is available or is so sparse that no meaningful past performance rating can be reasonably assigned.
2.3 Factor 3—Price:
Each vendor’s quoted prices will be evaluated for fair and reasonable pricing in accordance with FAR 13.106-3(a). Each vendor’s quoted prices for each respective item on the pricing schedule shall represent ceiling prices for those specific items during performance on this BPA. In the competition of the BPA calls, each vendor’s quoted price for the respective item shall not exceed the vendor’s established BPA ceiling prices.
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (AUG 2018)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal.
