Addendum to FAR 52.212-1
Instructions to Offerors -- Commercial Items (Jan 2017)
1.0 General Instructions for Request for Proposal (RFP)
(a) The Offeror’s proposal must include all data and information requested by this Instruction to Offerors (ITO) and must be submitted in accordance with these instructions. The Offeror shall be compliant with the requirements as stated in the Performance Work Statement (PWS).
(b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase/parrot or restate the
Government’s requirements but rather shall provide convincing rationale and approach to address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience. Offerors shall also assume the Government will base its evaluation on the information presented in the Offeror's proposal.
(c) NOTICE: This acquisition will be a Firm-Fixed Price Contract using NAICS code 561510 (Travel Agencies) and advertised as a 100% small business set-aside. The period of performance is 12-months from date of award with four 12-month option periods.
(1) The Government reserves the right to select one of two pricing models; Point of Sale (POS) or
Management Service Fee (MSF).
(2) Special Instructions regarding POS and MSF:
a) Offerors that submit a proposal against the Solicitation must submit pricing for both Point-of-Sale
(POS) and Management Service Fee (MSF). If an Offeror does not submit pricing for both POS and MSF, that Offeror will be rated “Unacceptable”; and will not be further evaluated.
b) Proposal pricing for POS will be evaluated independently or seperately from MSF. (See below for conditions regarding MSF pricing). This means the Government will not evaluate the POS price proposal and combine it or add it to the MSF price proposal. To explain further, the Government will conduct two price analyses. One price evaluation for POS and one price evaluation for MSF and make an award determination based on the evaluation factors set forth in Attachment B –
Evaluation Criteria of this Solicitation and the availability of funding. (NOTE: MSF evaluation is contingent on the conditions stated below).
c) *The Government will only make an award with MSF if (1) funding is available, and (2) if MSF is the best value to the Government. If the MSF funding is selected, funds will be placed on the contract and invoices will be paid monthly through WAWF. Conversely, if the Government selects POS pricing, funding will not be applied to the contract, and the Special Invoicing
Instructions will apply. For POS, payment will be made by each transaction fee, i.e.; TMC, TMC assist etc.
a. *The Government reserves the right to award POS if it is determined that funding for
MSF will not be available at contract award. Furthermore, once the availability of MSF funding is determined, the Government reserves the right to forego the evaluation of MSF pricing.
b. During the comparative analysis, either MSF or POS will be used, but not both. For example, one offeror’s MSF proposal will not be compared to another offeror’s POS proposal.
c. If it is determined that POS is the best value to the Government, the Government reserves the right to use POS pricing even if funding for MSF is available.
d) The Government WILL NOT make an award that includes both POS and MSF. Therefore, Offerors must price their risk accordingly in reference to the Performance Work
Statement and the evaluation criteria.
(3) If POS is selected, the contract will be Firm-Fixed-Price where the transaction fees are fixed unit prices and charged at point of sale (POS). Contractors will be paid for each POS at the applicable CLIN’s Fixed-
Price Transaction Fee. While the Transaction Fee is fixed and the price will not fluctuate, the actual number of
Transactions is not fixed as the number of travel trips within DoD fluctuates.
a) If POS is selected this will be the pricing structure for the life of the contract after contract award.
(4) Special Invoice Instructions (For POS)
a) If an Individually Billed Account (IBA) is the form of payment for Air/Rail ticket, the transaction fee shall be charged to the IBA, unless otherwise specified by the Government.
b) If a Centrally Billed Account (CBA) is the form of payment for Air/Rail ticket, the transaction fee shall be charged to the CBA, unless otherwise specified by the Government.
c) If a Government Transportation Request (GTR)/Local Payment of Airline Tickets (LOPA) are the form of payment for an air/rail ticket, the transaction fee shall be charged to the GTR/LOPA, unless otherwise specified by the Government.
d) If a GTR is the form of payment for an air/rail ticket, the transaction fee shall be charged to the
GTR unless otherwise specified by the Government.
e) For air/rail transaction, the Contractor shall not charge a fee for cancellations made prior to issuance of tickets.
f) The transaction fee for non-air/rail transactions shall be charged to the same form of payment used to reserve the arrangements.
(5) If MSF is selected, the contract will be Firm-Fixed-Price with monthly invoicing at fixed unit prices and charged via the instructions in (5)(a) below.
a) Payment will made through the Wide Area Workflow (WAWF) application in accordance with
DFARS clause 252.232-7006, Wide Area Workflow Payment Instructions. IF MSF IS
SELECTED, DFARS CLAUSE 252.232-7006 WILL BE INCORPORATED IN FULL TEXT
UPON AWARD.
b) If MSF is selected this will be the pricing structure for the life of the contract after contract award.
(d) This is an all-or-none requirement. Incomplete proposals will be deemed unresponsive and will not be further evaluated. The Offeror agrees to hold the prices in its offer, firm, for 120 calendar days from the date specified for receipt of offers, unless another time is specified in an amendment to the RFP.
(e) The Government will retain one copy of all unsuccessful proposals, in accordance with FAR Section
4.805 (Government Contract Files).
(f) Offerors are advised that the requirements of FAR Subpart 22.10 -- Service Contract Labor Standards apply. Wage Determination information regarding the counties for each site being serviced can be found in the section titled “Wage Determination Locations” found in Attachment 9 of this solicitation.
(g) Attachment 3, Workload Data contains the best available historical information from FY 2016 for each of the locations within TA-3. This data is provided for informational purposes, and represents the most current and best available data at the time of solicitation issuance. However, Offerors are cautioned that travel requirements throughout DoD fluctuate, and as such, the FY 2016 historical data may not be a reliable predictor of future actual requirements. The contractor shall reflect the risk of fluctuations in DoD’s Travel requirements in its fixed-price transaction fees.
(h) Additional Notes to Offerors:
Absent an out of scope change to this contract, transaction fees are fixed-price and will not be adjusted if actual quantities of transactions vary from the estimated quantities provided in the pricing spreadsheets. As such, offerors must price this risk accordingly. Offerors are cautioned that its fixed-price must account for the risk of emergency and surge requirements as described in the Performance Work Statement (PWS) at section 4. Any post award contract disputes will be processed in accordance with contract clause 52.212-4, “Contract Terms and Conditions –
Commercial Items,” which incorporates the Disputes clause, FAR 52.233-1, at paragraph (d). In addition, the solicitation contains clause 252.243-7002, “Requests for Equitable Adjustment,” which provides the procedures for submitting requests for equitable adjustment. Submission of a request for an equitable price adjustment does not guarantee that such a request will be granted by the
Contracting Officer. Offerors should assess this risk, and use their own business judgment in determining which Global Distribution System (GDS) terminals to use in support of the
Government’s requirements.
1.1 General Information
1.1.1 Communication with the Government
