About this file
This document is an amendment to a solicitation for the establishment of indefinite-delivery/indefinite-quantity contracts to purchase various commercial weapons, including U.S., foreign, and accessory weapons, to meet demands from contingency operations. The United States Special Operations Command intends to award contracts to all qualified offerors submitting technically acceptable proposals and receiving a past performance rating of substantial confidence. The contract period of performance is 60 months. Offerors must meet requirements for licenses, quality documentation, reseller letters, and invoicing system registration. Proposals will include details on storage, packaging, delivery, quality assurance, and timely delivery execution, as well as past performance on relevant contracts. The first delivery order will have firm fixed prices evaluated separately from contracts.

SUMMARY OF CHANGES
SECTION SF 1449 - CONTINUATION SHEET
The following have been modified:
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2020)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code(s) and small business size standard(s) for this acquisition appear elsewhere in the solicitation. However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation.
Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.
(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision.
Additional copies will be issued for a fee.

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.
(j) Unique entity identifier. (Applies to all offers that exceed the micro-purchase threshold, and offers at or below the micro-purchase threshold if the solicitation requires the Contractor to be registered in the System for Award Management (SAM).) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation "Unique Entity Identifier" followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see FAR subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.
(k) Reserved.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.
(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.
(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.
Addendum to FAR 52.212-1, Instructions to Offerors – Commercial Items Paragraph 52.212-1(c), Period for Acceptance of Offers, is tailored as follows: the offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers. Offerors may specify a longer acceptance period than the Government’s minimum requirement.
Background: The purpose of this Request for Proposal (RFP) is to establish one or more Indefinite- Delivery/Indefinite-Quantity (IDIQ) contracts for the Partnered Forces Operations to purchase various commercial weapons to include U.S. weapons, foreign weapons, and accessories based on the individual demands from a multiple of Contingency Operations (CONOPS).
Contracting Approach: Technical and Past Performance shall be considered for award. Delivery terms shall also be a consideration prior to award of each task order. The Government intends to award to all successful vendors.
The Government intends to award contracts for the MAC IDIQ by making an integrated, best value determination between past performance and technical acceptability. Offerors who submit technically acceptable proposals and who receive Substantial Confidence for past performance, would represent the best value to the Government and be determined successful. However, the Government reserves the right to award no contracts based upon the results of the proposal evaluations. The contract ordering period will be 60 months.
Solicitation Procedures: This is an all-electronic solicitation release. Hard copies shall not be mailed or accepted.
The solicitation and any amendments to the solicitation will be posted to www.SAM.gov. It is the responsibility of each Offeror to review SAM.gov for notice of amendments, updates, or changes to current information. Proprietary information submitted in response to this solicitation will be protected from unauthorized disclosure as required by Subsection 27 of the Office of Federal Procurement Policy Act as amended (41 U.S.C. §§2101-2107) as implemented in the Federal Acquisition Regulation (FAR) and appropriate supplements. The proposal and corresponding program will be unclassified and treated as Source Selection Information (see FAR 2.101 and 3.104).
Classified information will not be accepted.
Any significant inconsistency, if unexplained, raises a fundamental issue of the Offeror’s understanding and/or ability to perform the contract. In no case shall words like “we will comply with the requirements of the contract”, or equivalent statements, be acceptable to meet the requirements of this RFP.
The following is inserted as new paragraph (m) of the provision:
(m) Proposal Preparation Instructions.
(1) To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein.
Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Failure to meet solicitation requirements may result in the proposal being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.
(2) The response shall consist of four (4) separate parts: Part I - Summary and Miscellaneous Data, Part II - Technical Proposal, Part III - Past Performance Information and Part IV – Delivery Order 0001 Price.
Where Page Limits are specified:
Pages Counted. Each page shall be counted except for the following:
Cover pages Table of Contents List of Figures Glossaries
Text. Text type shall be Times New Roman, no smaller than 12-point with normal proportional spacing. Text lines will be, at a minimum, single-spaced.
(3) Do not password-protect attachments. To avoid rejection of an offer, ensure the electronic submission is virus-free. Submissions, or portions thereof, in which a virus is detected or is otherwise unreadable, will be treated as "unreadable" and shall not be considered for award. Do not assume electronic submission will be instantaneous. The file size and number of files to be uploaded will impact the length of time for submission and Government receipt. Offerors are required to ensure adequate time for Government receipt of the proposal by the due date and time. The entire and complete proposal package must be received prior to the date and time for receipt of proposal to be considered for award.
(4) Specific Instructions:
A. PART I – SUMMARY AND MISCELLANEOUS DATA

In doing so, the offeror accedes to the contract terms and conditions as written in the solicitation unless the offeror affirmatively states any exceptions, deviations or waivers to the contract terms and conditions. An incomplete proposal may be considered to indicate lack of understanding of the requirement and may result in the entire proposal being determined “unacceptable” and eliminated from further consideration.
(ii) All offerors must be registered in the System for Award Management: https://sam.gov/SAM/, at the time of proposal submission to be considered for award.
(iii) For provisions and clauses in the solicitation other than FAR 52.212-3, (completion of this provision is accomplished with SAM registration), complete the necessary fill-ins and certifications and submit the completed pages with Part I.

IAW FAR 9.104-5, the offeror is required to comply with the submission regarding FAR 52.209-5, Certification Regarding Responsibility Matters. Since it is the Government’s intent to make Award Without Discussions IAW FAR 52.215-1, the Government may request that an offeror submit additional information so a responsibility determination can be made. C. PART III – PAST PERFORMANCE VOLUME
(i) Volume Organization. The Past Performance volume shall be organized according to the following general outline:
(1) Table of Contents
(2) Glossary
(3) Summary Page
(4) Past Performance Information (PPI) – 5-page limit
(5) Organization Structure Change History
(6) Subcontractor Letters of Consent
(7) Client Authorization Letters
(ii) Summary Page. Many companies have acquired, been acquired by, otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past contracts. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a “roadmap” describing all such changes in the organization of the offering company. As part of this explanation, show how these changes impact the relevance of any efforts identified for the past performance evaluation. Since the Government intends to consider past and present performance information provided by other sources as well, the “roadmap” should be applicable to contracts the Government receives information on from other sources.
If applicable, describe the role of the Offeror and each subcontractor, teaming partner, and/or joint venture partner for whom the Offeror is required to provide Past Performance Information Sheets in accordance with paragraph e below.
(iii) Quality and Satisfaction Rating of Contracts completed in the past three years. Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) that demonstrates customer satisfaction with overall job performance and/or quality of completed and/or ongoing contracts. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems, such as cost overruns, extended performance periods, numerous warranty calls, etc.
(iv) Past Performance Information (PPI). Utilizing the PPI Sheet (attachment 3), submit information on no more than five (5) recent contracts the offeror considers most relevant in demonstrating the ability to perform the proposed effort. Two (2) of the past performance references may be for a subcontractor, teaming partner, and/or joint venture partner that will perform major or critical aspects of the requirement (i.e., 25% or more of the work). “Recent” is defined as ongoing contracts or those completed within three
(3) years of the date of issuance of the solicitation. “Relevant” is defined below in Table 2, Past Performance Relevancy Ratings. The Past Performance Information sheets for each contract are limited to five (5) pages.
Include rationale supporting your assertion of relevance and identify aspects of the contracts deemed relevant and how they relate to the proposed effort. If an offeror has no past performance history of relevance, the offeror must affirmatively state it possesses no past performance history of relevance.
(v) The evaluation of past performance information will take into account past performance regarding (1) predecessor companies, (2) key personnel who have relevant experience, and/or (3) subcontractors that will perform major or critical aspects of the requirement when such information is relevant to this acquisition.
(vi) Specific Content: Offerors may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk.
Merely having problems does not automatically equate to a Limited or No Confidence rating, since the problems encountered may have been on a more complex program or an Offeror may have subsequently demonstrated the ability to overcome the problems. The Offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified. This could result in a rating of Substantial or Satisfactory Confidence.
(vii) If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past performance information on previous teaming arrangements with same partner. If this is a first-time joint effort, each party to the arrangement must provide a list of past contracts of relevance.
a. Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from each subcontractor that will perform major or critical aspects of the requirement, consenting to the release of its past performance information to the prime contractor. If the subcontractor does not consent, include a statement to that effect.
D. PART IV – PRICE
(i) Offerors shall submit a price proposal for attachment 3– FOPR using attachment 4 – Delivery Order 0001 RFP which will be evaluated separately for award of the first delivery order The Government reserves the right to issue the first delivery order after contract award for some, all, or none of the line items at the prices stated in the offeror’s proposal for the Delivery Order, if issued within the validation period specified above in paragraph 3. The Initial delivery order will not be used to evaluate for contract award
(ii) All prices shall be firm fixed price and inclusive of all costs to execute timely delivery.
(5) Contract Award: The Government intends to evaluate offers and award a contract to all qualified offerors without discussions with offerors. A qualified offeror is an offeror that is determined to be a responsible source, submits a technically acceptable proposal that conforms to the requirements of the solicitation, has been rated as having “Substantial Confidence” in past performance and the contracting officer has no reason to believe would be likely to offer other than fair and reasonable pricing. Therefore, the offeror’s initial offer should contain the offeror’s best terms to ensure they meet the definition of a qualified offeror. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary.
(6) Discrepancies: If an offeror believes these instructions contain errors, omissions or are unsound, the offeror shall immediately notify the Contracting Officer in writing with supporting rationale as well as remedies the offeror is asking the Contracting Officer to consider as related to the omission or error.
(End of Addendum)
(End of provision)
52.216-19 ORDER LIMITATIONS (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $2,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor -
(1) Any order for a single item in excess of $1,000,000.00;
(2) Any order for a combination of items in excess of $1,000,000.00; or
(3) A series of orders from the same ordering office within 3 days that together call for quantities exceeding the limitation in paragraph (b) (1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 5 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
