52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JULY 2013)

(a) Definitions. As used in this provision--

Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian

Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a

Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

Federal contracts and grants with total value greater than $10,000,000 means--

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than

$10,000,000.

(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the

Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in--

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).

(End of provision)

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible Quoter whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

Evaluation will be performed in a multi-phase approach as identified below:

Phase I

Factor 1 - Past Performance https://www.acquisition.gov/

Phase II

Factor 2 - Technical Capability

Factor 3 - Price

The evaluation will consist of the following:

Factor 1 - Past Performance Evaluation:

The Government may verify past performance information. The Government may contact some or all of the references provided, as appropriate, and may collect information through telephone interviews and existing data sources to include but not limited to the Past Performance Information Retrieval System (PPIRS). The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government to be used for evaluation purposes.

The Government reserves the right to consider questionnaires received after the due date of the solicitation and to contact references for verification of additional information.

Past performance will be evaluated based on the relevance and quality of submitted contracts.

Relevance will be determined by a contract's/task order's similarity to the current requirement, based on scope and magnitude. For the purposes of the evaluation, scope and magnitude will be measured by the following:

Scope: Experience in the areas defined in the Performance Work Statement (PWS).

Magnitude: The measure of similarity of the dollar value and quantity of work actually performed, that exists between the PWS and the offeror's contracts.

In terms of relevancy the offeror's past performance submission will be rated in accordance with the below levels of relevancy:

Past Performance Relevancy Ratings

Rating Description

Relevant Present/past performance effort involved similar scope and magnitude of effort as this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort as this solicitation requires.

Neutral The offeror has no past performance history OR the KO has determined that the past performance information provided is not directly related or similar to the requirements in the RFP.

Offerors lacking relevant past performance history will receive a Neutral rating.

The quality evaluation will be based on the following sub factors: Quality, Timeliness, and Contractor

Responsiveness which are of equal importance. The KO’s will make a subjective determination based on the level of positive/negative customer satisfaction. In the event that the Contracting Officer has determined that the past performance information form provided is not directly related or similar to the requirements of the RFQ (i.e. "Not

Relevant"), the KO will not perform a quality evaluation.

Following the relevancy and quality evaluations, the KO will assign an overall rating to the quoter's past performance reference, considering both the relevance and quality of each provided reference. The KO's evaluation will be in accordance with the following table:

Past Performance Ratings:

Rating Description

Acceptable Based on the offeror 's recent/relevant performance record, the

Government has a reasonable expectation that the offeror will successfully perform the required effort.

Unacceptable Based on the offeror 's recent/relevant performance record, the

Government has no expectation that the offeror will successfully perform the required effort.

Neutral No recent/relevant performance record is available or the offeror's performance record is so sparse that no meaningful rating can be reasonably assigned.

Quoters determined as having a rating of "Unacceptable" will not be eligible for award and will not be considered for further evaluation.

Factor 2 – Technical Capability:

The Government will evaluate the extent to which the quoter is capable of meeting the requirements of the

Performance Work Statement (PWS) through submission of course curriculum outline for each course and a schedule of events (as identified in paragraph 4.1). The submission must adequately represent the quoter's ability to deliver the training objectives for each course in accordance with 4.2. Submissions that clearly demonstrate the ability to perform the tasks similar to those identified in the PWS will be evaluated more favorably than those that represent little to no similar experience or capability in performing the tasks of the PWS..

Factor 3 – Price:

All prices, as quoted in Attachment II - ELIN Schedule, will be evaluated for price reasonableness in accordance with FAR 13.106-3. The Government will evaluate quotes for award purposes by adding the total price for all ordering periods to the total price for the basic requirement. The Government may determine that a quote is unacceptable if the ordering period prices are significantly unbalanced. Quoters responding to this solicitation are advised that, prior to award, the government may request additional information/data to support price reasonableness such as copies of paid invoices for the same or similar services, sales history for the same or similar items, price list with effective date and/or copies of catalog pages along with any applicable discounts. Failure to submit the requested information may result in disqualification of the submitted quote.

The Government may evaluate any and all information submitted by the offeror to support the reasonableness of prices proposed.

In Phase I, Quoters determined to have a rating of "Acceptable" or "Neutral" based on their Past Performance submissions will proceed to Phase II of the evaluation. In Phase II, Factor 2 – Technical Capability is significantly more important than Factor 3 – Price.

The Government may award to other than the lowest-priced Quoter, if the Contracting Officer determines a Quoter’s superior Technical Capability will be most advantageous to the Government and warrants tradeoffs for a higher price.

Conversely, the Government may award to other than the highest-rated technical proposal whose Price is signifcantly higher than the Price of another quote evaluated as acceptable or higher if the Contracting Officer determines the price premium is signifcantly high so as to diminish the value of any technical superiority.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (DEC 2016)

ALTERNATE I (OCT 2014)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (t) of this provision.
