(b) The Contractor shall account for all forms of Government-provided identification issued to the Contractor employees in connection with performance under this contract. The Contractor shall return such identification to the issuing agency at the earliest of any of the following, unless otherwise determined by the Government:

(1) When no longer needed for contract performance.

(c) The Contracting Officer may delay final payment under a contract if the Contractor fails to comply with these requirements.

(d) The Contractor shall insert the substance of this clause, including this paragraph (d), in all subcontracts when the subcontractor`s employees are required to have routine physical access to a Federally-controlled facility and/or routine access to a Federally-controlled information system. It shall be the responsibility of the prime Contractor to return such identification to the issuing agency in accordance with the terms set forth in paragraph (b) of this section, unless otherwise approved in writing by the Contracting Officer.

(End of Clause)

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

The Government contemplates award of an Indefinite Delivery Indefinite Quantity (IDIQ) firm fixed price contract resulting from this solicitation. The basis of award is Lowest Price Technically Acceptable (LPTA).

(a) The Government will determine the best value by evaluating the following factors and subfactors. Each technical factor will be used to assess the offeror’s approach as detailed in its proposal, to satisfy the Government’s minimum solicitation requirements. The offeror must rate acceptable in each of the technical areas identified to be found technically acceptable overall. The sub-factors are of equal importance:

Factor 1. Technical - Each offeror will be assed to determine whether its proposal is “acceptable” or

“unacceptable” against the solicitation. Technical approach includes all factors and sub-factors to establish technical acceptability.

Sub-Factor 1 - Technical and Management Approach

Sub-Factor 2 - Personnel and Company Certifications (Proof of certifications and Resumes for all proposed Vehicle Shop Supervisors)

Sub-Factor 3 – Quality Assurance Program

Ratings:

An “acceptable” rating will be provided to the offeror whose proposal provides a technical approach which clearly indicates an adequate understanding of the minimum technical and performance requirements.

An “unacceptable” rating will be provided to the offeror whose proposal provides a technical approach or solution that does not meet the minimum technical and performance requirements and is unawardable.

Factor 2. Past Performance (Provide a minimum of 3 references) – Past Performance Questionnaire is included as an attachment to be completed by each offeror.

a) Each offeror’s past performance will be assessed to determine the offer’s probability of meeting the minimum past performance requirements. This assessment will be based on the offeror’s record of relevant and recent past performance information pertaining to the services outlined in the Solicitation requirements. “Relevancy” as it pertains to past performance information is a measure of the extent of similarity between the service/support effort, complexity, contract type, dollar value , and subcontract/teaming or other past performance examples and the solicitation requirements. “Recency” as it pertains to past performance is a measure of the time that has elapsed since the past performance reference occurred. Each offeror shall submit at least three (3) but no more than four (4) “Relevant” past performance within the last 3 years. “Recent” past performance, within the last 3 years which past performance references are relevant. Each offeror will be rated on an “acceptable” or

“unacceptable” basis.

b) In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance.

The offeror shall be determined to have unknown performance and shall be considered “acceptable.”

c) Past Performance information shall be obtained from any other sources available to the Government to include, but not limited to: PPIRS, CPARS, EDA or other databases; interviews with Program

Managers, Contracting Officers, and the Defense Contract Management Agency.

d) The past performance information will not establish, create, or change the existing record and history of the offeror’s past performance on past contracts; rather, the past performance is utilized to gather information from customers on how well the offeror performed those past contracts.

e) Ratings:

1) Based on the offeror’s performance record, and if the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown, an “acceptable” rating will be assigned.

2) Based on the offeror’s performance record, and if the Government has no reasonable expectation that the offeror will successfully perform the required effort, an “unacceptable” rating will be assigned.

Factor 3. Price

Pricing of ELINs (Attachment 9) to include Base, and all option periods shall be submitted and evaluated for price reasonableness. ELINS shall include labor category, hourly rate and hours for CESE

Vehicle Maintenance and Support services. Identical information is required for option CLINs for price evaluation.

The prices proposed in the Sample Task Order (Attachment 2), including option periods, will be evaluated for award.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (DEC 2012)

An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via https://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (c) through (o) of this provision.

(a) Definitions. As used in this provision --

(i) Taxes are considered delinquent if both of the following criteria apply:

(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
