37. Section L Tab F-4 states the requirement of 48 CFR 52.222-17 - No displacement of Qualified Workers. Is it the governments intent to keep the entire current workforce as the current workforce meets all the PWS requirements?

Section L Tab F-4

Offerors must be in compliance with FAR 52.222-17 Non-displacement of Qualified Workers.

38. Section L Tab F-4 states the requirement of 48 CFR 52.222-17 - No displacement of Qualified Workers. Since the current workforce is all SCA employees to include all current key personnel minus the PM. This would mean the current DPM/QC/Contract Team Leaders will fall under this clause. If this is the case then our submission of key personnel resumes and commitment letters would not be required and potentially violate DOL regulation by offering and committing a position to an employee upon award that must be first offered to the incumbent. This would put the awardee in a legal bind and potential DOL penalty by being required to offer the same position to the incumbent and the individual who committed in a letter.

Recommend that the government removes this FAR clause or stipulates that this does not include the key personnel and allow the awarded company to bring in the proposed key personnel at award. Section L Tab F-4

The answer is that the FAR Clause 52.222-17 is a mandatory clause.

The clause notes "Except as provided in paragraph (c) of this clause, there shall be no employment opening under this contract, and the Contractor and any subcontractors shall not offer employment under this contract, to any person prior to having complied fully with this obligation." So, the offeror must give right of first refusal to the previous contractor employees BEFORE he offers the job to another employee. Therefore, for key personnel the offeror should propose the current employee resumes as appropriate and alternatives to demonstrate appropriate staffing. If he can defend not offering the incumbents a job offer, then that burden is on the offeror.

55. Background: The paragraph 1.4.1 text states: “The Government requires 29 contract instructors to work in concert with the organic authorized government work force of active duty and government civilian instructors.” Then paragraph 1.6.11.2.1.2 states that the PM will not be used to satisfy the total instructor requirements. This would imply a total of at least 30 contract personnel. Finally, on page 61 in the Technical Exhibit 6 matrix it indicates a total of 29 personnel to include the PM.

Questions: Should paragraph 1.4.1 read ‘…requires 29 contract personnel…’ instead of ‘…requires 29 contract instructors…’? Or is the requirement for 29 contract instructors correct, and thus considering the restriction in paragraph 1.6.11.2.1.2 that the PM cannot satisfy the total instructor requirements, the Technical Exhibit 6 table should indicate 30 total personnel? Page 12 of 98 & 21 of 98 & 61 of 98 (Section 1.4.1 & 1.6.11.2.1.2 & T.E. 6)

See question #32.

56. Background: This paragraph describes the ‘SERE Instructor Expansion CLIN’ that, if exercised, would add an additional 12 instructors to the contract.

Question: Does the Government reserve the right to exercise a fractional portion of this CLIN? In other words, can the Government exercise the CLIN at 25% and expect the contractor to provide 3 SERE Instructors at one-fourth of the Firm Fixed Price cost quote for this CLIN? Or will the Government use the Contractor’s Price Schedule ‘price per instructor per month’ to determine the cost of adding less than the full 12 instructors? Page 12 of 98 (Section 1.4.2)

The Government shall use the Contractor's Price Schedule 'price per instructor per month' for the current year of performance.

57. Background: This paragraph requires all contractors to have a secret clearance prior to reporting for any work.

Question: Given the backlog on processing security clearance, will the government accept an interim secret clearance? Page 15 of 98 (Section 1.6.6)

Same student to instructor ratios apply throughout the PWS.

65. Key Personnel are listed as follows: Program Manager (PM), Deputy Program Manager (DPM), Quality Control/Training Manager (QC/TM), and Contract Team Leaders (TL).

Section 1.6.11.1 states that, “The Contractor shall provide a PM who shall be responsible for the performance of the work under this contract. The name of this person, and a DPM, who shall act for the Contractor when the PM is absent, shall be designated in writing to the KO at the post award conference.”

Bullet 2) of Section M, 2.2.2 states, “The Contractor shall provide resumes and letters of commitment of proposed key personnel.”

Question: Is the Contractor required to provide resumes and letters of commitment for the PM, DPM, QC/TM, and TLs within the proposal? This would be seven (7) resumes and letters of commitment total. Or would it be acceptable, in accordance with Section 1.6.11.1 of the PWS, to provide the names of these individuals, their resumes, and letters of commitment at the post award conference? (1.6.11.1 Key Personnel Section M, 2.2.2 Sub-Factor 1: Staffing, Retention, and Management of Personnel, bullet 2)

Yes, Offerors shall provide resumes and letters of commitment of proposed key personnel at the time of proposal submission. See question #27.

All minimum qualifications are required for both Senior and Junior instructors.

69. Section 2.2.3.2 states, “The offeror shall submit a maximum of five (5) and a minimum of three (3) Performance Information Sheets identifying active or completed contracts, either Government or commercial, for each prime, and a maximum of five (5) and a minimum of one (1) Past Performance Information Sheet for each major subcontractor, teaming partner, and/or joint venture (“major” is defined as those subcontractors, teaming partners, or joint ventures who are projected to perform 25% or more of the total contract effort). Performance Information Sheets for each contract is limited to five (5) pages.”

Question: Is it five (5) Past Performance references for the prime and five (5) Past Performance references for the subcontractor/teaming partner/joint venture, for a maximum total of ten (10)? (Section L, 2.2.3.2 Past and Present Performance Information Sheets)

See question #1 and reference para 2.2.3.2.

Section 4.6.8 states, “The Contractor shall ensure all key personnel terminated or released from employment under this contract are replaced within ten (10) working days of the termination.”

Question: The PWS states that the Contractor must replace personnel within ten (10) working days of termination. This is a very constrained timeline, considering most working individuals who the Contractor may seek to hire as replacement personnel must submit two weeks’ notice to their current workplaces.

Would the Government extend the replacement hiring period to fifteen (15) business days? What is the deviation from the standard allowable? (1.6.8.2.6 Psychological Evaluations, 1.6.11 Key Personnel, 4.6.8 Key Personnel, Technical Exhibit 2:

Deliverables Schedule)

Key personnel must be replaced within 10 days. Para 1.6.8.2.6. states "If removal is deemed appropriate following adequate Government psychological evaluation and SERE Command Team review, the Contractor shall replace the position or positions vacated with qualified individuals in an expeditious manner, not to exceed 10 days. Removal of Contractor employees under these conditions does not relieve the Contractor from responsibility for full satisfactory quality of performance.
