Oral explanations or instructions given before the award of a contract will not be binding. Any information given a prospective bidder concerning a solicitation will be furnished promptly to all other prospective bidders as an amendment to the solicitation, if that information is necessary in submitting bids or if the lack of it would be prejudicial to other prospective bidders.

Ms. Maffeo elaborated on CPM Project Schedule. Ms. Maffeo said an amendment would be forthcoming requiring the contractors to submit their schedules in CPM format as opposed to Bar Charts as this is part of the new templates and new GSA requirements.

III.A.8 Substantial Completion and Contract Completion

III.A.8 Substantial Completion and Contract Completion (See Pages 13-14 of the Agreement as well as Section 01770 of the Specifications)

FAR 52.211-10, Commencement, Prosecution, and Completion of Work (APR 84), FAR 52.211-12, Liquidated Damages (Construction), and GSAR 552.246-72, Final Inspection and Tests (SEP 99), are supplemented as follows:

III.A.8(a) For the purposes of FAR 52.211-10, Commencement, Prosecution and Completion of Work, and FAR 52.211-12, Liquidated Damages (Construction), the Work shall be deemed complete when it is “Substantially Complete.” The Work shall be deemed "Substantially Complete" if and only if the Contractor has completed the Work and related Contract obligations in accordance with the Contract Documents, such that the Government may enjoy the intended access, occupancy, possession, and use of the entire Work without impairment due to incomplete or deficient work, and without interference from the Contractor's completion of remaining work or correction of deficiencies in completed work. In no event shall the Work be deemed Substantially Complete if all fire and life safety systems are not tested and accepted by the Authority Having Jurisdiction, where such acceptance is required under the Contract.

III.A.8(b) At the appropriate time, the Contractor shall submit to the Contracting Officer a written notice specifying a proposed Substantial Completion date (Notice of Substantial Completion). The Contracting Officer shall conduct inspections and make a determination of Substantial Completion within a reasonable time. If the Contracting Officer takes exception to the Notice of Substantial Completion, the Contractor shall be entitled to a written notice of conditions precluding determination of Substantial Completion.

III.A.8(c) The Contractor shall be entitled to an extension of time to address such conditions if, and to the extent that, the Contracting Officer provides notice of such conditions more than thirty calendar days from receipt of the Notice of Substantial Completion.

III.A.8(d) Substantial Completion shall be established by the Contracting Officer's issuance of a written determination specifying the date upon which the Work is Substantially Complete.

III.A.8(e) The Contract is complete (Contract Completion) if and only if the Contractor has completed all Work and related Contract obligations, corrected all deficiencies, and complied with all conditions for final payment.

III.A.8(f) Unless otherwise specifically noted, or otherwise clear from context, all references in this Contract to "acceptance" shall refer to issuance of a written determination of Substantial Completion.

III.A.8(g) The Contractor shall not be entitled to final payment or release of any retainage held by the Government until after Contract Completion. If the Contractor does not achieve Contract Completion within the time required by this Contract, the Government shall be entitled, after providing notice to the Contractor, to complete any work remaining unfinished. The Contractor shall be liable to the Government for all costs incurred by the Government to complete such work.

A question was raised relative to paragraph III.A.8(a) above, specifically who is the authority having jurisdiction regarding acceptance of fire and life safety systems. Mr.

Fuller responded to the question. He stated that it would be the Fire Protection Engineer within GSA who would be making this determination. Further, he indicated that GSA follows the national standards which may include, federal, state and local laws and regulations. He emphasized that GSA would ultimately be making the final determination not a local Fire Inspector or Life Safety Expert.

III.A.12 Insurance Requirements (See Pages 14-15 of the Agreement)

A certificate of insurance must be presented to the Contracting Officer within ten (10) calendar days after award of the contract.

III.A.14 Administrative Matters (See page 16 of 41, Paragraph IIIA.14(c) (vi) (A) of The Agreement for further details)

Project Meetings. The Contractor shall attend a preconstruction conference and shall participate in regularly scheduled Project meetings.

For contracts funded wholly by the American Recovery and Reinvestment Act of 2009 (ARRA), all invoices for work components or Contract Line Items (CLINs) identified as ARRA-funded must cite the work component or CLIN to enable GSA to meet its reporting obligations under

ARRA.

III.A.14(e) Security Clearances (See page 17)

New policy in place regarding ARRA Projects. There is a new Security Office. They will be promptly contacting the contractors to guide and assist them in expediting them through the clearance process. In addition, all such personnel who will be on site 6 months or longer must apply for and receive clearance in accordance with Homeland Security Presidential Directive 12

(HSPD-12).

Information concerning these requirements can be found at:

www.gsa.gov/Portal/gsa/ep/contentView.do?contentType=GSA_BASIC&contentId=25562&noc=T

Mr. Ross and Ms. Maffeo elaborated on the Security Requirements. Ms. Maffeo indicated that the Security Office is located in Boston. Further, she stated that as soon as the contract is awarded the Security Office will act swiftly to provide the clearances. She said that the office would be contacting the awardee within a couple of days of award to obtain the necessary information to process the clearances. A question was asked regarding the type of clearances. Mr. Ross responded by stating that there are clearances provided for contracts with performance periods of less than 180 days that require less investigatory information and are done on an accelerated basis and then there are clearances issued for contracts with longer performance periods and require more information that are good for five years.

Ms. Donovan directed the prospective bidders attention to the link that will be provided in the minutes that gives more detailed information on the security clearance procedures.

III.A.14(f) Sensitive But Unclassified (SBU) Building Information. (See Pages 17-18)

All bidders shall pay special attention to safeguard SBU information and comply with this requirement starting on page 17 of 41 of The Agreement.

On the Cover page, entitled, “The Specifications” there is the following statement:

PROPERTY OF THE UNITED STATES GOVERNMENT. COPYING, DISSEMINATION, OR

DISTRIBUTION OF THESE DRAWINGS, PLANS, OR SPECIFICATIONS TO

UNAUTHORIZED PERSONS IS PROHIBITED. Do not remove this notice. Properly Destroy Documents when no longer needed.

On each page of the Specifications and Drawings there is the following statement:

PROPERTY OF THE U.S. GOVERNMENT – FOR OFFICIAL USE ONLY. Do not remove this notice. Properly Destroy Documents when no longer needed.

Ms. Maffeo emphasized the importance of distributing GSA's documents to subcontractors. Specifically, she said if the contractor directs subcontractors to FedBizOpps to access GSA documents then it is up to the subcontractors to follow the SBU procedures. However, if the contractor provides GSA documents directly to subcontractors, the burden is on the contractor to explain SBU procedures to subcontractors and to track subcontractors with whom GSA documents are provided.

III.B.1 Contract Clauses Incorporated By Reference. (See Pages 20-25)

Most of the construction contract clauses have been incorporated by reference. Particular attention should be given to the following:

FAR Clause 52.228-15, Performance and Payment Bonds-Construction upon award are required provide performance and payment bonds for 100% of the contract cost.

FAR Clause 52.222-54, Employment Eligibility Verification. (See Page 21 of the Agreement as well as attached Exhibit A).

Ms. Maffeo called the prospective bidders attention to Exhibit A. She said this is a fairly new clause. She emphasized the importance of E-Verify regarding Employment Eligibility of the Contractor's Employees and stated that the link to access the website is in the text of the clause in the FAR as a hyperlink.

III.B.1(d) ARRA Requirements (See pages 24-25)

The Contractor shall comply with all ARRA requirements contained in the contract. There are special reporting requirements and invoicing requirements for the treatment of ARRA funds.

Note: Recovery Act reports will be made to www.federalreporting.gov.

FAR 52.204-11 American Recovery and Reinvestment Act-Reporting Requirements (MAR 09)

Ms. Donovan emphasized that quarterly reporting is required for all contracts awarded using ARRA funds.

III.B.2 Clauses Incorporated in Full Text Both FAR and GSAR (See pages 25-37 of The Agreement about these clauses).

In particular there is a Buy American Act Clause, FAR 52.225-9 (FEB 2009) relative to ARRA. Additionally, FAR 52.217-7, Option for Increased Quantity—Separately Priced Line Item (MAR 1989) addresses potential Option Items may be exercised at time of award or within 90 calendar days of contract award. Also, there is a deviation to GSAR 552.222-8 Payrolls and Basic Records (October 21, 2009).

III.B.3 Additional Clauses

There are additional clauses incorporated by reference. These are contained on page 37 of 41 of The Agreement.

Note: These clauses are of the same force as if they were incorporated in full text.

III.B.4 Sub-Contract Requirements (See pages 37 through 41 of the Agreement).

The Contractor is advised that many FAR, GSAR and other Agreement clauses are required to be flowed down to subcontracts. Clauses containing flow down requirements include, but may not be limited to, those listed below. The Contractor is responsible for ensuring that all necessary flow-down clauses are included in all subcontracts.

QUESTIONS AND ANSWERS

A question was raised regarding Section 230900, Instrumentation and Control for HVAC, 230900-4, paragraph D2. Specifically, the contractor asked for clarification as he believed that the specifications were written around one manufacturer. The specification calls for a Honeywell ACI (Authorized Control System Integrator Only). Further, the paragraph states that the ACI must be under contract for EMS service of the existing building SymmetrE R-310 system. It also requires that the local facility be located within 10 miles of the project.

Mr. Fuller indicated it is written around Honeywell as this is the existing system. He also said that there is a mechanical maintenance service contract for the Burlington Courthouse and Federal Building which includes, servicing the HVAC systems that are part of the ARRA Energy Upgrades Project. Therefore, it was GSA's intent to ensure that the same certified representatives be used for the ARRA Energy Upgrades contract to protect GSA from voiding any warranties on the existing equipment. Further, this is why the 10 mile radius was included in the contract requirements to ensure that the same certified representative was used as well allow a reasonable response time for the contractor to address any type of system failure or repairs. GSA agreed to provide who the contractor is under the mechanical maintenance contract. The name of the contractor is:

Control Technologies, Inc.

121 Park Avenue, Suite 10 Williston, VT 05495 Phone No: (802) 764-2200 Website: controltechinc.com Point of Contact: Jim Lavallee

During the site visit a question was raised regarding what tanks had to be insulated? Mr. Fuller indicated that it would just be the Condensate tank. It should noted that both the Boiler Feed Tank and the Condensate Return Tank need to be insulated per Volume III, The Specifications.

**Should prospective bidders have additional questions regarding the Solicitation, Agreement or Specifications, they are encouraged to submit them in writing to Ms.

Maffeo and/or Ms. Donovan on or before April 27, 2010 to allow enough time to provide a responsive answer.

CLOSING

Ms. Donovan stated please remember that nothing stated here today would bind the government unless it is incorporated into the solicitation by a written amendment.

Ms. Maffeo asked that questions be sent by e-mail to Audrey Donovan( audrey.donovan@gsa.gov) with Ms. Maffeo(donna.maffeo@gsa.gov) copied so that one of the two can reply promptly.

Ms. Donovan thanked the prospective bidders for coming. She also stated that if they had not already done so, to please make sure that they signed-in. She said that a list of attendees would be included in the posted meeting minutes.

Mr. Ross in closing stated the following:

Ms. Maffeo is the only authorized representative to make changes to the contract and obligate money on behalf of the government.

This is a Recovery Act Project and the focus is on energy efficiency and the contractors need to be mindful of this as they perform.

Visibility is an integral part of this Recovery Act Projects as this information is reported to the Vice President. Therefore, contractors also should be cognizant of this aspect of the project.
