Questions From Interested Vendors and WMATA’s Responses
1. Question: Would the Contractor be allowed to purchase the required Railroad Protective Liability (RRP) insurance under WMATA’s blanket RRP program? If so, what would be the cost of such insurance, including the RRP waiver fee?
Response: Participation in WMATA’s blanket RRP program will be an option once the contract is awarded. The premium is dependent upon the contract cost. Offerors should seek an independent quote for this coverage.
2. Question: As per Page 70 of RFP FQ19106/LTR, will WMATA delete 5 and 6 from “Business Auto
Liability” requirements, as such are not applicable to this scope of work?
Response: Yes, deleted.
3. Question: Will WMATA be agreeable to the use of the Contractor’s Additional Insured Form 17 for the Contractor’s Commercial General Liability policy which can be provided in advance for WMATA’s review?
Response: We would have to review the form to see if it complies with our requirements, however, those that include both ongoing operations and products/completed operations are generally acceptable.
4. In lieu of Contractor having to provide copies of Contractor’s insurance policies at WMATA’s request, would WMATA agree to accept a certificate of insurance to document Contractor’s required coverages and limits?
Response: WMATA rarely asks for copies of complete insurance policies, however the language will remain in the event of litigation associated with the equipment being purchased.
5. Question: Page 76 (1) of RFP FQ19106/LTR, will WMATA modify the notice of cancellation provision in
“Certificate of Insurance” requirements to the following: Should any of the requested policies be cancelled or modified before the expiration date, notice will be provided in accordance with Contractor policy provision.”
Response: No.
6. Question: Page 68 of RFP FQ19106/LTR, will WMATA agree to use the contract language for indemnification provisions as follows:
(i) “Contractor shall indemnify, defend and hold harmless the Authority, its directors, officers, employees and agents, from all liabilities, obligations, damages, penalties, claims, costs, charges and expenses (including reasonable attorney’s fees), of whatsoever kind and nature for injury, including personal injury or death of any person or persons, and for loss or damage to any property, including the property of the Contractor and the Authority, in connection with activities to be performed under this contract to the extent caused by the acts, errors or omissions of Contractor, or any employees, agents or representatives of Contractor.
(ii) Contractor shall indemnify, defend and hold harmless the Authority, its Board members, employees and agents, against any and all claims, liabilities, losses, demands, damages, penalties, costs, charges, remedial costs, environmental claims, fees or other expenses including attorneys’ fees, related to, arising from or attributable to any effluent or other hazardous waste, residue, contaminated soil or other similar material discharged from, removed from, or introduced on, about or under the job site to the extent caused by the acts, errors or omissions of Contractor, or any employees, agents or representatives of Contractor.
The foregoing indemnity does not apply to loss or damage due to preexisting conditions, whether known or unknown. (Delete)
(iii) If any action or proceeding relating to the indemnification required is brought against the Authority, then upon written notice from the Authority to the Contractor, the Contractor shall, at the Contractor’s expense, resist or defend such action or proceeding by counsel approved by the Authority in writing, such approval not to be unreasonably withheld, but no approval of counsel shall be required where the cause of action is resisted or defended by counsel of any insurance carrier obligated to resist or defend the same.”
Response: The Indemnification clause stands as written.
7. Question: Will WMATA agree to include in the contract a stated limitation of liability of the Contractor such as the following: “IN NO EVENT SHALL CONTRACTOR’S AGGREGATE LIABILITY ARISING OUT
OF OR RELATED TO THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH
OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE TOTAL OF
THE AMOUNTS PAID TO CONTRACTOR FOR THE GOODS/SERVICES SOLD HEREUNDER PRIOR
TO THE DATE OF SUCH CLAIM.
Response: WMATA will agree to a $2,000,000.00 liability cap for the drain cleaner and a $5,000,000.00 cap for the prime mover.
8. Question: Will WMATA agree to include in the contract an exclusion of consequential damages of the Contractor such as the following: IN NO EVENT SHALL CONTRACTOR BE LIABLE FOR ANY
CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES,
LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF OR RELATING TO
ANY BREACH OF THE TERMS OF THIS AGREEMENT, WHETHER OR NOT THE POSSIBILITY OF
SUCH DAMAGES HAS BEEN DISCLOSED IN ADVANCE OR COULD HAVE BEEN REASONABLY
FORESEEN, REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR
OTHERWISE) UPON WHICH THE CLAIM IS BASED, AND NOTWITHSTANDING THE FAILURE OF
ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE.”
Response: No
9. Question: What steps can WMATA take to protect and to prevent the disclosure of the Contractor’s commercially sensitive information, including but not limited to cost and price data and the Contractor’s confidential information, to any entity other than WMATA itself?
Response: WMATA protects, safely secures and prevents the disclosure of the Contractor’s commercially sensitive information, including but not limited to cost and price data and the Contractor’s confidential information. However, WMATA award price is advertised after Notice to Proceed has been issued to the awardee.
10. Question: As referenced on Page 38, 3 (a) of the solicitation document; will WMATA agree to change the
Order of Precedence of the contract documents such that the Contractor’s exceptions to the contractual terms and conditions and to WMATA’s technical specifications, if any, precede WMATA’s versions of said documents?
Response: No, this clause stands as it is written.
11. Question: Will WMATA agree to issue a certificate of acceptance to the Contractor once the Contractor has completed its acceptance testing at WMATA’s site?
Response: Upon successful completion of all work the Contracting Officer’s Technical Representative (COTR) will issue a contract letter indicating acceptance and approval to submit the invoice for Milestone Payment 10, Final Acceptance.
12. Question: Would WMATA please clarify why it requires a 24-hour response and a maximum period of three days for the Contractor to address reported defects in the deliverables?
Response: Response time as described is required to ensure availability of equipment to perform critical track maintenance activities.
13. Will WMATA agree to a transfer of title and risk of loss and/or damage from the Contractor to WMATA at the time of Contractor’s shipment of the deliverables?
Response: No. Transfer of title is at the time of final acceptance when WMATA accepts the vehicles.
14. Question: Will WMATA agree that no Change Orders under the contract will be implemented until WMATA and the Contractor agree in writing to the change(s) and the associated impact to the price and project schedule?
Response: No. WMATA has a unilateral right to issue change orders (refer to the Chapter IV in the RFP - Changes/Price Adjustments).
15. Question: Will WMATA agree that it cannot issue a Stop Work Order (SWO) during the contract period unless it has made interim payments to the Contractor?
Response: No, WMATA will place no conditions on its right to stop work on the Contract.
16. Will WMATA agree that the Contractor can terminate the contract for WMATA’s default in the same manner as WMATA can terminate for the Contractor’s default?
Response: Termination for Default clause stands as written.
17. With respect to the Contractor’s intellectual property, would WMATA agree to a contractual provision as follows:
“All intellectual property rights, including copyrights, patents, patent disclosures and inventions (whether patentable or not), trademarks, service marks, trade secrets, know-how and other confidential information, trade names, logos, corporate names and domain names, together with all of the goodwill associated therewith, derivative works and all other rights (collectively, “Intellectual Property Rights”) in and to all products, documents, work product and other materials that are delivered to WMATA hereunder or prepared by or on behalf of Contractor in the course of performing hereunder (collectively, the “Deliverables”) shall be owned by Contractor. Contractor hereby grants WMATA a limited, nonexclusive, non-transferable, no-charge license to use all Intellectual Property Rights to the extent necessary to enable WMATA to make reasonable use of the Deliverables.”
Response: WMATA will not agree to the proposed language. WMATA may agree to negotiate the clause with the successful offeror, but WMATA must have unlimited rights under any license provided.
18. Question: Page 87 of RFP FQ19106/LTR, Will WMATA agree to waive the invoice requirements regarding the Living Wages section of the contract?
Response: NOT APPLICABLE. WMATA agrees to delete Living Wage clause.
19. Will WMATA agree to waive the Mid-Atlantic Purchasing Team Rider Clause to preclude disclosure of the
Contractor’s commercially sensitive data and confidential information to these named entities?
Response: Other municipalities may ride the Contract, but WMATA will not release Contractor’s commercially sensitive data and confidential information to these entities.
20. (a) Question: Please clarify if the optional two (2) year Warranty on the Down and Under Crane Vehicle is in addition to the one (1) year warranty requested in the terms and conditions for a total three (3) year warranty, or is it to extend the warranty to two (2) years?
