(a) All data shall be delivered in accordance with the delivery schedule shown on the Contract Data Requirements List, attachments, or as incorporated by reference.

A. DEFENSE FAR SUPP CONTRACT CLAUSES IN FULL TEXT

252.232-7006 WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (MAY 2013)

(a) Definitions. As used in this clause-

“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.

“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.

(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall—

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web- Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/

(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:

(1) Document type. The Contractor shall use the following document type(s).

COST VOUCHER.

Note: If a “Combo” document type is identified but not supportable by the Contractor’s business systems, an “Invoice” (stand-alone) and “Receiving Report” (stand-alone) document type may be used instead.)

(5) WAWF email notifications. The Contractor shall enter the e-mail address identified below in the “Send Additional Email Notifications” field of WAWF once a document is submitted in the system.

G005 PAYMENT INSTRUCTIONS FOR MULTIPLE ACCOUNTING CLASSIFICATION CITATIONS

(MAR 2001) (TAILORED)

The payment office shall make payment from each ACRN in accordance with the amounts invoiced by CLIN/SLIN/ACRN as referenced on the contractor's invoice in Wide Area Workflow (WAWF).

This requirement includes support for multiple programs with independent budgets and funding lines.

These funding lines are NOT interchangeable and it is critical that the Paying Office pay in accordance with the ACRNs and SLINs noted on the contractor's invoices. To do otherwise could result in a misappropriation of funds.

INVOICING INSTRUCTIONS FOR MULTIPLE ACCOUNTING CLASSIFICATION CITATIONS

Contractor Invoicing Instructions:

The contractor shall segregate and accumulate costs for the performance of this contract by the appropriate Accounting Classification Reference Number (ACRN) listed in the Accounting Data provided in Section G. The Contractor agrees to segregate costs incurred under this task order at the lowest level of performance, either task or subtask, rather than on a total task order basis, and to submit invoices reflecting costs incurred at that level. Supporting documentation in WAWF for invoices shall include summaries of work charged during the period covered as well as overall cumulative summaries by individual labor categories, rates, and hours (both straight time and overtime) invoiced; as well as a cost breakdown of ODCs (materials and travel), by line item task or subtask. Subcontractors are also required to provide labor categories, rates, and hours (both straight time and overtime) invoiced; as well as, a cost breakdown of ODCs, materials, and travel invoiced. Supporting documentation may be encrypted before submission to the prime contractor for WAWF invoice submittal. Subcontractors may email encryption code information directly to the Contracting Officer and Contracting Officer Representative. Should the subcontractor lack encryption capability, the subcontractor may also email detailed supporting cost information directly to the Contracting Officer and Contracting Officer Representative; or other method as agreed to by the Contracting Officer.

H008 IMPLEMENTATION OF PATENT RIGHTS CLAUSE (DEC 2007)

All documents and information required by the patent rights and/or patent reporting clauses set forth in Section I of this contract shall be submitted to the Administrative Contracting Officer and to PROCURING

The STINFO patent administrator can be reached at 661-275-5016 This notice also constitutes a request (see FAR 52.227-11 or DFARS 252.227-7039(c), as applicable) for submission of a copy of the patent application, when filed, along with the patent application serial number, filing date, subsequent U.S. patent number and issue date, as received.

H014 IMPLEMENTATION OF PATENT RIGHTS CLAUSE (NOV 2011)

a. Interim or final Invention Reports 1) listing subject invention(s) and stating that all subject inventions have been disclosed, or 2) stating that there are no such inventions, shall be sent to both the Administrative Contracting Officer at the address located on the face of the contract, and to the Contracting Officer/Patent Administrator at det1.afrl.pk.patents@wpafb.af.mil, with a courtesy copy (cc:)

to the government Program Manager/Project Engineer, within the timeframes specified in the clause.

Please include in the subject line of the e-mail the contract number followed by the words "Invention Reporting." Also include in the body of the e-mail the names of the Government Project Engineer/Program Manager and his/her office symbol. Contractors are highly encouraged to use DD Form 882, Report of Invention and Subcontracts to submit these reports. The DD Form 882 may also be used for the notification of an award of any subcontract(s) for experimental, developmental or research work which contain a "Patent Rights" clause.

b. All other notifications (e.g., disclosure of each subject invention to the Contracting Officer within 2 months after the inventor discloses it) shall also be sent to the e-mail address above, with a courtesy copy (cc:) to the government Program Manager/Project Engineer.

c. This provision also constitutes the request for the following information for any subject invention for which the contractor has retained ownership, 1) the filing date, 2) serial number and title, 3) a copy of the patent application and 4) patent number and issue date. Submittal shall be to the Contracting Officer/Patent Administrator e-mail address listed above, with a courtesy copy (cc:) to the government Program Manager/Project Engineer.

5352.242-9001 COMMON ACCESS CARDS (CAC) FOR CONTRACTOR PERSONNEL-AFRL (NOV

2012)

(a) For installation(s)/location(s) cited in the contract, contractors shall ensure Common Access Cards (CACs) are obtained by all contract or subcontract personnel who meet one or both of the following criteria:

(1) Require logical access to Department of Defense computer networks and systems in either:

(i) the unclassified environment; or

(ii) the classified environment where authorized by governing security directives.

(2) Perform work, which requires the use of a CAC for installation entry control or physical access to facilities and buildings.

(b) Contractors and their personnel shall use the following procedures to obtain CACs:

(1) Contractors shall provide a listing of personnel who require a CAC to the contracting officer. The government will provide the contractor instruction on how to complete the Contractor Verification System (CVS) application and then notify the contractor when approved.

(2) Contractor personnel shall obtain a CAC from the nearest Real Time Automated Personnel Identification Documentation System (RAPIDS) Issuing Facility (typically the local Military Personnel Flight (MPF)).

(3) Contractor personnel will proceed to the nearest CAC issuance workstation (usually the local Military Personnel Flight (MPF) with the DD Form 1172-2 and appropriate documentation to support their identification and/or citizenship. The CAC issuance workstation will then issue the CAC.

(c) While visiting or performing work on installation(s)/location(s), contractor personnel shall wear or prominently display the CAC as required by the governing local policy.

(d) During the performance period of the contract, the contractor shall:

(1) Within 7 working days of any changes to the listing of the contract personnel authorized a CAC, provide an updated listing to the contracting officer who will provide the updated listing to the authorizing government official;

(2) Return CACs in accordance with local policy/directives within 7 working days of a change in status for contractor personnel who no longer require logical or physical access;

(3) Return CACs in accordance with local policy/directives within 7 working days following a CACs expiration date; and

(4) Report lost or stolen CACs in accordance with local policy/directives.

(e) Within 7 working days following completion/termination of the contract, the contractor shall return all CACs issued to their personnel to the issuing office or the location specified by local policy/directives.

(f) Failure to comply with these requirements may result in withholding of final payment.

SECTION 1 - DESCRIPTION OF SERVICES/GENERAL INFORMATION

1.0 SCOPE. The objective of this contract is to provide on-site research and development

(R&D) to the Air Force Research Laboratory (AFRL) across a wide spectrum of propulsion-related areas. These areas are detailed below, but include Combustion Processes, Fluid

Dynamics, and Materials Sciences; Chemical/Material Sciences; Aerophysics and Plasma

Physics; Analytical Chemistry; Spacecraft Propulsion; and High-Payoff Propulsion

Technologies. The AFRL Aerospace Systems Directorate (AFRL/RQ)-West at Edwards AFB, CA is part of the Air Force Materiel Command and conducts research at the Edwards Research

Site (ERS). This contract focuses on R&D and the engineering to transition these technologies to the warfighter. Due to the dynamic nature of R&D, the workload under this contract will have peaks and valleys, and the contractor shall have sufficient flexibility and depth to accommodate

AFRL/RQ-West requirements in a timely and efficient manner.

2.0 APPLICABLE DOCUMENTS. All specifications, exhibits, standards, regulations, manuals, and other documents referenced and identified in the Statement of Work (SOW), but not herein attached, are incorporated into the contract by reference. The contractor shall comply with current regulations and specifications referenced throughout the contract and the SOW and summarized in Appendix A.

3.0 REQUIREMENTS.

3.1 ORGANIZATION. The contractor shall comply with the following requirements describing the organizational requirements and constraints imposed on the RPS-III effort.

3.2 GENERAL. The contractor shall provide on-site technical personnel for basic, exploratory, and experimental research required to fulfill the terms of this SOW. The contractor shall function effectively and flexibly within government/contractor teams which may involve multiple contractors and where technical direction will come from the government. The presence of an on-site contract program manager (CPM) and proactive researchers are required to perform the work and facilitate coordination of key activities. Contractor personnel shall maintain close information cross-feed with their government counterparts. The contractor shall maintain the capability to quickly respond to evolving requirements, including attending meetings on short notice and developing viable action plans. It is recognized in R&D, that goals, methods, and requirements can evolve rapidly and that flexible and effective participation in problem solving activities require information exchange directly with other team members. The contractor shall communicate to the government any actions that could substantially impact an objective. The contractor shall provide all personnel with the skills, knowledge and abilities appropriate for completing the technology areas identified in this SOW. The contractor shall also provide the equipment, materials, supervision and other items necessary to accomplish the

research goals described in this SOW, with the exception of those items listed as Attachment 2 in

Section J for Government Furnished Property.

3.3 LOCATION. The contractor shall perform work primarily at the AFRL ERS. Travel to other locations may be required. Work at locations other than AFRL will be accomplished on a temporary duty basis.

3.4 CONTRACT HOLIDAYS. The prices/costs in Section B of the contract include holiday observances; accordingly, the Government will not be billed for such holidays, except when services are required by the Government and are actually performed on a holiday. Holidays in addition to those reflected in this contract, which are designated by the Government, will be billable provided the assigned Contractor employee was available for performance and was precluded from such performance. The following days are contract holidays: New Year's Day, Martin Luther King Jr.'s Birthday, President's Day, Memorial Day, Independence Day, Labor

Day, Columbus Day, Veteran's Day, Thanksgiving Day, Christmas Day.

3.5 PHASE-IN PERIOD. The first 60 calendar days after the award of the contract shall be a fixed-price CLIN for the phase-in period. The successful offeror shall use this transition period to establish the phase-in plan with the AFRL Program Manager (PM), and set up their offices and organization.

3.5.1 During the phase-in period, the incumbent shall be fully responsible for the scope of work of this contract.
