Mission: TacRL-3/4
FA8818-21-C-0001/0002
Partial Delivery Payment Schedule Mission Assurance Category 1+
10 Dec 2020
1. Basis of Payment The basis of payment for missions will accomplished in accordance with 48 CFR § 32.906(c) Partial Deliveries. The pricing arrangement in Table-1 allows contractors to invoice payments for portions of the work as soon as completed and found acceptable by the Government. The successful accomplishment of event milestones (Column B) scheduled throughout the period of performance of the task order will allow contractors to invoice as soon as the work is completed. The milestones represent meaningful efforts or actions that are an integral and necessary part of performance. The basis for an event should be either specifically described events or a measurable criterion of performance. Once a mission is assigned, the Launch Service Contractor (LSC) shall fill in the payment amounts (Column G) in Table 1, which are listed here as a percentage of the total contract value for all applicable Firm-Fixed Price (FFP) Contract Line Item Numbers (CLINs) pertaining to the mission (CLIN 0001).
1. milestone ACCEPTANCE Criteria Each event milestone has associated, measurable acceptance criteria (Column C) that serve to validate milestone accomplishment. All milestone acceptance criteria must be met before the milestone payment will be authorized. When the LSC has successfully completed all applicable milestone acceptance criteria, the LSC shall submit a Notice of Completion (NOC) for the milestone to the Procuring Contracting Officer (PCO). The NOC shall include supporting documentation to substantiate meeting the milestone acceptance criteria such as concurrence from the Government Contracting Officer Representative (COR).
1. Event Milestone Payments and Event Timing The PCO will determine whether the LSC has successfully met each of the milestone acceptance criteria based on inputs provided by the United States Government (USG) team.
To the maximum extent possible, within fifteen (15) business days after receipt of the LSC’s NOC, the PCO will provide written notification to the LSC specifying which milestone criteria contained in the NOC are determined to be “met” (complete) and, if necessary, which are considered “not met” (incomplete).
For milestones identified as incomplete, the PCO will: (1) specify in the notification, the issues(s) that led to the determination based upon the milestone acceptance criteria; and (2) the corrective action(s) required to complete the milestone. The Government and LSC will ensure agreement and understanding of the corrective actions, and the LSC will make a good faith effort to quickly reconcile an incomplete milestone. When the LSC accomplishes the corrective actions, the LSC will submit a NOC addendum to the PCO for Government review. To the maximum extent possible within, fifteen (15) business days after receipt of the LSC’s NOC addendum, the PCO will provide written notification to the LSC specifying whether the Government concurs that all corrective actions have been accomplished and the milestone has been “met” (completed).
For each milestone, the planned schedule (Column D) is the estimated date that the LSC will complete the payment event and submit the associated NOC for payment of each milestone under this plan. For each milestone, the percentage of the total contract value (Column E) represents the percentage of the assigned mission value of all applicable FFP CLINs (CLIN 0001) that will be used to calculate the dollar amount to be paid to the LSC upon successful completion of the milestone.
The LSC shall submit an updated payment schedule when a contract modification amends the contract value. For the updated payment schedule, the LSC shall: (1) enter the paid amount in Column G for each milestone successfully completed; (2) account for the milestone(s) previously completed by calculating the upcoming milestone; to calculate the upcoming milestone, subtract the paid amounts from the revised payment (revised payment = amended contract value * the cumulative milestone percentage (Column F)); and (3) revise the payment(s) for the remaining milestone(s). Below is an example, the contract modification in this scenario is awarded between milestones four and five.
1. Event Milestone Schedule Criteria for payment of each event milestone appears in Table 1. In no event shall the LSC receive payments in excess of 80% of the total contract value until after acceptance of the launch service IAW Milestone 8 (Government Acceptance of Launch Service IAW contract clause Federal Acquisition Regulation [FAR] 52.212-04, Addendum to Contract Terms and Conditions – Commercial Items [October 2018]).
