Section H - Special Contract Requirements

H-001 ON-RAMP PROCEDURES

a. On-Ramping is authorized under this contract. The Government reserves the right to reopen competition at any time during any ordering period of this contract. The Government intends to review the need for additional contractors to fulfill anticipated requirements and to keep the competition pool viable. If additional contractors are needed, the Government will utilize the on-ramp procedure. Any additions due to on-ramps will not impact the IDIQ ceiling. The ordering period for new awardees will not exceed the overall maximum term of the original IDIQ contract, including options (i.e., will not extend past the dates established at initial award). The Government will not accept unsolicited submissions.

b. The Government will continually engage with IDIQ awardees, industry external to the IDIQ, and requirement owners to determine if/when on-ramp is needed to meet current or emerging requirements. When on-ramp is used, the Government will advertise the reopening of the competition on www.Sam.gov. The evaluation and selection of awardees for any on-ramp will utilize the same or similar evaluation and award criteria used for the initial IDIQ contract. Any new awardees will compete with existing or remaining Contractors for task orders.

c. On-Ramp Eligibility: EC2 IDIQ awardees shall not compete for On-Ramping. Offerors who who did not compete or were not selected during the initial award of the IDIQ contract are eligible to compete for On- Ramping. Contractors who were Off-Ramped in accordance with H-002 Off-Ramp Procedures are ineligible to receive a contract via On-Ramping.

H-002 OFF-RAMP PROCEDURES

a. Off-Ramping is authorized under this contract. The Government, in its sole discretion, reserves the unilateral right to Off-Ramp a contractor for reasons including, but not limited to:

(1) Contractor Debarment, Suspension, or Ineligibility as defined in FAR Subpart 9.4.

(2) Contract is terminated for a reason defined in FAR Part 49

(3) A Contractor establishes a pattern, i.e., two (2) or more instances within a five year period of less than satisfactory performance (commencing 1 year after date of award of first Task Order). Performance ratings are defined in FAR Subpart 42.15 -- Contractor Performance Information and DoD CPARS Guidance April 2022.

(4) Lack of participation - failure to submit at least one task order proposal per 5-year period effective beginning on date of award of EC2 IDIQ.

b. If the Government exercises its right to unilaterally Off-Ramp a Contractor, the Contracting Officer will notify the Contractor of its decision in writing. The Off-Ramp notice will at a minimum:

(1) Notify the Contractor of the method in which Off-Ramping will occur (i.e. Termination as defined in FAR Part 49).

(2) Provide rationale in support of the Government's decision to Off-Ramp.

(3) Provide the Contractor with instructions for completion of active Task Orders.

H-003 - COMMERCIAL ORDERING PROCEDURES For future requirements and task orders which are commercial in nature, the applicable commercial provisions and clauses shall be specifically included in the solicitation. Those commercial provisions and clauses will govern for the resulting task orders, without regard to other-than-commercial provisions and clauses.

H-004 - SMALL BUSINESS CLAUSES All clauses for FAR Part 19, DFARS Part 219, and AFFARS Part 5319 are not included in the EC2 IDIQ; however, the government reserves the right to issue Task Orders using any and all small business clauses.
