PART IV - REPRESENTATIONS AND INSTRUCTIONS
SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO OFFERORS
SECTION L FA8750-20-R-1004
PAGE L - 1 of 15
NOTICE: The following solicitation provisions pertinent to this section are hereby incorporated in full text:
OTHER SOLICITATION PROVISIONS IN FULL TEXT
L011 APPLICABLE CLAUSES (APR 2013) (TAILORED)
The appropriate clauses to be included in the contract will be determined based on Offeror's response to the Section K representations.
(a) State of New Mexico. Section I of this solicitation may contain the clause at FAR 52.229-10, STATE OF NEW MEXICO GROSS RECEIPTS AND COMPENSATING TAX. The resultant contract will contain this clause only if performance is in whole or in part within the State of New Mexico and the contract directs or authorizes the contractor to acquire property as a direct cost under the contract.
(b) Certified Cost or Pricing Data. If after receipt of proposals it is determined that adequate price competition does not exist, FAR 52.215-10 and 52.215-12 will be used in lieu of FAR 52.215-11 and 52.215-13.
(c) Notification of Transportation of Supplies by Sea. The resultant contract will contain the clause DFARS 252.247-7024 only if the selected Offerors check "Does not anticipate that supplies will be transported by sea in the performance of any contract or subcontract resulting from this solicitation" in DFARS 252.247- 7022.
RIK-L001 FOREIGN PARTICIPATION (JUL 2020)
Only United States companies may participate as prime contractors on this acquisition, unless a National Interest Determination (NID) is approved in accordance with the National Industrial Security Program Operating Manual (NISPOM).
RIK-L002 LIST OF REGISTERED PARTIES (JUL 2020)
NOTICE TO POTENTIAL OFFERORS: This list (Reference Attachment No. X) is provided only to facilitate subcontracting and teaming. It is current as of XX XXX XXXX. The Government does not anticipate updating the list after release of the solicitation.
RIK-L003 PROGRAM STRUCTURE AND OBJECTIVES (JUL 2020)
(a) In order to receive from industry the most novel and innovative approaches to solving user needs, it is anticipated that 4 to 6 prime Small Business (SB) contractors are necessary under Agile Cyber Technology 3. The Government reserves the right to award more or less than the anticipated amount if it is determined to be in the best interest of the Government. FAR 52.219-14 (DEVIATION 2020-O0008) allows SB to meet the Limitation to Subcontracting requirements by subcontracting to other SBs.
(b) Budget/Funding Information - Funding will be obligated on each Task Order awarded under the basic contract.
(c) The first real Order for all successful Offerors is expected to be the delivery of a detailed Systems Engineering Management Plan (SEMP) for the overall contract. The dollar amount associated with this order is the minimum quantity the Government is certain to order (FAR 16.504).
RIK-L004 NOTICE TO OFFERORS (FUNDS AVAILABILITY) (JUL 2020)
Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation, either before or after the
PAGE L - 2 of 15 closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an Offeror for any costs.
RIK-L005 PROGRAM EFFORT (JUL 2020)
(a) The Government will use Sample Order 0001 to assess the Total Evaluated Price. The following information is provided to Offerors only as a general indication of the scope of this effort. The amount of labor actually required by each individual Offeror is a function of its technical approach, experience, background, method of management, accounting system, and other factors. For this reason, Offerors should use this information only as a benchmark in formulating an approach to performance. Offerors are neither expected nor encouraged to attempt to make their proposal precisely fit the Government's estimate. Award will be made on the basis of the selection factors in Section M of this solicitation.

RIK-L007 PROPOSAL PREPARATION INSTRUCTIONS - CONTRACT FORMS (VOLUME I) (JUL
2020)
(a) The following data shall be included in this volume in the format indicated.
(1) Section 1
(i) Proposal forwarding letter, if any.
(ii) A copy of Standard Form 33 and Section K from this RFP, with the original signature of an official authorized to contractually bind the Offeror in Block 17 of the Standard Form 33. Offerors are requested to insert "365 days" in block 12 of the Standard Form 33 to ensure proposals remain valid through completion of the acquisition process.
(iii) Information required by FAR 52.215-22, Limitations on Pass-Through Charges - Identification of Subcontract Effort.
(iv) Identification and Assertion of Use, Release, or Disclosure Restrictions pursuant to DFARS 252.227- 7017 (see Attachment No. X). This document should indicate any noncommercial technical data or computer software that the Offeror currently anticipates delivering to the Government under this contract based on the Offeror's approach to fulfilling the requirements as set forth in the Statement of Work, Sample Order 0001, and the First Order (SEMP). A separate form is required for the basic contract and each Order. Please note that while rights will be decided/negotiated on an Order-by-Order basis, the Government desires Unlimited Rights.
(v) Verification of current facility clearance provided by your Facility Security Officer (FSO). Offerors that do not have the required facility clearance at the time of proposal submission will be found noncompliant with the solicitation requirements, and noncompliant proposals will not be further evaluated or considered for award. Offeror's must possess, at the time of proposal submission, a facility clearance at the Top
PAGE L - 5 of 15
Secret level and safeguarding capability at the Secret level. For clarification, "facility clearance" refers to having personnel cleared at the Top Secret level and "safeguarding" refers to the storage capability at the Secret level. Offerors can contact their local DSS office to initiate this process. The TS safeguarding requirement is stated on the pre-award DD 254 solely for the purpose of authorizing pre-contract access for potential Offerors who intend to safeguard the STO work description transmitted to a SCIF at their operating location, or at anot -award DD 254 will not serve as the basis for the Government to sponsor the establishment of a new dition, personnel must possess a current Top Secret Clearance and Sensitive Compartment Information (SCI) eligibility at the time of RFP release to view a copy of the solicitation in its entirety and be considered compliant with the solicitation requirements. In the event a potential Offeror gains access to the STO work description at a Government SCIF with an Agreement between AFRL/RI and a Government agency with the ability to sponsor the Offeror (or their subcontractor(s)) with an SCI certified vault facility, and will not be performing any SCI work at their facility or any other contractor location during contract performance, Item 1.b of the
13 accordingly.
(vi) Verification of the appropriate number of key personnel (approximately 5 for the prime and all subcontractors) having access to Sensitive Compartmented Information (SCI) or be clearable (Final US Top Secret Clearance without waiver and a Special Background investigation either on record or in process) that will be available for assignment to this effort. Immediately upon contract award, the Offeror must have 8 key personnel with access to SCI, and 12 more with SCI access within 6 months after contract award. Offeror must identify in Section 3 of the Contract Forms volume those cleared or clearable personnel by name and Social Security Account Number that will be assigned to the program upon award.
(vii) Verification of an SCI certified vault facility or the ability to obtain access to such a shielded enclosure. CAGE code and addresses must be provided for locations of each Offeror and their subcontractor(s) where SCI will be accessed so they can be added to the DD 254 at time of award.
(viii) Verification of an SCI accredited and approved Automatic Data Processing System to run SCI information. Offeror must identify in its technical proposal the location and type of SCI accredited system that will be available to the program upon contract award.
(2) Section 2
Offerors are reminded that exceptions to terms and conditions will be considered as part of an integrated assessment of all offers received (as indicated in Section M of this solicitation). Thus, the most effective time to request clarification of, or express an exception to, the terms and conditions set forth in the solicitation is during the proposal preparation stage, i.e. prior to the proposal due date, NOT in your proposal. If your offer includes exceptions to terms and conditions, they must be explained and justified in this Section in sufficient detail to allow the Government to determine the acceptability of your offer without necessitating discussions with your firm. Failure to provide detailed support for your position may, in conjunction with the other evaluation elements identified in Section M, lead to the determination that your proposal does not offer the best overall value to the Government. Since award will not be made based on initial proposals and discussions will be held, any revisions to the model contract (Sections A through J and Attachments) are to be agreed upon to the maximum extent possible during discussions by the Offeror and the Government before the Government requests a proposal revision.
(3) Section 3
(i) Information required in the Request for Proposal for which there is insufficient space in the requiring clauses or certifications.
(ii) A Statement indicating whether or not the Offeror is able to submit electronic invoices as set forth in the Section I clause 252.232-7003, ELECTRONIC SUBMISSION OF PAYMENT REQUESTS.
PAGE L - 6 of 15
(iii) If proposing as Joint Venture (JV), or under one of the follow programs, All Small Mentor-Protégé Program (ASMPP) or 8(a) Mentor Protégé Program, Offerors must submit their Mentor Protégé Approval Letter and JV Agreement at the time of proposal submission. If the three (3) award maximum is exceeded, notify the CO and the submitted proposal will be ineligible for an award. For further requirements regarding these programs, please reference 13 CFR 125.8 for JVs, 13 CFR 125.9 for the ASMPP and 13 CFR 124.520 for the 8(a) Mentor Protégé Program.
(4) Section 4
(i) Per FAR 45.103(a)(2) and (4), the Government must eliminate to the maximum extent practical any competitive advantage a prospective contractor may have by using Government property. Unless otherwise specified in this solicitation or attachments, the Government does not plan to furnish any Government property for use in the performance of the contract resulting from this solicitation.
(ii) The Government may, however, authorize such use in accordance with FAR 45.3, Authorizing the Use and Rental of Government Property. To use existing Government property in the performance of this proposed contract, a copy of the cognizant Contracting Officer's written concurrence with such use must be furnished to the Government as a part of the response to this solicitation. Your proposal must include a listing of Government property you desire to use in the performance of the proposed contract, including the following information for each item: nomenclature, date of purchase, acquisition value, number of months of contemplated use (identify first, last, and all intervening months), rental fee, if applicable, and the copy of the Contracting Officer's written concurrence for such use.
(iii) In the event that permission for such use of Government property is not authorized and the Contractor must furnish the property to perform the contract, identify the total cost impact, if any, to the proposed price.
(iv) An evaluation factor as set forth in FAR 45.202, Evaluation Procedures, will be used to eliminate any competitive advantage from the use of such property unless the Contracting Officer determines that the use of an evaluation factor would not affect the choice of Contractor.
(5) Section 5
(i) Organizational Conflict of Interest disclosures as required in RIK-L016.
RIK-L008 PROPOSAL PREPARATION INSTRUCTIONS - COST (VOLUME II) (JUL 2020)
(a) For proposal pricing purposes, Offeror should assume a contract start date of XX XXX XXXX.
(b) The Government anticipates that the conditions for adequate price competition at FAR 15.403- 1(c)(1) will exist. However, submission of cost or pricing information in accordance with FAR 15.408, Table 15-2, is still required as part of the proposal in order for the Government to adequately evaluate the proposed costs. Offerors will not be required to submit a Certificate of Current Cost or Pricing Data unless after receipt of proposals it is determined that adequate price competition does not exist.
(c) Submit a cover sheet of the Offeror's choice containing the following information:
(1) Solicitation, contract, and/or modification number;
(2) Name and address of Offeror;
(3) Name and telephone number of point of contact;
(4) Name of contract administration office (if available);
PAGE L - 7 of 15
(5) Type of contract action (that is, new contract, change order, price revision/redetermination, letter contract, unpriced order, or other);
(6) Proposed cost, profit or fee, and total;
(7) Whether you will require the use of Government property in the performance of the contract, and if so, what property;
(8)The following statement:
"This proposal reflects our estimates and/or actual costs as of this date and conforms with the instructions in FAR 15.403-5 (b)(2) and Table 15-2. By submitting this proposal, we grant the Contracting Officer and authorized representative(s) the right to examine, at any time before award, those records, which include books, documents, accounting procedures and practices, and other data, regardless of type and form or whether such supporting information is specifically referenced or included in the proposal as the basis for pricing, that will permit an adequate evaluation of the proposed price."
(9) Date of submission; and
(10) Name, title, and signature of authorized representative.
(d) For purposes of determining cost reasonableness and realism, the Contracting Officer requires that the information shown on the Table of Contents at the end of this provision be included in the cost proposal. The Offeror's format for submitting such information may be used. Do not omit any topics or elements. Additional topics may be added by the Offeror as necessary. All pages should be numbered.
Fill in all blanks either with the applicable page numbers, or "N/A."
(e) Subcontractors' proposals must be similarly structured. All subcontracted work must be properly identified as such. If a subcontractor elects to submit an abbreviated proposal to Offeror, it is Offeror's responsibility to see that the subcontractor simultaneously submits a complete detailed proposal per Table 15-2 directly to the Contracting Officer. Offeror must ensure that subcontractor adheres to the guidance set forth herein. FAR 15.404-3 requires that an Offeror provide an analysis of subcontractors' cost proposals. To that end, the Offeror's proposal must:
(1) Identify principal items/services to be subcontracted.
(2) Identify prospective subcontractors and the basis on which they were selected. If noncompetitive, provide selected source justification.
(3) Identify the type of contractual arrangement contemplated for the subcontract and provide a rationale for same.
(4) Identify the basis for the subcontract costs as included in Offeror's proposal (e.g., firm quote or engineering estimate, etc.).
(5) Identify the cost documentation submitted by the subcontractor.
(6) Provide a price analysis of the proposed subcontract in accordance with FAR 15.404-1(b) and a cost realism analysis in accordance with FAR 15.404-1(d). Provide an analysis concerning the reasonableness, realism and adequacy of each subcontractor's proposal. If the analysis is based on a comparison with prior prices, identify the basis on which the prior prices were determined to be reasonable.
(f) The cost proposal should be limited to the minimum number of pages necessary to satisfy the specific requirements set forth herein. Submission of volumes of computer-generated data to support the cost proposal is not necessary or desired. If computer-generated data is essential to support the cost
PAGE L - 8 of 15 proposal, it may be submitted as an addendum and must be clearly cross-referenced to the material it supports in the cost proposal.
(g) Cost proposals should represent the Offeror's best response to the solicitation. Along with the information required in the Table of Contents, provide a brief narrative explaining the necessity and purpose of each proposed resource. Any inconsistency, whether real or apparent, between promised performance and cost or price information must be fully explained in the proposal. Failure to explain any significant inconsistencies may demonstrate Offeror's lack of understanding of the nature and scope of the work required. Accordingly, cost proposals must be sufficient to establish the reasonableness, realism and adequacy of the proposed cost/price. Further, any modifications made to the initial proposal must likewise be thoroughly supported in writing regardless of whether such changes are made during negotiations or at the time of a proposal revision.
(h) Cost proposal for the Sample Order 0001, will be used to determine the cost of doing business with Offerors.
(i) The Cost Volume must be unclassified, and shall consist of one (1) section for Sample Order 0001.
The cost proposal for the Sample Order shall be based on the following:
(1) Direct Labor: The Offeror shall base the cost proposal on the Government-defined direct labor categories contained in Attachment No. X (see Section J) and shall propose unburdened direct hourly rates for each based upon the Offeror's own labor categories. Offeror must include a description of the Offeror's own categories explaining/identifying why they match the Government-defined categories.
Program Effort, for CLIN breakout.
(2) The Sample Order 0001 shall be proposed as CPFF (Completion) task order.
(i) In addition, Offerors must submit a copy of their cost proposal in the Excel format provided, Attachment X, Cost Proposal Pricing Template. This attachment can be found as an Excel document, posted separately from this solicitation in the same betaSAM notice listed under FA8750-20-R-1004.

RIK-M001 EVALUATION CRITERIA (JUL 2020)
(a) Introduction. This Section outlines those factors which comprise the criteria the Government will consider in evaluating Offerors' capabilities and proposals. The criteria listed are intended to show the scope of the evaluation to be performed on proposals submitted in response to the Request for Proposal.
Evaluation will be accomplished by comparing Offerors' capabilities and proposal elements against Government requirements.
(b) Basis For Contract Award. This is a best value source selection conducted in accordance with tradeoff source selection processes pursuant to FAR Part 15.3, Source Selection, as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS), and the Air Force Federal Acquisition Regulation Supplement (AFFARS). These regulations are available electronically at https://www.acquisition.gov. The Government will select the best overall offer(s), based upon an integrated assessment of technical/Technical Risk and Cost/Price. Contract(s) may be awarded to the Offeror(s) who is (are) deemed responsible in accordance with the FAR, as supplemented, whose proposal(s) conform(s) to the solicitation's requirements (to include all stated terms, conditions, representations, certifications, and all other information required by Section L of this solicitation) and is (are) judged, based on the evaluation factors and subfactors to represent the best value to the Government. The Government will compare differences in the value of technical features/capabilities with differences in cost / price to the Government. In making this comparison the Government values superior technical features/capabilities greater than lowest cost / price to the Government (see FAR 15.101-1).
This may result in an award to a higher rated, higher priced Offeror, where the decision is consistent with the evaluation factors, and the Source Selection Authority (SSA) reasonably determines that the technical and/or overall business approach of the higher price Offeror(s) outweighs the price difference. The SSA will base the source selection decision on an integrated assessment of proposals against all source selection criteria in the solicitation (described below). While the Government source selection evaluation team and the SSA will strive for maximum objectivity, the source selection process, by its nature, is subjective; and therefore, professional judgment is implicit throughout the entire process. In accordance with FAR 15.304(e), all evaluation factors other than cost / price, when combined, are significantly more important than cost / price. However, cost / price will still contribute substantially to the best value award decision. The Government will not make an award at a significantly higher overall cost / price to the Government to achieve only slightly superior technical features.
(c) Procedures. All information furnished by Offerors will be evaluated, including if it is determined to be in the best interest of the Government to hold discussions, Offerors' responses to Evaluation Notices (ENs) and Final Proposal Revisions (FPRs).
(d) Combined Technical/Risk Rating Method: The combined technical/risk rating includes consideration of risk in conjunction with the strengths, weaknesses, and deficiencies in determining technical ratings.
Each of the subfactors within the technical factor will receive a color and an adjectival rating (subfactor assessment) in accordance with DoD Source Selection Procedures paragraph 3.1.2.2, Table 3.
Subfactor ratings shall not be rolled up into an overall color/adjectival rating for the Technical factor. The subfactor assessment depicts how well the Offeror's proposal meets the evaluation criteria and the solicitation requirements. Proposal risk represents the risks that are identified with an Offeror's proposed approach as it relates to accomplishing the requirements of the solicitation. After evaluation of all technical subfactors has been completed, the total evaluated price to the Government will be compared against the evaluation results to determine the combination that provides the greatest overall benefit in response to the requirement.
PAGE M - 2 of 3
(e) Specific Criteria for Award. The factors identified below, listed in descending order of importance, will be considered during proposal evaluation. Proposals for the basic contract and Sample Task Order 0001 will be evaluated together using the criteria listed below and in accordance with FAR 15.304(e), all evaluation factors other than cost / price, when combined, are significantly more important than cost / price.
(1)Factor 1: TECHNICAL
The Technical factor will be evaluated on the basis of the following Subfactors, Subfactors 1, 2, and 3 being of equal importance.
(i) Subfactor 1: Development and Design Engineering - Soundness of Offeror's approach to understanding and analyzing User, System and Security requirements and the proposed approach to rapidly deliver novel solutions through development, testing, evaluation, integration, and operational transition into military environments. (Applies to Sample Task Order)
(ii) Subfactor 2: Management Approach - Extent proposal provides evidence that the Offeror has a sound pre-award and post-award approach for adequately staffing and managing multiple complex orders under short, time-critical deadlines, including subcontractor management and control to foster a collaborative innovation and experimentation team environment. This includes demonstrating a knowledge and understanding of DoD acquisition practices. (Applies to Statement of Work and Sample Task)
(iii) Subfactor 3: Experience and Qualifications - Experience and qualifications of the types of personnel and the quantity and quality of the Offeror's corporate experience relevant to the requirements. This includes understanding of USAF Cyber components and respective requirements.
