1. The purpose of this Supplemental Agreement is to issue an UNDEFINITIZED CONTRACT ACTION (UCA) for the incorporation into the subject contract the Engineering and Manufacturing Development (EMD) Activities for the VC-25B Program as defined in the attached Statement of Work for EMD for the VC-25B Program. This modification is being entered into under the authority of 10 U.S.C. 2304(c)(1), as implemented in FAR 6.302-1.
2. The Government requests that work under this Supplemental Agreement, identified as Attachment 23 and included in Section J herein, be initiated prior to a definitive contractual agreement between the Government and the Contractor.
3. The authorization for this work, and the written acceptance of this authorization by the contractor, will include the contract definitization schedule included in Section I, Contract Definitization clause: DFARS 252.217-7027. The maximum amount for which the Government shall be liable in association with the contemplated effort prior to definitization is $X.
4. The Not-To-Exceed (NTE) price for this effort is $X. The NTE amount is based on the Contractor's NTE proposal, dated XX YYY ZZ. The total obligation amount of this UCA is $X. The Contractor is not authorized to make expenditures or incur obligations in excess of the funding obligation amount prior to definitization. Additionally, the maximum amount for which the Government shall be liable if the contract action is terminated prior to definitization is $X.
5. Based upon the foregoing, this UCA is being implemented at an NTE $X increase to the total contract price and a $X increase to the total amount obligated. As a result of the foregoing, the subject contract is specifically modified as follows:

e. Section G, Contract Administration Data, is changed as follows:
Section H, Special Contract Requirements, is changed as follows:
The following Section H clauses are added to contract:
AFLCMC/WV H097 LIMITATION ON LIABILITY FOR GOVERNMENT FURNISHED 747-8 VIP
AIRCRAFT
The 747-8 Aircraft procured under CLINS 0002 AND 0003 of this Contract will be delivered and accepted at Destination. Upon acceptance at the modification center, Boeing shall complete DD1149 inspection for transfer of Government Property. Any discrepancies identified at the time of inspection shall be corrected under the aircraft warranty. The 747-8 Aircraft procured under CLINS 0002 AND 0003 of this Contract, and provided as Government Property to Boeing Defense, shall not be subject to the equitable adjustment provisions of FAR 52.245-01 for those discrepancies identified during the DD1149 inspection completed by Boeing Defense. Any discrepancies found during the DD1149 inspection are covered under the commercial warranties provided under CLINS 0002 AND 0003. All other aspects of FAR 52.245-01 shall remain in effect. Nothing in this Clause shall affect the Commercial Rights and Warranties afforded to the Government under CLINS 0002 and 0003.
In addition, the contractor is not entitled to any equitable adjustment to the EMD effort for late delivery of CLINs 0002 and 0003 [End Clause]
AFLCMC/WV-H010 DIRECTED PROCUREMENT INTERDEPENDENCY
The parties agree and understand that the Contractor was directed by the Government to procure specific system features from General Electric (GE) Aviation and L3 Comm in order to meet the Government's requirements as defined in the PAR System Specification (PSS), Rev C, Classified PSS, and Attachment 23, Statement of work for EMD for the VC-25B Program. The Contractor is responsible for the operation, the VC-25B performance requirements, and the integration of the directed procurement solutions into the two (2) VC-25B aircraft based on the Contractor defined interfaces.
The directed procurements detailed below are being or will be developed under a separate contractual arrangement between the Government and the Supplier. In the event the specific configurations of the directed procurements change due to causes that are outside of the Contractor's control, deliveries to the Contractor are delayed causing impact to the baseline schedule, and/or are no longer available due to termination, re-scope, or delay, the Contractor is entitled to a corresponding equitable adjustment to the cost and/or schedule for CLIN 0006, EMD.
Directed Procurements include:
1. OSA/EA Mission Communication System (MCS) solution provided by L3 Technologies as described by Attachment 23, Statement of work for EMD for the VC-25B Program.
2. Long Core Nozzle (LCN) provided by GE Aviation, identified as exhaust nozzle part number 4013759-XXX, center vent tube extension part number 4013759-XXX and center body part number
4013759-XXX.
In the event the directed procurement for the LCN provided by GE Aviation does not meet the EMD baseline as described in the PAR System Specification (PSS), Rev C and Attachment 23, EMD Statement of Work, Section 3.2.2 then the parties agree that the Contractor shall proceed without the LCN provided by GE Aviation and will utilize the existing commercial nozzle that was delivered to the Government as part of the Commercial Aircraft under CLIN 0002, 747-8 Commercial Aircraft Procurement. To facilitate the use of a commercial nozzle in lieu of the directed procurement solution, the Government will authorize a variance to the applicable requirement identified in PAR System Specification (PSS), Rev C, and that variance will not result in a withhold against CLIN 0006, VC-25B
EMD.
The following Section H clause is modified in the contract, as follows:.
AFLCMC/WV-H006 CERTIFICATION RESPONSIBILITIES AND INTEGRATION FAA AND USAF
APPROVALS (JUL 2017)
a. The Contractor shall use Federal Aviation Administration (FAA) certification to the maximum extent practicable as agreed to in Paragraphs b. and c. The FAA levels of approval are defined per FAA Order 8110.101A, Appendix A.
b. Request for Authority to design and certify provisions, equipment, installations, or functions not FAA certified shall be submitted to the Government for approval. The request shall include:
i. A clear description of and rationale why the design cannot practically be found compliant to 14 CFR. The FAA Organization Designation Authorization (ODA) and Military Certification Office (MCO) will validate the certification assumptions related to the Boeing rationale/assessment.
ii. Engineering assessment of the cost, schedule, and technical impacts related to pursuing FAA certification.
iii. Practical options for obtaining airworthiness certification at levels less than full FAA certification.
c. Upon the Government's agreement with items in Paragraph b:
i. The Contractor will not assess MIL-HDBK-516 in relation to 14 CFR or the modified aircraft for FAA certified provisions, equipment, installations, or functions.
ii. Provisions, equipment, installations, or functions which are FAA certified shall be accepted for the Military Type Certification (MTC) without further showing of compliance to military airworthiness requirements. The corresponding MIL-HDBK-516 paragraphs will be noted as "not applicable" in the Modification Airworthiness Certification Criteria (MACC) (PD CDRL B061 and EMD
CDRL F034).
iii. Provisions, equipment, installations, or functions which are not FAA certified shall be satisfied by compliance with approved military airworthiness requirements derived from MIL-HDBK-516 and shall be listed in the MACC based on Paragraph b.
iv. FAA approved interfaces and/or provisions used as a foundation for MACC compliance findings shall be accepted without further evaluation or compliance activity by USAF. The MACC will establish the requirements for data required (deliver, make available, or provide access to the Government) from FAA-approved interfaces and/or provisions to find compliance to applicable military airworthiness criteria.
d. The Government will participate in Paragraph b. and c. activities required to establish the VC-25B certification basis. The Contractor shall prioritize and give special attention to the aspects of the VC-25B modification at FAA certification levels less than Full Approval. The baseline will be documented and established as entry criteria to Preliminary Design Review (PDR) as defined within the Airworthiness Management Plan (CDRL B060) and Certification Basis (CDRL B061). Changes to the baseline after PDR will be documented in the EMD versions of the Airworthiness Management Plan (CDRL F033) and Certification Basis (CDRL F040). CDRLs B060 and F033 will also define the process in paragraphs b.
and c. to be used for making changes to this baseline after PDR.

<end of clause>
The following clauses are changed in Section I:
DFARS 252.232-7007 LIMITATION OF GOVERNMENT'S OBLIGATION (Apr 2014)
(a) Contract line items 0005, 0006, 0007, and 0008 are incrementally funded. For these items, the sum of $20,636,032.00 of the total price is presently available for payment and allotted to this contract. An allotment schedule, by CLIN, is set forth in paragraph (j) of this clause.
(b) For item(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Government's convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled "Termination for Convenience of the Government." As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit, and estimated termination settlement costs for those item(s).
(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the Contracting Officer in writing at least ninety days prior to the date when, in the Contractor's best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state
(1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded pursuant to this clause, for a subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractor's notification, or by an agreed substitute date, the Contracting Officer will terminate any item(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled "Termination for Convenience of the Government."
(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraphs (b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.
(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph (a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled "Disputes."
(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.
(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled "Default." The provisions of this clause are limited to the work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract is fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) or (e) of this clause.
(h) Nothing in this clause affects the rights of the Government to terminate this contract pursuant to the clause of this contract entitled "Termination for Convenience of the Government."
(i) Nothing in this clause shall be construed as authorization of voluntary services whose acceptance is otherwise prohibited under 31 U.S.C. 1342.
(j) The parties contemplate that the Government will allot funds to this contract in accordance with the following schedule:
CLIN 0005
