1 Description Of Services

This Performance-Based Work Statement (PWS) defines the Lockheed Martin effort for the Comprehensive Advanced Targeting Pod (ATP) - Sniper program, which includes

Sensor Enhancement (ATP-SE). Lockheed Martin (hereafter referred to as Contractor) shall provide efforts required for the management, engineering, production, fabrication, integration, Configuration Management (CM), test, test support, and logistics support of the Sniper system. The Contractor, when direction and funding are provided, shall provide all efforts required for, but not limited to, an agreed-to availability rate, Availability Support (which includes Contractor Logistics Support and Program

Management Support Requirements described herein), Test Equipment

Maintenance/Calibration tasks, resolution of Diminishing Manufacturing Sources (DMS), hardware and software upgrades and associated host platform integration, aircrew and maintenance training, site activation, initial spares, Technical Manuals (TMs) and

Technical Orders (TOs), information assurance support, repair data, studies and analysis, pod and container replenishment, over and above, and support of potential additional organic depot repair capability under a partnership with Lockheed Martin

Missile and Fire Control-Orlando.

The Contractor shall ensure that all delivered products meet the requirements as specified in this contract, including the Sniper System/Subsystem Specifications (SSS), this PWS, and Contract Data Requirements List (CDRL).

The requirements herein will be implemented through the issuance of individual Delivery

Orders (DOs) against this Sniper Indefinite Delivery/Indefinite Quantity (ID/IQ) contract.

The Contractor shall not be required to execute any of the requirements of the basic

ID/IQ contract (to include referenced CDRLs) until the requirements are contracted for in applicable DO.

1.1 Objective(s)

This PWS describes the services required to sustain the SNIPER system. These services include management, engineering, production, fabrication, integration, CM, test, and logistics support.

1.2 Benefit To The United States Air Force (USAF)

This acquisition will benefit the USAF by providing management, engineering production, fabrication, integration, CM, test, and logistics support of the SNIPER system. This is a follow-on contract to Lockheed Martin in a partnership with the

Government that has proven very successful in maintaining a very high readiness rate of the system. The USAF does not have full capability to provide the necessary services outside of this arrangement.

1.3 Compliance & Reference Document

The Contractor shall ensure that all work performed under this contract meets the requirements as specified in this contract, including, as applicable, the System

Specification Sniper XR (U), 77420004, Rev E, SSS Sniper ATP-SE, 77422004 Rev D, and System Specification Sniper ATP for 77420000-059 Hardware Configuration, 77420009, Rev New, this PWS, and CDRLs. The compliance and reference documents are shown in Appendix A: Compliance Documents of this PWS. The documents of the exact issue shown at the time of initial contract award form a part of this PWS to the extent specified herein. Only documents referenced within the specified requirements are applicable, and only to the extent applied to the requirement. In the event of a conflict between documents referenced and the PWS, the PWS shall take precedence.

2 Services Summary

award, the Contractor shall establish a record for the contract/order in eCMRA including Order Data, Contact Data and

Location Data.

The Contractor shall provide an annual count of contractor/subcontractor personnel performing services and report all contractor/subcontractor labor hours required for performance of services for each fiscal year. All data shall be reported no later than October 31 of the following fiscal year.

3 Government Property And Services

3.1 Government Property

Government property will be provided.

3.2 Contractor Responsibility

The Contractor shall be responsible for Government property in their possession in accordance with the Federal Acquisition Regulation (FAR) and applicable supplements and shall be in compliance with all applicable guidance and clauses listed in the contract.

3.3 Government Property To Be Provided

Any Government Furnished Property/Material if/when identified shall be listed as an

Attachment to the contract/order and will revert to Government ownership at the conclusion of the contract.

3.4 Definitions

As used in this clause—

“Government property” is defined in the clause at FAR 52.245-1, Government Property.

“Loss of Government property” means unintended, unforeseen, or accidental loss,damage, or destruction of Government property that reduces the Government’s expected economic benefits of the property. Loss of Government property does not include purposeful destructive testing, obsolescence, normal wear and tear, or manufacturing defects. Loss of Government property includes, but is not limited to—

(1) Items that cannot be found after a reasonable search;

(2) Theft;

(3) Damage resulting in unexpected harm to property requiring repair to restore the item to usable condition; or

(4) Destruction resulting from incidents that render the item useless for its intended purpose or beyond economical repair.

“Unit acquisition cost” means—

(1) For Government-furnished property, the dollar value assigned by the

Government and identified in the contract; and

(2) For Contractor-acquired property, the cost derived from the Contractor’s records that reflect consistently applied, generally acceptable accounting principles.

3.5 Base Support

3.5.1 Public Private Parterning Agreement

The Contractor has entered into a Public Private Partnering Agreement (PA# WR-LMC-

10-001) with Warner Robins Air Logistics Complex (WR-ALC) pursuant to appropriate statutory authority such as 10 U.S.C. Sections 2208(j), 2270, 2563, 2474, 2770, 2667, 2462 and FAR Part 45. Such Implementation Agreements (IAs), if awarded, are essential to perform this Contract and the Contractor's ability to perform on this Contract is directly related to Robins' performance of such IAs. The Contractor may place work required under this Contract with Robins AFB under IAs pursuant to such Partnership arrangement.

3.5.2 Government Delays

Notwithstanding any clause or provision in this Contract, including but not limited to the

"Excusable Delays" and "Termination/Default" clauses, the Government agrees not to hold the Contractor responsible, directly or indirectly, for the delay, non-performance, or other non-compliance of any work required under this Contract to the extent that such delay, non-performance, or non-compliance is attributable to the action or inaction of a

Government agency performing an IA hereunder. Furthermore, both parties recognize that the Contractor’s ability to meet the Contracts requirements is contingent upon the execution of an IA for each fiscal year (FY). The Government is required to renew its

Sniper ATP IA with the Contractor each year without interruption and with the same repair time performance. The Government is also required to extend the Robins AFB

Depot Leasing Agreement Lease (AFMC-RB-1-10-001) with the Contractor without interruption for the term of this contract. In the absence of an executed IA and an executed Robins AFB Depot Leasing Agreement, or if a gap in coverage occurs in either Agreement, the Contractor may be entitled to seek equitable adjustment.

a. Such delay, non-performance, or non-compliance by the Government in performing such IA shall be considered to be excusable delay or non-compliance for which an equitable adjustment in the performance period and/or cost/price of this Contract may be provided by the Government to the Contractor if so requested by the Contractor, and such delay, non-performance, or non-compliance shall not be used by the Government, in whole or in part, as a basis for termination for default, or a price, fee, or profit reduction, under this Contract, or as a basis for the withholding of progress payments if otherwise authorized, or the assessment of liquidated damages if otherwise authorized, by the Government under this Contract.

b. Such delay, non-performance, or non-compliance by the Government in its capacity as a performer of services under an IA shall also not be used, in whole or in part, by the

Government as a basis for: (1) an adverse rating of the Contractor under the Contractor

Performance Assessment Review System (CPARS) for its performance under this

Contract; (2) debarring or suspending the Contractor from doing business with the

Government or proposing the Contractor for debarment or suspension; and/or (3) withdrawing Government approval of the Contractor's Purchasing System.

c. This provision does not excuse the Contractor from continuously exercising good faith efforts to effectively manage its Government IA performers and to exercise good faith efforts, if necessary, to replace the affected services. Such efforts include reasonable

File No. FD2060-15-91015 Page 13 of 97 corrective actions to mitigate the effects of the Government IA performer's noncompliance on prime Contract schedule and/or prices.

3.5.3 FAR, Executive Order (EO) And Agency Exclusions

No clause or provision contained in the Federal Acquisition Regulation (FAR) or the

Department of Defense (DoD) or any other agency supplement thereto, or any

Presidential EO otherwise applying to the conduct of acquisition from non-Federal providers, which is specifically included in this prime Contract, shall apply to any IAs issued or other Contractual vehicle that is placed by the Contractor with a Government agency providing a supply or service under this prime Contract, except as may be expressly included by mutual consent in the agreement between them. In accordance with this provision in this Contract, the Government recognizes that the Truth in

Negotiations Act (10 USC 2306a, as amended), hereinafter referred to as TINA, and its implementing clauses in the FAR/DFARS, do not apply to any Government activity performing as a provider of services and/or services under this prime Contract.

Accordingly, the Government agrees that the portion of the Contactor's Contract price, to include the price of any modification to this Contract, that consists of costs relating to work performed or to be performed by such Government provider, will not be supported by the submission of certified cost or pricing data, and further, that the absence of such certified data shall not form the basis, directly or indirectly, for a claim by the

Government of defective pricing against the Contractor. Additionally, the Contracting

Officer shall not consider the "cash advances" required by the terms of the IA to be

Advanced Payments under FAR Part 32.4. FAR Part 32.4 will continue to apply with respect to any Advanced Payments by the Government to the Contractor under this

Contract.

3.5.4 Disputes

Any disagreement with the Contracting Officer's final determination regarding an equitable adjustment under paragraph 3.5.2 above will be subject to the "Disputes" clause of this Contract.

3.5.5 Government Furnished Equipment (GFE) Property Damage

The Government assumes the risk of, and shall be responsible for, any loss or destruction of, or damage to any Government-Furnished Property (GFP) or Contractor

Acquired Property provided by the Contractor to Robins AFB under an IA including but not limited to, any amounts the Contractor might otherwise be responsible for under any

Government Property clause of this Contract. In the event the Contractor provides

Robins AFB with Government property, or Contractor Acquired Property accountable to this Contract and such property is required for continued performance of this Contract, and is either lost, damaged or destroyed, by Robins AFB, the Contractor shall be entitled to seek an equitable adjustment under the terms and conditions of this Contract.

3.5.6 Government Provided Logistic Support For OCONUS Contractor Employees

a. Logistic support for Contractor employees will be furnished in support of this

Contract as available as follows:

(1) Commissary (including rationed items)

(2) AAFES Facilities (Mil Exchange) (including rationed items)

(3) Armed Forces Recreation Facilities

(4) Army Continuing Education Services

(5) Class VI (alcoholic beverages including rationed items)

(6) Credit Union Facilities

(7) Customs Exemption

(8) Dependent schools, on a space-required, tuition paying basis

(9) Legal Assistance -- wills and power of attorney

(10) Local Government Transportation for Official Government Business

(Nontactical vehicle)

(12) Medical/Dental Services on a reimbursable basis (Dental Care available only for emergency conditions on a reimbursable basis)

(13) Military Banking Facilities

(14) Military Postal Facilities

(15) Mortuary Services

(16) Officer or NCO/EM Clubs

(17) Pet/Firearm registration and control

(18) Privately owned Vehicle (POV) license for USAEUR

b. Contract personnel must not be an ordinary resident in the host country, be nationals of Non-NATO countries, or be a stateless person. Personnel must be engaged full time in support of a US forces mission.

c. Specific attention is invited to the fact that permanent family or bachelor

Government quarters are not included as items of individual logistic support.

3.6 Reporting Of Government Property

The Contractor shall create and maintain records of all Government property accountable to the contract, including GFP and Contractor Acquired Property in accordance with the FAR and applicable supplements and shall be in compliance with all applicable guidance and clauses listed in the contract.

3.7 Loss Of Government Property

(1) The Contractor shall use the Defense Contract Management Agency (DCMA) eToolsoftware application for reporting loss of Government property. Reporting value shall be at unit acquisition cost. The eTools “LTDD of Government Property” toolset can be accessed from the DCMA home page External Web Access Management application at http://www.dcma.mil/aboutetools.cfm

(2) Unless otherwise provided for in this contract, the requirements of paragraph (1) above do not apply to normal and reasonable inventory adjustments, i.e., losses of low-risk consumable material such as common hardware, as agreed to by the Contractor and the Government Property Administrator. Such losses are typically a product of normal process variation. The Contractor shall ensure that its property management system provides adequate management control measures, e.g., statistical process controls, as a means of managing such variation.

(3) The Contractor shall report losses of Government property outside normal process variation, e.g., losses due to—

(i) Theft;

(ii) Inadequate storage;

(iii) Lack of physical security; or

(iv) “Acts of God.”

(4) This reporting requirement does not change any liability provisions or other reporting requirements that may exist under this contract.

3.8 Return/Retention Of Government Property

All property provided by the Government remains the property of the Government and shall be returned to the Government upon completion of the contract/order unless the

Procuring Contracting Officer (PCO) directs the Contractor to retain the property for continued use under a successor contract. Retention of the property by the Contractor will require modification of both losing and gaining contracts in accordance with the FAR and applicable guidance and clauses listed in the contract. All Government property shall be returned to the Government in condition provided unless approved in advance by the PCO.

3.9 Government Systems

The Government will provide Contractor personnel access to system(s) necessary to perform tasks under the contract/order.

4 Technicial Requirements

4.1 Period And Place Of Performance

4.1.1 Contract/Order Period Of Performance

The ID/IQ contract will have a 5-year ordering period by the EW/Avionics Division. The

Period of Performance described in the contract/order will end on the last date of the

DO.

4.1.2 Place Of Performance

The Place of Performance will be at RAFB, GA and at the Contractor’s facility Orlando, FL or their subcontractors’ facilities.

4.2 Item Unique Identification (IUID)

The Contractor shall apply IUID to all deliverable pods, Line Replaceable Units (LRUs), and Support Equipment (SE) in accordance with Defense Federal Acquisition

Regulation Supplement (DFARS) Clause 252.211-7003. The Contractor shall submit information from the IUID tags on new deliverables to the Wide Area Workflow IUID registry, as required.

4.3 Packaging, Handling, Storage and Transportation (PHS&T)

As required in applicable DOs, the Contractor shall provide sets of reusable shipping containers for transport of Sniper LRUs/Shop Replaceable Units (SRUs), spares and/or supporting equipment to operating unit sites and/or the organic Depot. These containers shall be of the appropriate configuration to ship any of the Sniper LRU/SRU types and quantities, and to locations specified in the respective DOs. The Contractor shall also maintain a status and accounting system to enable prompt tracking to track shipment of all outbound containers from the Missiles and Fire Control (MFC) facility.

The Contractor shall package and mark material in accordance with the contract (basic and/or order, as applicable) in accordance with the attached Air Force Material

Command (AFMC) Form 158, Packaging Requirements and Department of Defense

(DD) Form 1653, Transportation Data for Solicitations. The Contractor shall ensure that item packages or containers containing any hazardous material is labeled in accordance with DFARS 252.223-7001. The Contractor's submission of Special

Packaging Instructions shall include Material Safety Data Sheets (MSDS) in accordance with FED-STD-313E. The Contractor shall ensure that classified material is packaged, marked and delivered in accordance with DoD 5220.22-M, National Industrial

Security Program Operating Manual (NISPOM). The Contractor shall package and mark material in accordance with other applicable Government regulations including, but not limited to, those regarding security, safety and environmental concerns.

The Contractor shall package and mark material for movement, shipment, receipt and storage in a manner that ensures the protection and preservation of the material for shipment to and storage at the destination. The Contractor shall package electronic parts susceptible to electrostatic discharge damage in accordance with MIL-STD-

1686C, DoD Standard Practice/Electrostatic Discharge Control Program for Protection of Electrical and Electronic Parts, Assemblies and Equipment (Excluding Electrically

Initiated Explosive Devices), and MIL-HDBK-263B, Military Handbook/Electrostatic

Discharge Control Handbook for Protection of Electrical and Electronic Parts, Assemblies and Equipment Excluding Electrically Initiated Explosive Devices).

In accordance with MIL-STD-2073-1E, Standard Practice for Military Packaging, Shipping containers received, which meet the requirements of the AFMC Form 158 and are suitable for return shipment of serviceable assets, shall be reclaimed and stored for reutilization. Unsuitable shipping containers shall be disposed of and replaced with new containers that meet the requirements of the AFMC Form 158.

4.4 Counterfeit Electronic Parts

The Contractor shall establish and maintain a counterfeit electronic part detection and avoidance system to mitigate the risk of counterfeit electronics parts being installed in end items or otherwise entering the USAF/DoD inventory.

The system shall incorporate processes/procedures to address the requirements listed in accordance with the contract FAR clauses and applicable supplements and shall be

File No. FD2060-15-91015 Page 20 of 97 in compliance with all applicable guidance and clauses listed in the contract. The

Government's review of the Contractor’s system will be accomplished as part of the evaluation of the Contractor’s purchasing system in accordance with the FAR and applicable supplements and shall be in compliance with all applicable guidance and clauses listed in the contract.

4.5 Government-Industry Data Exchange Program (GIDEP):

The Contractor shall obtain and maintain active membership in Government-Industry

Data Exchange Program (GIDEP). The Contractor shall report suspect counterfeit parts to Government investigative authorities, to the original equipment manufacturer of the genuine part, and to GIDEP using GIDEP Operations Manual S0300-BT-PRO-010, Government-Industry Data Exchange Program as a guide.

4.6 Travel

Travel by Contractor personnel shall be conducted in accordance with the FAR and applicable supplements and shall be in compliance with all applicable guidance and clauses listed in the contract.

4.7 Systems Engineering

As required in applicable DOs, the Contractor shall submit a Systems Engineering

Management Plan. The Contractor shall ensure that system design integrity is maintained at the system and LRU levels, and that the provisions of the Sniper specifications are maintained during development, production and deployment of related upgrades, support hardware and TMs/TOs. For any development, upgrade, or retrofit actions the Contractor shall update the appropriate Sniper specifications and shall perform testing to verify compliance with the new functional baseline. Supporting actions shall include Technical Interchange Meetings (TIMs), Presentation Material of the development, upgrade or retrofit, providing the system, hardware, and software engineering disciplines and resources for design compliance and technical oversight to

File No. FD2060-15-91015 Page 21 of 97 ensure that system performance and operational readiness parameters are met and maintained. As required, the Contractor shall provide engineering and other technical support for Sniper testing to verify pod conformance. The Contractor shall provide up to

100 drawings and/or documents yearly limited to existing items in Contractor format for engineering research purposes only.

4.7.1 Integrated Production & Process Development & Risk Management

As required in applicable DOs, the Contractor shall provide for integrated process/product development, production, and risk management. The Contractor shall have the necessary resources and expertise to provide the contracted products in compliance with the applicable performance specifications and to meet project budgets and schedules.

4.7.2 Operations Safety, Suitability And Effectiveness (OSS&E) Support

As required in applicable DO, in support of the Government’s OSS&E process the

Contractor shall provide data for the proper assessment of Sniper-related hardware and/or software development, testing, qualifications and/or certifications. For each

Operational Flight Program (OFP) update or modification, the Contractor shall provide

Software Verification Test (SVT) results and Software Version Descriptions (SVDs) as required in support of obtaining flight clearances.

4.8 Sustainment

The Contractor shall execute all required Contractor actions to maintain the Sniper fleet in accordance with this PWS.

4.8.1 Availability Support Provisions

4.8.1.1 Availability Support Scope

The scope of the services performed under this Contract is for the Sniper pods defined below:

2). Functional Baseline

The Sniper pod performance requirements and applicable Aircraft Interfaces as defined in:

• System Specification Sniper XR (U), 77420004, Rev E,

• SSS Sniper ATP-SE , 77422004, Rev D, and

• System Specification Sniper ATP for 7742-059 Hardware Configuration, 77420009, Rev New

4.8.1.2 Availability Support Fleet Availability Rate

1. The Contractor shall maintain fielded Sniper ATP pods at a Fleet Availability (FA) rate of 90% during both peacetime and wartime operations for a combined fleet monthly operating hour limit of 36,250 hours and for up to six (6) concurrent, deployed sites, provided the Government places orders in accordance with paragraph 4.8.1.3

Availability Support Requirements. A deployed site is defined as an OCONUS location directly from which combat missions are being flown.

2. In the event that the combined fleet monthly operating limit is exceeded or deployed sites exceed 6 locations, the requirement to maintain the FA rate shall be achieved on a best effort basis. 90%/1.087=82.8%

3. FA shall be calculated as follows:

FA is defined as the percentage of time during which all Sniper ATP pods are available to support world-wide fleet requirements and shall be calculated using a monthly average of RAMPOD generated Fully Mission Capable (FMC) data. A Sniper ATP pod is not FMC when RAMPOD status shows it is awaiting parts (RAMPOD status: AWP, PMCS, NMCS, or NMCB), at the depot awaiting repair, a user location awaiting repair

(RAMPOD status: NMC or NMCM), or in transit to/from depot (unserviceable). Non-

FMC time may include up to 24 hours of time between discrepancy discovery and part ordered, and up to 48 hours of time between receipt of part and pod repair.

All Contractor support to maintain fielded Sniper ATP pods at the required FA Rate requires the following Government actions:

(1) Notification to the Contractor of the need for a replacement LRU within 24 hours of a failure

(2) Return of the failed LRU to the Contractor within 10 days of receipt by the

Government of the replacement LRU from the Contractor

(3) Repair of the associated pod within 48 hours of receipt of the spare LRU. An example calculation of FA per the definition is presented below.

Where:

FA = Fleet Availability, percentage

Assigned = (pods assigned to fleet) x (time assigned in days), in units of pod-days

Unserviceable = (pods unserviceable) x (time unserviceable in days), in units of pod-days

Example Monthly FA Calculation:

80 pods assigned to US Fleet inventory for a monthly period (31 days) =2480 pod-days

3 pods assigned to US Fleet inventory for 10 days=30 pod-days

Total Assigned =2510 pod-days

10 pods down for 2 days during monthly period=20 pod-days

1 pod down for 10 days during monthly period=10 pod-days

2 pods in depot maintenance for entire monthly period (31 days) =62 pod-days

Total Unserviceable=92 pod-days

FA = (2510 - 92)/2510=96.3%

4. The FA Rate calculation exclusions are as follows:

4.1 Sniper ATP pods that are:

a. Supporting depot repairs

b. Undergoing retrofits

4.2 The Contractor shall not be responsible for any failure or delay in meeting the FA rate or any part thereof which may arise from:

a. Acts of Government

b. Acts of God

c. Acts of terrorism

d. Crash damaged hardware

e. Negligent installation/use/operation by the Government

f. Repair and replacement due to obsolescence issues

g. Battle damage

The Contractor shall be entitled to seek an equitable adjustment if/as events (a) through

(g) occur.

4.8.1.3 Availability Support Requirements

1. The Contractor shall maintain fielded Sniper ATP (pod(s)) at the availability rate specified in paragraph 4.8.1.2 Availability Support Fleet Availability Rate provided that the Contractor received PCO notification 30 days in advance that the Fixed and

Variable Support CLINs will be ordered in advance of the required period and

Operational (OP) hour usage. Additionally, site activation shall be ordered 10 Months in advance of each new site where fielded Sniper pods are located prior to pod usage, or as mutually agreed to between the USAF and Contractor.

2. In the event sufficient funds are not available to procure Availability Support, the

Government will reduce the number of pod operating hours used to match the available funds via coordination with the operational using command.

3. If the Contractor fails to attain the Contract required FA Rate on an annual basis, the

Government may, at its discretion, impose a withhold in accordance with the following withhold calculation:

The arithmetic average of the monthly FA averages for each ordering period will be compared to the specified FA requirement. For every >0 up to 5% less than the paragraph 4.8.1.2 FA rate, the Government may withhold payment of 1% of additional Variable Availability Support hours. For example, if the FA percentage is

>0 up to 5% less than the paragraph 4.8.1.2 FA Rate and the Government had used

435,000 Variable Availability Support hours in the basic ordering period, the withhold would be calculated as 435,000 hours x 1% = 4,350 Variable Availability Support hours. For every >5 up to 10% less than the Contract required FA Rate, the

Government may withhold payment of 2%; and for a greater than 10% reduction in required pod availability, the Government may withhold payment of 3%. This withhold will be calculated and applied in the same manner as discussed above. In no event shall the withhold exceed 3% of the Variable Availability Support value for the fleet of pods in the availability support calculation. The withhold provision is recalculated at the conclusion of every ordering period. The withhold will be released when the Contractor has maintained the required FA Rate for a three month period.

4. Additionally, for the purposes of calculating any necessary withhold as described in paragraph 3, the required FA rate shall be adjusted if the monthly OP hour limit of any given month, as defined in paragraph 4.8.1.2, is exceeded. If the OP hour limit is exceeded, the required availability shall be adjusted by the factor defined in paragraph

4.8.1.2 paragraph 2. The average of the adjusted availability rate shall be used to calculate any necessary withhold. A sample calculation to determine the required FA

Rate in the event the monthly OP hour limit is exceeded by the Government is provided below:

5. Notwithstanding the withhold specified in this PWS, the Government reserves its right to pursue remedies authorized in accordance with the FAR and its supplements.

The MTBME scores exclude the following events:

a) Inspections (pre/post/through flight), window cleaning, and desiccant replacement. Corrective, preventive, or opportunistic actions which might occur during these events that can be directly attributed to specific ATP components(s) or items(s) are not excluded.

b) Hardware removals for cannibalization. Type 1 failures discovered on the non-cannibalized portion of a pod while cannibalization action is in process are not excluded.

d) Non-compliance to TOs or negligence. Hardware damage induced by action which are not in compliance with TOs or obvious negligence will not count against MTBME.

f) Operational flight program changes. Changes to the systems software will not count against MTBME.

g) Uncertified Maintenance. Maintenance events/actions performed by maintenance personnel who are not yet trained and certified will not count against MTBME.

h) Multiple Maintenance Actions. Multiple maintenance actions (e.g. multiple LRU

Repair and Returns) associated with a single maintenance event (e.g. same Job

Control Number) will count as one maintenance event for MTBME. However, if multiple Type 1 (inherent) failures are discovered as part of a single maintenance action, they will be counted multiple times against the Field Mean Time Between

Flights (MTBF) calculation.

i) Training events. All maintenance events performed during, and until the conclusion of, a Site Activation Training course when the attending technicians are qualified and certified in their training records and once the unit’s pods are declared FMC are excluded.

j) Formal On-the-job Training (OJT) and formal training events are excluded from

MTBME calculations. Informal OJT and informal training events are not excluded from MTBME calculations.

k) All Data Logger and Antenna events.

l) All Digital Data Recorder events

m) All events from test sites on ATP-SE

2. A quarterly score using the previous 12 months of data will be calculated for each fleet using the following formula:

Formula Definitions:

Op Hours: Total op hours accrued by the fleet as reported in RAMPOD during the 12 month scoring period. Op hours accrued on ATP-SE pods at test sites are excluded from the op hour calculation.

Depot Returns: Total quantity of LRUs returned for depot repair from operational units during the 12 month scoring period. LRUs that are returned unused, from a retrofit activity, or from ATP-SE pods at a test site are excluded from the total quantity of depot returns.

Flightline Only Events: Maintenance events reported in RAMPOD that do not result in a LRU return for depot repair. This figure will be scored by the contractor using the exclusions in para 1 and presented to the USG for validation.

If the MTBME score of an individual fleet is below the requirement for two (2) consecutive quarters using the formula calculation, the government may require a detailed verification to be performed by the USAF and Contractor for that fleet. If the detailed verification shows that the MTBME was not achieved for the two consecutive quarters, the Contractor shall be required to submit a Corrective Action Plan (CAP) and the Government may, at its discretion, withhold one month’s variable payment for the month in which the assessment occurs based on the scale below. The withhold shall be released when the Government receives a validated CAP from the Contractor or when the MTBME returns to the required level.

10%-19% below MTBME threshold = 1% value of that one month’s variable payment

20%-29% below MTBME threshold = 2% value of that one month’s variable payment

30%-39% below MTBME threshold = 3% value of that one month’s variable payment

40%-49% below MTBME threshold = 4% value of that one month’s variable payment

50% or more below MTBME threshold = 5% value of that one month’s variable payment

4.8.3 Availability Support – Fixed (CLIN X001)

Availability Support (AS) Fixed is defined as all AS functions that require a constant level of effort independent of the number of operational hours used by the pod fleet.

4.8.3.1 Availability Support Program Management

General Program Management

The Contractor shall manage and/or direct all efforts through use of its existing

Management Control System to provide visibility into the status of schedule and performance objectives. The Contractor’s Program Management activities shall include program coordination, data management, program finance support for cost control, risk management, other key functions and an Integrated Master Schedule (IMS) per

Integrated Program Management Report (IPMR) Format 6.

Quality Requirements

The Contractor shall manage and execute the design and verification of all prime mission equipment and supporting equipment. These actions shall include, but not be

File No. FD2060-15-91015 Page 32 of 97 limited to, all aspects of design, testing, and supply management—to include supplier and major subcontractor management, parts procurement, inventory control, parts tracking, kitting, expediting, assembly, test, conformance verification, and status reporting. The Contractor shall implement a Quality Program Plan based on the

Contractor’s Best Value Manufacturing Plan, which shall maintain an effective and economical quality system in accordance with AS9100C. The system shall provide controls of process and product characteristics and include criteria and methodology that are used to validate conformance to performance specifications and to achieve continuous improvement. The quality system shall be an integral and integrated part of the Contractor’s complete management system. As required in applicable DOs the

Contractor shall deliver, for Government information only, the quality system procedures, planning and all other documentation and data that comprise the quality system (for both hardware and software).

Risk Management

The Contractor shall establish and maintain a risk/opportunities management program

(to include an annual Integrated Risk Assessment review with the Government) to be held in conjunction with a Government & Contractor meeting such as Sniper ATP program reviews.

Meeting Support

The Contractor shall conduct, attend, support and participate in regular planned and scheduled meetings which are mutually agreed with the Government as necessary to facilitate continued performance improvement and risk. The planned meetings shall include semiannual Program Management Reviews (PMRs) at the Contractor’s facility.

The Contractor’s semiannual PMRs shall address risk management, program management, contracting, finance, and logistics status, data, and issues. The frequency of the PMRs may be decreased at Government direction depending upon the program

Contractor shall submit Presentation Material for meetings, excluding PMRs. The

Contractor may submit Presentation Material for PMRs but is not contracturaly required to do so.

Associate Contractor Agreements (ACAs)

The Contractor shall establish ACAs with aircraft prime Contractors as necessary and actively support the establishment and control of interface agreements as necessary to support required integration to the platforms identified in the SSS.

4.8.3.2 Field Spare And Repair Parts

The Contractor shall purchase Initial LRU Spares and ensure the adequacy of the spares and repair parts for Availability Support sufficient to comply with the Availability

Rate specified in paragraph 4.8.1.2. The spares shall be adequate to support a ten (10) working day return of repairable LRUs. The Contractor shall be responsible for continuously monitoring the range and depth of spares and repair parts and adjusting those levels in order to maintain compliance with paragraph 4.8.1.2. The Contractor shall ensure that the required spares and repair parts are in serviceable condition.
