SCOPE:

This Statement of Work (SOW) defines the requirement to provide fourteen (14) Enhanced Service Life (ESL) Center Wing Box (CWB) Structural Assemblies, thirteen (13) Component Modification kits top level part number 3367300-3, and one (1) Component Modification kit top level part number 3367300-1. The structural assembly and corresponding component kit shall henceforth be referenced as the ESL Center Wing Replacement (CWR) Modification Kit.

BACKGROUND:

The CWBs on select C-130J aircraft are reaching the end of their designed service life and must be replaced. Lockheed Martin Aeronautics Company (LMAC), the C-130J original equipment manufacturer (OEM), incorporated the ESL CWB into aircraft production effective on Lockheed Martin Serial Number (LMSN) 5619 and up. Contract FA8504-14-C-0003 commissioned LMAC to design retrofit kits to install this same ESL CWB onto C-130J aircraft originally delivered with a standard CWB (5618 and prior). The United States Air Force (USAF) has been procuring these ESL CWR Modification Kits since 2014, and has been installing them on C-130Js since 2016.

1.0 C-130J ESL CWR MODIFICATION KITS

1.1 C-130J ESL Structural Assembly -- The baseline configuration for the ESL CWB shall be 3367300-11.

1.2 C-130J Components Modification Kit -- The C-130J Components Modification Kit shall include all system components including plumbing, wiring, and all other material necessary for center wing replacement for the affected aircraft. The baseline kit configuration shall be 3367300-1 and 3367300-3.

1.2.1 ESL CWR Modification Kit Manufacture, Assembly, and Delivery -- The contractor shall deliver a complete ESL CWR Modification Kit manufactured in accordance with top level drawing 3367300. The CWR kit/kits of each order shall be delivered according to the schedule negotiated at time of contract award. The contractor is responsible for ensuring there are no discrepancies between assembly/fabrication drawings supplied and the actual delivered assemblies with the exception of Material Review Board (MRB) action performed in accordance with the LMAC MRB process. The contractor shall manufacture CWR kits subject to the ISO 9000 family of standards, guidelines, and technical reports.

1.2.2 ESL CWR Modification Kit Description -- The ESL CWR Modification Kit, as identified in the subsequent paragraphs, consists of the ESL CWB structural assembly and the component modification kit. The center wing components modification kit shall be packaged separately from the ESL CWB structural assembly.

1.2.3 ESL CWR Modification Kit Composition -- The ESL CWR Modification Kit will consist of ESL CWB structural assembly part number 3367300-11, and a center wing components kit part number 3367300-1, or part number 3367300-3, based on Contract Line Item Number (CLIN). The center wing components modification kit will be specific for the affected aircraft variant and include all systems, modification components, and installation components necessary to install the ESL CWR Modification Kit in that model aircraft as delivered from LMAC. The contractor shall also consider Block 7.0 and Block 8.1 changes to identify risks or potential design compatibility issues.

1.3 Packaging -- Packaging shall be in accordance with Air Force Material Command (AFMC) Form 158 and the paragraphs below:

1.3.1 Component Modification Kit -- To facilitate installation, each kit shall be broken down into sub-installation kits based on individual installation drawings, then packaged and labeled. Each sub-installation kit shall include all parts and applicable installation drawing(s) and shall be packaged in a box for shipment and storage. Parts and drawings in each sub-kit shall be marked with noun, part number, number of items, and then packaged for shipment. Each kit shall be marked in accordance with MIL-STD-129R and contain the applicable stock number 1560K0106153ALG, part number 3367300-1; or 1560K0106153BLG, part number 3367300-3 for center wing component kits. A packing list shall be included with each sub-installation kit and affixed to the outside of each container. The contractor shall ensure the Component Modification Kit is covered with a tarpaulin for shipment from contractor’s facility to Robins Air Force Base (AFB), GA.

1.3.2 ESL CWB Structural Assembly -- CWB shall be mounted and shipped on the Government-provided shipping/handling fixture on an air-ride trailer. All openings shall be sealed or plugged with noncorrosive materials to prevent entrance of moisture, dirt, and foreign matter during shipment and storage. The horizontal face of the upper rainbow fittings will be taped. Preservative materials shall be used on any surfaces susceptible to corrosion during shipment and short term storage. The contractor shall provide Engineering Materials and Approved Products (EMAPs) for the preservative materials and their removal agents. Each kit shall be marked in accordance with MIL-STD-129R and contain the applicable stock number 1560K0106153CLG and part number 3367300-11 for ESL CWB structural assembly. The contractor shall ensure the CWB Structural Assembly is covered with a tarpaulin for shipment from contractor’s facility to Robins AFB, GA.

1.3.3 Shipping Address -- Shipment shall be made to the address listed under the applicable CLIN.

1.3.3.1 Shipping Instructions – Component kits and structural assemblies should be shipped concurrently or on consecutive business days. Split shipments may be allowed under extraordinary circumstances and with approval from the Government PM. When more than three (3) business days pass between shipment of the structural assembly and the component kit, the delivery will be considered a split shipment.

All shipments should be scheduled to arrive at Robins AFB commercial gate no later than 12:30 PM. A Government point of contact, to include telephone number, will be provided to the contractor for each kit delivery. The contractor shall notify the Government when the shipments leave the contractor’s facility. The contractor, truck driver, and Government representative must all be able to communicate with one another during the duration of the delivery.

2.0 ADMINISTRATION

2.1 Program Management -- The contractor shall organize, manage, and execute processes to meet the program objectives and requirements as stated in this SOW and associated Contract Data Requirements Lists (CDRLS, DD Form 1423-1). The contractor shall establish a program management team responsible for all efforts associated with this SOW. The contractor shall develop and maintain a Government approved Integrated Master Schedule (IMS) in Microsoft Project to include a critical path schedule. The IMS shall include a summary schedule that graphically depicts all contract milestones on a single page. The contractor shall provide quarterly IMS updates.

2.1.1 Quarterly Status Reports -- The contractor shall prepare Quarterly Status Reports (QSRs) that provide information on tasks completed since the last report, status of current efforts, and projections for work scheduled before the next report. This report shall also identify any program risks and the mitigation plans to reduce program impact. The QSR shall include program issues and corrective action plans, to include projected completion dates. The contractor shall include all Time & Material (T&M) funding expenditures and projections in the QSRs.

2.1.2 Program Management Reviews (PMRs) – PMRs between the contractor and Government representatives shall be held at least semi-annually at the contractor's facility or a Government approved site through the life of the contract. When necessary, and with Government approval, the contractor shall use teleconferencing as an economical means to conduct required program meetings.

2.2 Government/Industry Data Exchange Program (GIDEP) Diminishing Manufacturing Sources (DMS) -- The contractor shall review GIDEP and DMS notices along with other supplier notifications for applicability to kit components delivered as part of the CWR Modification Kit. The contractor shall notify the Government of any DMS or non-conformance issues that affect current deliveries or, that shall affect maintenance and repair of equipment already delivered. The contractor is responsible for implementing corrective actions to resolve DMS and non-conformance issues affecting CWR kits. The contractor shall develop and brief the status of DMS and non-conformance issues during PMRs.

2.3 Engineering Change Proposals (ECP) - Changes to the established configuration baseline outside the scope of this SOW shall be submitted via ECPs. To support Government review of ECPs, contractor technical data such as preliminary drawings, sketches, illustrations, and other data (e.g., logistics, safety assessment, test, analyses, and detailed cost proposal data) to justify and describe the change and to determine its total impact shall be provided to support ECPs when available. The contractor shall propose a firm fixed price or, when requested, a not-to-exceed estimate for ECPs. ECPs shall be classified as either Major “A” (Class I), Major “B”, or Minor (Class II). Major “A” changes shall be further defined as changes that alter form, fit, or function as defined in the specification; or changes that make retrofit mandatory; or as changes specified below:

Major “A” (Class I) changes to product baselines shall be submitted via ECPs. Notification of other proposed changes (Major “B” and Minor (Class II)) to the CWB or any of its system or subsystem component baselines shall be provided via Quarterly Status Reports summarizing contractor approved Major “B” and Minor changes.

2.3.1 Non-Recurring Engineering Basic Contract Changes -- Government changes that occur after the basic contract award will be identified to the contractor as ECPs or Engineering Change Orders (ECOs), as applicable, in accordance with SOW paragraphs 2.3 and 2.12.1.

2.4 Item Unique Identification (IUID) -- The contractor shall uniquely mark items in accordance with Defense Federal Acquisition Regulation Supplement (DFARS) 252.211-7003 and the practices in the latest version of Military Standard (MIL-STD-130). See PART II – CONTRACT CLAUSES, for the DFARS clause reference and information on additional items that may require unique identification. The provisions of the DFARS clause are mandatory and take precedence over any exclusion in MIL-STD-130. For purposes of this SOW, the only two (2) items to be IUID marked in CWR Modification Kits are the structural assembly and the component kit.

2.5 Over and Above (O&A) -- Any tasks not included in this SOW shall be negotiated as O&A. When contacted by the Administrative Contracting Officer (ACO), the contractor shall list all services, indirect material (excluding those exceptions authorized by the ACO), and all engineering necessary to accomplish the task. The contractor shall be responsible for submitting a written work request to the ACO for authority to perform negotiated O&A work as soon as the need for such work becomes known. The work request proposal shall include a quote for the man-hours, contractor furnished material (material costs will be determined as part of the negotiations/award) needed for that task, and a detailed description of overall schedule impact. Labor rates will be set forth in the contract for these O&A tasks. The ACO must approve these requests before work can be performed.

2.6 Quality -- The contractor shall comply with the International Standards Organization (ISO) 9000 (or higher) family of standards, guidelines, and technical reports. The contractor shall permit the Government to periodically access quality related data and data related records for the C-130J CWB on a non-interference basis. The contractor is ultimately responsible for the quality and suitability of products and materials provided by its subcontractors. The Government has the right to request corrective action if the quality system proves incompatible with material, process, or schedule requirements of the Government’s CWB production environment.

2.6.1 Kit Non-conformities -- The contractor shall develop and maintain a vehicle for urgent response to kit non-conformities, to provide engineering support for kit installation, and as a historical database to record kit and installation support activities. Status and disposition of kit non-conformities will be briefed at each PMR.

2.6.2 Kit Material Deficiencies -- The contractor shall acknowledge receipt of reported material deficiencies and shall provide preliminary disposition status within one business day. When material to resolve the reported kit deficiency is on-hand or available, it shall be shipped, per Government instruction, by a means that minimizes impact to the affected center wing installation. If material is not immediately available, the contractor shall coordinate with the Government to establish a work-around to minimize impact to the affected CWB installation.

2.6.3 Engineering Support – The contractor shall develop and maintain a process to respond to engineering issues affecting the installation instructions, as well as material fit, quality, suitability and specifications. Preliminary status shall be provided for routine queries/reports within 5 business days. Urgent reports affecting center wing installations shall require preliminary response within one business day. The contractor will coordinate with Government program management and engineers to establish work-arounds, when applicable.

2.6.4 Requests for Deviations and Waivers -- The contractor shall prepare requests for deviations and waivers in accordance with the intent of MILSTD-973 for end items or components that incorporate a known departure from the requirements of applicable Time Compliance Technical Orders (TCTOs).

2.6.5 Relationship of Contractor with Subcontractors/Vendors -- The contractor shall levy on subcontractors/vendors and sub-vendors the same requirements levied on them by this Statement of Work. The contractor is ultimately responsible for the quality and suitability of products and materials provided by its subcontractors/vendors. This requirement shall apply at all tiers of sub-contractor/vendor/sub-vendors levels associated with the program.

2.7 Green Procurement Program -- The Green Procurement Program (GPP) is a mandatory federal acquisition program that focuses on the purchase and use of environmentally preferable products and services. GPP requirements apply to all acquisitions using appropriated funds, including services and new requirements. Federal Acquisition Regulation (FAR) 23.404(b) applies and states the GPP requires 100% of Environmental Protection Agency designated product purchases that are included in the Comprehensive Procurement Guidelines list that contains recovered materials, unless the item cannot be acquired: a) competitively within a reasonable timeframe; b) meet appropriate performance standards, or c) at a reasonable price. The prime contractor is responsible for ensuring that all subcontractors comply with this requirement.

2.8 Engineering Data: The contractor shall develop/produce/maintain and deliver a Technical Data Package (TDP) that accurately depicts the final product. TDP data includes, but is not limited to, Computer Aided Design (CAD) data, CAD models, model based definition data sets, Gerber data and Master Bill of Materials (BOM). The TDP shall provide the necessary design, engineering, manufacturing, testing and quality assurance requirements information necessary to enable the procurement or manufacture of an interchangeable item that duplicates the physical and performance characteristics of the original product without additional design engineering effort or recourse to the original design activity or any third party. The TDP shall represent the approved, tested, and accepted configuration of the defined delivered item(s). This shall include software and all test requirement documentation data required to test systems, subsystems and/or components. Vendor Item Control Drawings shall be used to specify the requirements for purchased items when such items have been approved for use in the design and are used without alteration, selection or source qualification (testing of an item prior to procurement action to ensure that it satisfies the specified requirements). All engineering product definition data created using Government funding as a result of this contract shall be considered a part of the TDP and shall be delivered to the Government with unlimited rights. The TDP shall be created IAW the following American Society of Mechanical Engineers (ASME) standards: ASME Y14.100-2017, Appendix B, sections B6 through B9.1 and Appendices C, D, E, and F in conjunction with ASME Y14.24-2012, ASME Y14.34, ASME Y14.35 and ASME Y14.41 and as defined in the corresponding CDRL for this task to create and deliver Product Drawings Models and Associated Lists (Engineering Data) under this contract.

Data set classification code marking IAW Appendix F of ASME Y14.100-2017 is required. CAD model file name and extension identification is required on drawing graphic sheets. TDP data shall specify parts marking requirements for item identification IAW MIL-STD-130N, other applicable documents referenced therein, and as specified in this contract. Test Criteria for Electrical and Avionics Items shall be IAW document 9579777 Revision B (CAGE 98752) The TDP shall be delivered in accordance with Air Force Product Data Specification drawing 9579776 Revision N (CAGE 98752), reference attached DD Form 1423 Block 16. [DI-SESS-81000E/T] The contractor shall submit an engineering drawing tree identifying all system, subsystem and equipment drawings as part of the drawing package prior to CDR. 2.8.1 Engineering Data Guidance Conference: The contractor shall support and co-chair a Guidance Conference with Government PM and program manager (PM) and AFLCMC/LZPEM for engineering data within 60 days after contract award. The Conference shall be convened at a site and on a date agreed upon by the Government contracting officer and the contractor. The contractor shall prepare an agenda and record the minutes of the Guidance Conference. The contractor shall address, discuss, and provide status on the following:

a. Understanding of all CDRL requirements, applicable Data Item Descriptions, specifications and standards.

b. TDP review requirements and schedules.

c. TDP delivery requirements and schedules.

d. Contractor's drafting practices/procedures/TDP drawing formats/CAD programs.

e. The contractor's quality assurance procedures relating to TDP documents, including quality control of subcontractor and vendor data.

f. The role of subcontractors and vendors who may deliver TDP documents under this contract.

g. The contractor's configuration management system, including methods for releasing documents, approving documents, and incorporating changes into documents.

h. Digital TDP deliverables.

Note: Guidance Conference may be held in conjunction with other meetings or conferences.

2.8.2 In-Process Review (IPR) of the TDP: The contractor shall host, support, and co-chair an IPR of the engineering drawings and associated lists and other documentation to be included in the TDP. The IPR shall be conducted only after the contractor's quality assurance personnel have completely reviewed the data and determined that data are of sufficient quality that Government time will be effectively utilized during the review. IPR may be scheduled when data has reached the 50% percent completion point and shall be held, when possible, in conjunction with other reviews (i.e., Preliminary Design Review, Critical Design Review).

Concurrent with the IPR, the contractor shall submit four (4) representative samples of each digital data format of data for this project in accordance with Air Force drawing 9579776 (CAGE 98752), These shall consist of the Native, Neutral, Word Searchable PDF, HPGL, Metadata Spreadsheet, BOM, Gerber Data, and Software/memory Device Data.

The contractor shall notify Government PM and AFLCMC/LZPEM a minimum of 30 days prior to the anticipated date of completion point. The IPR shall focus on the contractor's progress in the preparation of the TDP. The contractor shall support and provide the necessary resources, i.e., meeting agenda, conference room, applicable data, minutes, and appropriate personnel available to answer any questions to perform the IPR effectively. The contractor shall correct all discrepancies identified in the IPR. All subcontractor/vendor data shall be made available for review. If the quantity of subcontractor/vendor data is of sufficient magnitude, the Government may schedule a separate IPR at the subcontractor's/vendor's facility.

2.8.3 Relationship of Contractor with Subcontractors/Vendors: The contractor shall levy on sub-contractors and sub-vendors the same requirements for TDPs as are levied on them by this contract. This requirement shall apply at all tiers of sub-contractor/vendor levels associated with the program.

2.8.4 Engineering Data Updates and Revisions: The contractor shall (and shall cause subcontractors and vendors to) update and maintain engineering data for the item(s) designed/ developed/modified/produced and funded by this contract for the life of this contract and shall incorporate all changes in accordance with the following:

a. All engineering changes shall be incorporated into the applicable engineering data within 90 days after engineering release/Air Force concurrence or at intervals of five changes, whichever occurs first, except a change involving safety, which shall be incorporated immediately.

b. All engineering changes shall be incorporated into the applicable engineering data prior to delivery of data for review.

c. All engineering changes shall be incorporated into the applicable engineering data prior to delivery of final media.

Revisions to existing engineering drawings/models and associated lists and other documentation to be included in the TDP for which the contractor is the current design activity shall result in the delivery of the entire revised document and associated data file. For example, when a portion of a document is revised the entire document shall be delivered.

2.9 Technical Order (TO) Delivery -- Technical Manual Contractor Furnished Aeronautical Equipment/Contractor Furnished Equipment notices shall be utilized to notify the Government of any additional manuals or technical order changes generated through performance of this contract.

2.10 Spare Parts -The Government maintains a spare parts supply to aid installation activities. These spare parts are identified in Appendix 1 and 3367300-7. The contract will contain the option to request a quote for procurement of these spare parts from the contractor from contract award through final contract delivery. When spare parts are required, the contractor shall ensure they are serviceable and of the correct configuration. All spare parts shall be completely painted and blank with no fastener or pilot holes.

2.10.1 Replenishment Spare Panels - The contract will contain the option to request a quote for procurement of replenishment spare panels from the contractor from contract award through final contract delivery. When replenishment spare panels are required, the contractor shall ensure the panels are serviceable and of the correct configuration.

2.10.2 Bench Stock - The contract will contain the option to request a quote from the contractor for procurement of bench stock, as identified in 3367300-9, from contract award through final contract delivery.

2.11 Government Furnished Property and Services – The following Government property and services are required to support center wing replacements:

2.11.1 Engineering Change Orders (ECO) -- The contractor will be provided ECOs, as applicable, to support this CWR program.

2.11.2 AFMC Form 202 System – The contractor will be provided access to the WR-ALC Automated AFMC Form 202 system used to provide review and disposition of deviation requests to engineering drawings and TOs. Contractor personnel shall have a minimum security clearance of SECRET before requesting access to the system. The contractor shall coordinate system access with the Government Program Manager.

2.11.3 Transportation Fixtures -- The contractor shall have access to center wing transportation fixtures, part number 398800-21-MEU. The Government will maintain the transportation dollies and coordinate access as required to facilitate delivery of ESL Structural Assemblies.

2.11.4 Kit Installation -- Center wing installations shall be conducted by the Government.

2.12 Period of Performance -- The period of performance shall be set forth in the contract via final delivery established date.

2.13 Place of Performance -- Tasks shall be performed at LMAC, Lockheed Martin approved sub-vendors, and Robins AFB, GA.

2.14 Electronic Deliveries -- The contractor shall deliver all electronic documents, drawings, and other data to the Government by placing the deliverable documents on the contractor’s secure, Integrated Digital Environment (IDE). In addition to this delivery method, the contractor shall notify, by e-mail, individuals located in all offices referenced in block 14 and/or block 16 of the DD Form 1423. The contractor shall provide continuing unfettered access to all individuals identified by e-mail from the contracting officer as needing access to contractor data for this program. All questions regarding access to program data located on the contractor’s IDE shall be directed to the contracting officer.

2.15 Travel -- All travel required by the contractor shall be authorized by the Government PM and approved by the Procurement Contracting Officer prior to the date of travel IAW FAR 31.
