(End of Provision)

FAR Provision 52.212-2, Evaluation- Commercial Products and Commercial Services. (Nov

2021) – ADDENDUM

(a) Basis for Award: The Government intends to award a firm-fixed-price contract to the responsible vendor whose quote, conforming to the solicitation, is determined to be the most advantageous to the Government, price and other factors considered. In accordance with FAR 13.106-2, the Government will conduct a comparative evaluation of quotes received to select the quote that represents the best value. A comparative evaluation is a process where quotes are compared to one another to determine which provides the best benefit to the Government.

The Government is not required to establish a formal rating plan or use adjectival ratings.

(b) Evaluation Factors: The evaluation will be based on a comparative analysis of three factors:

Technical Merit, Past Performance, and Price.

i. Factor 1 - Technical Merit: The Government will evaluate the technical quote to assess the vendor's understanding of and approach to meeting the requirements in the Statement of Work (SOW). The evaluation will consider the benefits, strengths, and weaknesses of each quote's proposed solution. The assessment will focus on, but is not limited to:

• The quality and suitability of the proposed evidence-based curriculum and its specific relevance to military couples.

• The usability, functionality, and security features of the proposed online platform.

• The vendor's approach to CEU administration and technical support.

ii. Factor 2 - Past Performance: The Government will assess the performance risk associated with each vendor. This assessment will be based primarily on performance confidence assessments retrieved from the Supplier Performance Risk System (SPRS) at https://www.sprs.csd.disa.mil/, in accordance with DFARS 252.204-7024, Notice on the Use of the Supplier Performance Risk System. The Government may also use other sources of information, such as information provided by the vendor or obtained from other government and commercial sources. A vendor without a record of mailto:mayra.hernandez.1@us.af.mil mailto:jedidyah.luu@us.af.mil https://www.sprs.csd.disa.mil/ relevant past performance in SPRS or other sources will not be evaluated favorably or unfavorably on this factor and will receive a “Neutral” rating.

iii. Factor 3 - Price: The price evaluation will be performed on all quotes. The Government will evaluate the proposed price for reasonableness. A Total Evaluated Price (TEP) will be calculated for evaluation purposes only. The Government will add the total for all required Line Items and respective option periods, to include the six-month extension option afforded by FAR 52.217-8, to determine the TEP for each offeror. The six-month extension pricing will be determined by utilizing the rates provided for the last option period; the price will be pro-rated to determine the evaluated cost of the six-month option.

(c) Award Decision: The Government will make an integrated assessment of the best value in the interest of the Government based on the comparative evaluation of quotes against the Technical Merit, Past Performance, and Price factors . The award will be made to the vendor whose quote is judged to be most advantageous to the Government. While the Government will strive for maximum economy, the award may not necessarily be made to the vendor with the lowest price. The perceived benefits of a higher-priced quote, when considered in combination with its technical merit and past performance assessment, may be determined to be worth the additional cost.

(d) Options: The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(e) Responsibility Determination (Not Comparatively Evaluated): In addition to the comparative evaluation of the factors above, the Government will make a determination of contractor responsibility for the prospective awardee in accordance with FAR Subpart 9.1, DFARS Subpart 209.1, and DAFFARS Subpart 5309.1. This is a separate pass/fail determination and is not part of the best value decision. The determination will be based on a review of information including, but not limited to, the vendor’s representations and certifications in SAM, information in SPRS and FAPIIS, and any additional information requested by the Contracting Officer. An offeror must be determined responsible to be eligible for award.

(f) Written Notice of Award: A written notice of award or acceptance of a quote, mailed or otherwise furnished to the successful vendor within the time for acceptance specified in the quote, shall result in an agreement without further action by either party. Before the quote’s specified expiration time, the government may accept a quote (or part of a quote), whether or not there are interchanges after its receipt, unless a written notice of withdrawal from the offeror is received before award.

FAR 52.212-3, Offeror Representations and Certifications—Commercial Products and Commercial Services (May 2024), with its Alternate I (Feb 2024), applies to this acquisition.

Vendors must include a completed copy of this provision with their quote. An offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in SAM.

FAR clause at 52.212-4, Contract Terms and Conditions—Commercial Products and Commercial Services (Nov 2023), applies to this acquisition with the following Addendum:

Paragraph (c) of this clause is tailored as follows: Changes in the terms and conditions of this contract may be made only by written agreement of the parties with the exception of administrative changes, such as changes in the paying office, appropriations data, etc., which may be changed unilaterally by the Government.

FAR clause 52.212-5, Contract Terms and Conditions Required to Implement Statutes or Executive Orders—Commercial Products and Commercial Services (Jan 2025), and selected clauses within the full text version of the clause contained in this document apply to this acquisition.

Note: The vendor acknowledges that should the quote terms and conditions and/or agreement conflict with mandatory provisions of the Federal Acquisition Regulation (FAR) and other Federal law applicable to commercial acquisitions, to the extent of such conflict the FAR and Federal law govern and conflicting vendor terms and conditions and/or agreement are unenforceable and are not considered incorporated into any resultant contract.

All responsible sources may submit a quotation which shall be considered by the agency.
