52.212-1 -- Instructions to Offerors - Commercial Items (Apr 2014)
(a) North American Industry Classification System (NAICS) code and small business size standard. The
NAICS code (541512 – Computer Systems Design Services) and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture is
500 employees..
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show --
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) “Remit to” address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 180 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers.
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 3:00 p.m., local time, for the designated
Government office on the date that offers or revisions are due.
(2)
(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer (CO) determines that accepting the late offer would not unduly delay the acquisition; and—
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers;
or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the CO to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Reserved.

Information required for proposal evaluation that is not found in its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted where it would conserve space without impairing clarity.
3.1.3 Glossary – Each volume shall contain a glossary of all abbreviations and acronyms used, and with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.
3.1.4 Illustrations and Tables – Proposals shall be prepared on 8 ½ x 11-inch paper except for foldouts used for charts, illustrations, tables, or diagrams, which may not exceed 11 x 17 inches. All material shall be contained within the page limitations in Table 1 of this section. The page limitations shall be treated as maximum limits to assist in the evaluation of each proposal. Total page count will be based on the printed proposal submission. If page limitations are exceeded, the excess pages will not be read or considered in the evaluation of the proposal and will not be returned to the offeror. Double-sided printing is acceptable, but counts as two (2) pages. Number pages sequentially by volume. These page format restrictions shall apply to responses to Evaluation Notices (ENs). The background color of each page of the proposal submission shall be white or ivory paper only. If Final Proposal
Revisions (FPRs) are required, the same page limitations will apply.
3.1.7 Font – Font shall be Times New Roman, no smaller than 12-point with normal proportional spacing. Text lines will be no less than single-spaced.

6.2 The purpose of the cross reference matrix is to show critical interrelationships and dependencies among the technical requirements document PWS, 52.212-1 (Instructions to Offerors – Commercial Items) and 52.212-2
(Evaluation – Commercial Items). This matrix is a tool which helps ensure all the evaluation criteria and proposal submittal requirements identified in the solicitation have been responded to properly. The offeror shall fill out the cross reference matrix indicating where in their proposal the information can be found. Failure by the offeror to complete the matrix will result in the offeror being considered as failing to meet the RFP terms and conditions.
7.0 Volume III – Relevant Past and Present Performance
7.1 Applicability – Each offeror shall submit no more than 3 examples of recent and relevant past and present performance information with its proposal (Attachment #7). This information is required on the offeror and/or subcontractors, teaming partners, and/or joint venture partners.
7.2 Recent. To be recent, the effort must be on-going or must have been performed during the past three (3) years from the date of issuance of this solicitation. Past and Present Performance that fails these conditions will not be evaluated.
7.3 Relevant. To be relevant, each recent past performance citation submitted by the offeror, teaming partner or subcontractor will be reviewed, the relevance of the work performed will be assessed against the Risk Management
PWS and technical subfactors. Consideration will be given to past performance of similar size and complexity.
7.4. Submission Requirements – Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and what aspects of the proposed effort they relate. Offerors shall utlilize Attachment #7
Past Performance Information, to provide a list of all Government or commercial contracts, completed or in progress, of comparable complexity and relevance to this acquisition which have been performed in the last 3 years
(from the date of this solicitation) not to exceed three (3) examples, 5 pages per example. To the maximum extent possible, offerors should relate key aspects of the Past Performance to the requirements in the solicitation.
8.0 Volume IV – Factor 3 – Cost/Price
8.1 General Instructions – Offerors will propose fully loaded labor rates for each of the labor categories included in Attachment #3. These labor categories represent the Governments currently known labor categories. Offerors may propose alternate or additional labor categories if they will be required in the performance of this contract. Any changes to the labor categories should be documented as follows: If the change involves a change in terminology only (i.e., Senior Engineer vs. Engineer Level 2), the change should be in Volume IV and Attachment #3.
Additional labor categories shall be supported by a description of the duties and responsibilities; the offeror shall identify how their labor categories correlate to the categories in the solicitation in sufficient detail so that an estimate of labor hours can be assigned to the proposed categories for the purpose of developing an evaluated cost. The proposed rates in the offerors’ Attachment #3 will be incorporated as an attachment of the resultant contract award and will be the rates used to price subsequent task orders. Offerors may submit any other pricing data that they believe is prudent and necessary to justify their cost/price proposal.
8.1.1 Cost/Price Reasonableness - Offers should be sufficiently detailed to demonstrate their reasonableness. The burden of proof for credibility of proposed costs/prices rests with the offeror.
8.1.2 Estimating Techniques and Methods – When responding to the Cost/Price Volume requirements in the solicitation, the offeror and associated subcontractors may use any generally accepted estimating technique, including contemporary estimating methods [such as Cost-to-Cost and Cost-to-Non-Cost Estimating Relationships
(CERs)], commercially available parametric cost models, in-house developed parametric cost models, etc.), to develop their estimates.
8.1.3 Cost/Price Information – Information beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your cost/price position. All information relating to the proposed price, including all required supporting documentation must be included in the section of the proposal designated as the Cost/Price Volume. Under no circumstances shall this information and documentation be included elsewhere in the proposal.
8.1.4 Cost or Pricing Information Requirements – In accordance with FAR 15.403-1(b) and 15.403-3(a), information other than cost or pricing data may be used to support price reasonableness. Information shall be provided in accordance with FAR 15.403-5. If, after receipt of proposals, the CO determines that there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the offeror shall be required to submit cost or pricing data.
8.1.5. Rounding – All labor rates shall be rounded to the nearest penny.
8.2. Cost/Pricing Content
8.2.1. Basis of Price Evaluation –Basis of Price Evaluation – Offerors are required to provide fully burdened, Firm Fixed Price (FFP) Labor Rates for each Labor Category included in Attachment #3. The referenced Labor
Categories are based on Government historical data. If the offeror proposes labor categories other than those listed in Attachment #3, the Government will consider the information provided by the offeror in support of their revised labor categories to assign a best estimated quantity of hours to the revised labor categories. Therefore, the cost proposals must contain sufficient data to allow the Government to assign each of the offered labor categories to the functional intended. The offeror's failure to provide sufficient data, or the offeror's providing of ambiguous data, for this assignment of hours to the offered labor rates may result in the offeror's evaluated price being different from what the offeror intended.
8.2.2. The offeror will complete the Labor Hour Model (Fully Loaded Rates by Year), Attachment #3. If further pricing data is required, the offeror may be required to complete the Labor Rate Development Worksheet, Attachment #4.
8.2.3. Requirement for Cost or Pricing Data – The Government anticipates award based on adequate competition;
however, additional data may be required in the event that adequate price competition is not obtained. Information submitted in support of the proposal will be considered other than cost and pricing data.
8.2.4. The offeror will use the rates in Attachment #3 to construct the Task Order 0001 Cost Summary, Attachment #5 and the Total Evaluated Price, Attachment #6.
8.2.5. All offerors will use the Government estimate of $450,000.00 travel costs in their proposal, as indicated in the Total Evaluated Price Worksheet, Attachment #6.
9.0 Volume V – Solicitation, Offer and Award (SF 1449)
Offeror shall submit the following:
9.1 Signature Page – Complete blocks for 17 and 30 of the Standard Form (SF) 1449. Signature by the offeror on the SF 1449 constitutes an offer, which the Government may accept. The “Original” copy shall be clearly marked under a separate cover without punched holes, and placed in the “Original Binder”. Provide copy of the signature page in binders containing copies.
9.2 Proposal Expiration Statement – A statement that the offer presented is valid for no less than 180 calendar days from the proposal due date at the location identified in Block 8 of the SF 1449. Offerors may specify a longer acceptance period than the Government’s minimum requirement by inserting such acceptance period in Instructions to Offerors, clause 52.214-16, Minimum Bid Acceptance Period.
9.3 Completed Solicitation / Contract and Clause 52.212-3 Offeror Representation & Certifications–Commercial
Items (Jun 2009).
9.4 Company Information – Provide company/division’s street address, county; CAGE code; DUNS code; TIN;
size of business; and labor surplus area designation. This same information must be provided if the work for this contract will be performed at any other location(s). List all locations where work is to be performed and indicate whether such facility is a division, affiliate, or subcontractor, and the percentage of work to be performed at each location.
9.5 Authorized Offeror Personnel – Provide the name/title, physical and e-mail address, and phone/fax number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate the offeror contractually. Also, identify those individuals authorized to negotiate with the Government.
9.6 Exceptions to Solicitation Requirements – Offerors are required to meet all solicitation requirements, including the PWS requirements and instructions, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. This information shall be provided in the format and content shown at

52.212-2 – Evaluation Factors for Award
A. EVALAUTION FACTORS FOR AWARD– COMMERCIAL ITEM
1.0. BASIS FOR AWARD
1.1 Basis for Award - Award will be made to the offeror who is deemed responsible in accordance with (IAW) the
Federal Acquisition Regulation (FAR), as supplemented, whose proposal conforms to the solicitation’s requirements
(to include stated terms, conditions, representations, certifications, and all other information required by clause
52.212-1 of this solicitation). In order to determine best value to the Government, the proposal will evaluated based on the evaluation factors and subfactors. Proposals will be evaluated based on their submittal and any additional information available to the Government. The Government seeks to award to the offeror who gives the Air Force the greatest confidence that it will meet or exceed the requirements. The technical and past performance evaluation factors other than cost or price, when combined are significantly more important than cost or price; however, cost/price will contribute to the selection decision. The relative importance of each factor and subfactor is as follows: Technical, Past Performance, and Price/Cost are listed in descending order of importance.
Within the technical factor, all subfactors are listed in descending order of importance. This may result in an award to a higher rated, higher priced offeror, where the decision is consistent with the evaluation factors and the Source
Selection Authority (SSA) reasonably determines that the technical superiority and/or overall business approach and/or superior past performance of the higher priced offeror outweighs the cost difference. To arrive at a Source
Selection decision, the SSA will integrate the Source Selection team’s evaluations of the evaluation factors and subfactors (listed below). While the Government’s Source Selection Evaluation Team (SSET) and the SSA will strive for maximum objectivity, the Source Selection process, by its nature is subjective; and therefore, professional judgment is implicit throughout the entire process.
