SOLICITATION FA568222R0002: Q&A
1. The indicated quantities have a fixed annual price, but is it considered that some oscillation within a range can occur, or will any quantity greater than the estimated one, due to refusal, be withdrawn?
The indicated quantities have been calculated on the average of the wastes collected during the previous years by our technical office and they account for any oscillation. However, a firm fixed price shall be provided by the Offeror and reasonable oscillations above the quantities indicated during contract performance shall be at Offeror expense and any oscillations below indicated quantities shall be to the Offeror benefit.
Furthermore, please also consider that “Additional Pickups” and “Unscheduled Items Pick up and
Special Events” shall be quoted by you, this also protects you from some oscillations.
2. In case of early contract withdrawal by the contractor, what are the clauses? Are there any penalties? Or cancellation times?
The Federal Acquisition Regulation does not provide many avenues for Contractors to withdraw from commercial government contracts, as such, early withdrawal from a government contract will in most cases result in the government terminating the contract for cause.
Please check FAR clause 52.212-4 Contract Terms and Conditions—Commercial Products and
Commercial Services for termination clauses under this requirement. Also, please see FAR 12.403 for termination procedures for commercial contracts, this FAR part will be used in conjunction with sections of the termination procedures at FAR part 49.
“… (l) Termination for the Government’s convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor’s records. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided.
(m) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the
Contractor shall be liable to the Government for any and all rights and remedies provided by law.
If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience….”
Also, please consider that in case of a termination for cause, this could prevent you from being able to enter into future contracts with the US Government.
3. Has the new contractor to replace and provide every bins, containers, cages, roll-off containers
(listed in “Appendix A – Container List”) actually located in Aviano Air Base?
There are NO 'Base Property' containers. Currently all dumpsters are property of the current
Contractor and, in case of new awardee, they will be picked up in their entirety.
In light of the above, with the award of the new contract, new containers for ALL WASTE Streams identified in PWS are to be delivered by new Contractor at no cost for the Government.
