FAR provision 52.212-1, Instructions to Offerors - Commercial Products and Commercial Services, applies to this acquisition. As prescribed in FAR 12.301(b)(1), the following addendum is provided for this solicitation and hereby amends any language therein:

L.1 General Information

This solicitation is being conducted under the procedures of FAR Part 13, Simplified Acquisition Procedures. The Government intends to award a single, firm-fixed-priced contract to the responsible offeror whose offer, conforming to the solicitation, will be most advantageous to the Government, considering price and other factors.

Quote Preparation Instructions: To assure timely and equitable evaluation of the quotations, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements as identified as evaluation factors.:

L.2 Submission of Offers

Offerors shall submit their offers in accordance with the instructions provided in this solicitation.

Offers shall include all required documentation, including:

Factor 1. Technical Approach document (including Past Experience Questionnaire, (PPQ) Attachment 1)

Factor 2. Past Performance information (including Attachment 1,PPQ)

Factor 3. Price

L.3 Proposal Preparation

Offerors shall prepare their proposals in accordance with the requirements outlined in this solicitation Proposals shall be concise, well-organized, and easy to understand. Proposals shall consist of 3 factors, Technical, Past Performance, and Price. Technical Proposals shall be no longer than ten (10) pages size 8.5" x 11" with 1" margins, single-spaced, size 12 font, excluding the PPQ. Contractors shall not submit more than ten (10) past performance questionnaires (PPQs) with their proposal, any PPQs received after the 10th document will not be reviewed or considered. Past performance shall be no more than four (4) pages, excluding PPQ, and Pricing shall be no more than 5 pages, both following the same formatting requirements as listed with the technical proposal section above

L.4 Technical Approach

Offerors shall submit a Technical Approach document that demonstrates their plan to handle and take on the projected workload starting 01 April 2025. The document shall include:

• A Quality Control Plan in accordance with section 2.1 of the Performance Work Statement

(PWS)

• A description of their ability to meet the requirements of the PWS

• Proof of at least one (1) continuous year of contract performance entirely within the previous five (5) years from the issuance date of this solicitation, where the offeror is/was responsible for the performance of relevant Security Guard Services as defined in the PWS

L.5 Past Performance

Offerors shall provide recent and relevant past performance information, including:

• Completed Past Performance Questionnaires (PPQs)

• Past Performance Information available from other sources, such as the Contractor Performance Assessment Reporting System (CPARS)

L.6 Pricing

Offerors shall fill out and submit a Pricing Schedule (page 3 of solicitation, Base year and Ordering Periods 1-2) that includes prices for all Contract Line Items (CLINs). Including the Total Contract Price. Failure to propose on all CLINs will render the quotation non-responsive.

L.7 Evaluation Notice

The Government will evaluate offers based on the factors outlined in Section M of this solicitation. Offerors will be notified of the evaluation results, and the successful offeror will be notified of the award.

L.8 Timeline

The timeline for this solicitation is as follows:

• A site visit will be conducted for this requirement. There will be a site visit at RAF Blenheim Crescent on 11 February 2025 at 11.00 A.M. Bidders/Offerors wishing to attend, msut submit the following to Aaron Hamilton at aaron.hamilton.5@us.af.mil and to MSgt Jason Falkner jason.falkner@us.af.mil NLT 6 February 2025 at 2:00 P.M. Greenwich Mean Time (GMT):

names of all attendees (not to exceed 2 per company). This information must be provided in advance to ensure access to the military bases. All attendees must bring government-issued photographic identification that is valid and current. Expired ID will not be accepted.

• Questions must be received no later than 2:00P.M. Greenwich Mean Time (GMT), Thursday, 13 February 2025 to POCs aaron.hamilton.5@us.af.mil and jason.falkner@us.af.mil

• Quotes must be received no later than 10:00 A.M. GMT, Friday, 04 March 2025 by the 501st Combat Support Wing, Regional Contracting Office, via email to the following point of contracts (POCs): aaron.hamilton.5@us.af.mil and jason.falkner@us.af.mil

• Receipt of your electronic submittal will be acknowledged via return email; if you do not receive an acknowledgment, you are advised to call for confirmation. Please note periodically the Governments e-mail system experiences delays, therefore, offerors are highly encouraged to contact the individual identified in this combined synopsis/solicitation to confirm delivery and receipt.

L.9 Contract Award

A written notice of award, furnished to the successful vendor, shall result in a binding contract without further action by either party. Before the quotes specified expiration time, the Government may accept a quote (or part of a quote), whether or not there are exchanges after its receipt, unless a written notice of withdrawal is received before award.

L.10 Additional Information

Offerors are advised to review the entire solicitation carefully and ensure that their offers conform to all requirements. The Government reserves the right to request additional information or clarification from offerors as necessary.

• Contractors shall have a fully functioning, physical office/operating location within 200 miles of RAFBC where company employees are located. The purpose of having a physical address and personnel within range of RAF Blenheim Crecent is to ensure the Government has the ability to physically meet with contractor personnel without the requirement to travel for more than 3 hours. Companies who only operate outside of the UK and have no physical presence and/or required documentation to perform work in the UK will not be considered eligible for award..

• TUPE - (Transfer of Undertakings (Protection of Employment) Regulations 2006

Definition. The United Kingdom’s Transfer of Undertakings (Protection of Employment) Regulations 2006 (TUPE) is the main piece of legislation governing the transfer of an undertaking, or part of one, to another. The regulations are designed to protect the rights of employees in a transfer situation.

During the solicitation phase and award of the resultant contract the Government does not have access to specific TUPE information nor becomes involved with related TUPE processes and associated liabilities (to include indemnification) that may transpire during pre-award or post-award phases between transferor and transferee. While the Government fully understands the relevance of TUPE-information in proposing fixed prices, the responsibility to provide TUPE-information rests solely with the transferor; governed by Regulation 11 of the Transfer of

Undertakings (Protection of Employees) Regulations 2006 (TUPE). As the transferor need only provide TUPE information to the transferee prior to the transfer, the Government will only make available the listing of the current, incumbent contractor(s) with associated points of contact if requested. The Government is not responsible for determination of TUPE applicability; the responsibility lies solely with the transferor.

As this is a firm-fixed price contract, it is incumbent upon the offeror to calculate any anticipated TUPE pricing at time of proposal submittal. TUPE costs cannot be submitted as a conditional proposal, if submitted as such the offeror’s proposal will be considered unacceptable and the offeror shall be excluded from competition.

• Offeror shall be enrolled in the System for Award Management (SAM) database (www.sam.gov) at time of quote submission and ready for future enrollment in WAWF, for payment and invoicing in electronic funds transfer - payable 30 days upon delivery. Inability to receive EFT payment may disqualify a recipient from award consideration.

• Offers/Quotes shall include completed copy of provision at FAR 52.212-3 (Offeror Representations and Certifications - Commercial Items) (Sep 2023) or indication that offeror representations and certifications are in System for Award Management (SAM).

• Contractors do not have "civilian component" status under the NATO Status of Forces Agreement in the United Kingdom. Contractor employees may be required to pay UK taxes
